AN ACT PROMOTING DIVERSITY ON CORPORATE BOARDS. Be it enacted by the Senate and House of Representatives in General Assembly convened: That title 33 of the general statutes be amended to require that any 1 business corporation that has its principal place of business in this state 2 shall: (1) Disclose in state filings the racial, ethnic and gender diversity 3 of its boards of directors; (2) have at least one director from an 4 underrepresented community on its board of directors, by either filling 5 an open seat on the board of directors with such person or by adding a 6 seat to the board of directors that is filled by such person; and (3) engage 7 in ongoing education, reporting and compliance to fulfill the goal of 8 equitable representation on its corporate boards. 9 Statement of Purpose: To advance the goal of having equitable and diverse representation on corporate boards of any corporation with a principal place of business in this state.
