Dear Chairman Mendelson: 
Enclosed for consideration and approval by the Council of the District of Columbia, is proposed 
emergency legislation, "University of the District of Columbia Modifications 1-4 to Contract No. GF 
202 l-C-0009 with Bailey's Real Estate Holdings, LLC Approval and Payment Authorization 
Emergency Act of 2024" and the corresponding emergency declaration resolution. The Council 
previously approved this multiyear contract, CA-24-0 l l 8 on May 24, 2021. 
Council approval is required by § 451 ( c )(3) of the District of Columbia Home Rule Act, approved 
December 24, 1973, 87 Stat. 803, Pub. L. 193-198; D.C. Official Code§ 1-204.51 (c)(3). The 
University's reliance on this contract to ensure regular commercial cleaning services for the University 
of the District of Columbia is absolute at present. Without Council approval on an emergency basis, 
critical support services necessary to the health, safety and fulfillment of the University's mission risks 
disruption. 
Because Option years 1-3 were not timely submitted to extend the periods of performance, the 
University is requesting Council approval via Modifications One, Two, Three and Four to Contract No. 
GF-2021-C-0009 in the following amounts: 
Modification 1 -$2,999,950.00 
Modification 2 -$2,999,950.00 
Modification 3 -$950,000.00 
Modification 4 -$2,049,950.00 
The total price is $8,999,850.00 for these 3 years as approved in 2021. The University exercised 
Option Year 3 by partial payment on October 1, 2023 thus reducing the Option Year 3 contract amount 
to $2,049,950.00. 
The University's review of why and how this happened is ongoing. The magnitude of this procurement 
process lapse is not lost on this administration. I am fully committed to ensuring that the contracting 
and procurement laws, rules, regulations, and procedures are carefully followed.

IT ENACTED BY THE COUNCIL 	OF THE DISTRICT OF COLUMBIA, that this 
act may be cited as the "University 
of the District of Columbia Modifications 1-4 to Contract 
No. GF 2021-C-0009 with Bailey's Real Estate Holdings, LLC Approval and Payment 
Authorization Emergency Act 
of 2024". 
Sec. 
2. Pursuant to D.C. Code 1-204.51(b) (2)(A) and D.C. Code 2-352.02(C-1) the 
Council approves Option No. One, Two and Three to the University 
of the District of Columbia 
Contract No. 
GF 2021-C-0009 with Bailey's Real Estate Holdings, Inc., for the continuation 	of 
janitorial services campus-wide previously approved 	by the Council as CA-24-0118 on May 24, 
2021. Without Council approval on 
an emergency basis, critical support services necessary to the 
health, safety and fulfillment 
of the University's mission risks disruption. Modifications 	1, 2, 3 
and 4 compensate Bailey's Real Estate Holdings, Inc. at the previously approved amounts 
in CA 
24-0118. Modification 3 was executed 
as partial from October 1, 2023 to December 2023 in the  amount of $950,000.00. Modification 4 is partial from January 1, 2024 to September 30, 2024 in 1 
the amount of $2,049,950.00. All requires retroactive approval by the Council	. 2 
 Sec.3. The Council adopts the fiscal impact statement of the Chief Financial Officer as 3 
the fiscal impact statement required by section 4a of the General Legislative Procedures Act of 4 
1975, approved October 6, 2006 (	120 Stat. 2038; D.C. Official Code §1-	301.47a). 5 
 Sec.4. This act shall take effect following approval by the Mayor (or in the event of veto 6 
by the Mayor, action by the Council to override the veto), and shall remain in effect for no longer 7 
than 90 days, as provided for emergency acts of the Council of the District of Columbia in 8 
section 412(a) of the District of Columbia Home Rule Act, approved December 24, 1973 (87 9

The goods or services to be provided, the methods of delivering goods or services, and any
significant program changes reflected in the proposed contract:
Goods and services to be provided: The contractor shall furnish all labor, materials, equipment, and 
supervision to provide janitorial services to all of the University of the District of Columbia 
facilities, including the New Student Center, which shall be maintained throughout the contract 
period of performance at a quality level that supports the building receiving a LEED Platinum 
rating. Program Changes: There are no significant program changes in the contract. 
(D)The selection process, including the number of offerors, the evaluation criteria, and the
evaluation results, including price, technical or quality, and past performance components:
The selection process was Competitive Sealed Proposals according to Title 8B DCMR §3017 and 
Title 8B DCMR §3057 Contractor Responsibility. On December 20, 2020, the UDC Office of 
Contracting and Procurement issued Request for Proposals (RFP) No. GF-2021-R-0009 to purchase 
the services required. The RFP was designated to the Small Business Enterprise (SBE) Market with 
a 35% Set Aside requirement for DC Department of Small and Local Business Development 
(DSLBD) Certified Business Enterprises (CBE). It was advertised in the Washington Examiner 
newspaper and posted on the UDC Website. 
There were two (2) amendments to the solicitation. Technical Proposal versus price is the dominant 
consideration for an award. Proposals from the following were received on the due date and time of 	January 8, 2021, by 2:00 p.m. A proposal from Motir Services was not considered because the vendor 
was disqualified due to debarment. A proposal from RSC Electrical & Mechanical was not considered 
because the company was non-responsive. Below is an abstract of the proposals accepted. It includes 
total prices for the base year and four option periods.

period of performance shall be for a 1 base-year period not to exceed $2,999,950.00, four (4) one-
year option performance periods at a maximum price of $2,999,950.00 per option year. 
(E)A description of any bid protest related to the award of the contract, including whether 	the
protest was resolved through litigation, withdrawal of the protest by the protestor, or
voluntary corrective action by the District. Include the identity of the protestor, the grounds
alleged in the protest, and any deficiencies identified by the District as a result of the protest: Page 3 of 6

financial stability, personnel, and performance on past or current government or private

The CO reviewed the application submitted by Bailey Real Estate Holdings, LLC and 
determined that it has the necessary organizational experience, technical skills, accounting, and 
operational controls to provide the contract's requirements. 
 
Bailey Real Estate Holdings, LLC has been providing services to the District since May 20, 
2014, and has maintained a good performance record.

requirements of Mayor's Order 85-	85 was approved on March 24, 2021. 
 
The proposed contractor First Source Agreement was approved on April 7, 2021. 
 
(G) The period of performance associated with the proposed change, including date as of which 
the proposed change is to be made effective:
 
 
The period of performance remains the date of award - base year, plus four one-year options.

2.) Modification No. 2 was executed on October 1, 2022, and the amount was raised to 
$2,999,950.00.  
3.) Partial Modification No. 3 was executed on October 1, 2023, and the amount was increased by 
$950,000.00.  
4.) Partial Modification No. 4 was executed on January 1, 2024, and the amount was increased by 
$2,049,950.00.  
 
(I) The aggregate dollar value of the proposed changes as compared with the amount of the 
contract as awarded:

The Contracting Officer was notified of the proposed change on October 1, 2023. 
 
(K) The reason why the proposed change was sent to Council for approval after it is intended 
to take effect:
 
 
The original Janitorial contract with Bailey’s Real Estate Holdings, LLC	, was approved in 2021 
for a base and four one-year options.  However, the university was remis	s in forwarding the 
options to the Council for their approval.  We are therefore retroactively submitting options 1, 2, 	and 3.  Notwithstanding, the contractor has already been paid f	or Option year 1, $2,999,950.00 and 
Option year 2, $2,999,950.00. Services for Option year 3 commenced on October 1, 2023.    
 
(L) The reason for the proposed change: 
 
The University of the District of Columbia has a continuing 	need to provide standardized janitorial 
services for the University Community. The absence of these services would present a health and 	safety hazard condition for 	not only the University ’s faculty and staff, but also its students.  
 
(M) The legal, regulatory, or contractual authority for the proposed change: 
 
Contract Modification Nos. 1, 2, 3 and 4, would increase the total Contract value in an aggregate 	amount in excess of $1 million, and this contact action is subject to requirements of the District of 
Columbia Home Rule Act, codified at the D.C. Official Code 1-204.51 (b). Thus, Council review 
and approval of the proposed Contract action is required. 
 
(N) A summary of the subcontracting plan required under section 2346 of the Small, Local, and 
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended, 
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the 
subcontracting plan meets the minimum requirements of the Act and the dollar volume of 
the portion of the contract to be subcontracted, expressed both in total dollars and as a 
percentage of the total contract amount: 
 
Bailey Real Estate Holdings is not required to issue a subcontracting plan associated with this  Page 5 of 6  
contract because it is certified by the District Department of Small and Local Business 
Development as a Certified Business Enterprise.  
 
(O) Performance standards and the expected outcome of the proposed contract: 
 
The Contract is/will be required to perform or exceed the requirements and performance 
standards contained in the Contract and in the proposed modifications. The Contractor is/will be 
required to continue to provide janitorial services for the University of the District of Columbia. 
 
(P) The amount and date of any expenditure of funds by the District pursuant to the contract 
prior to its submission to the Council for approval: 
 
Since the Council’s last approval, the Department executed:

Modification no. two (2) was issued in the amount of $2,999,950.00. 	(October 1, 2022 -September

December 31, 2023, & January 1, 2024 -	September 30, 2024) 
 
(Q) A certification that the proposed contract is within the appropriated budget authority for 
the agency for the fiscal year and is consistent with the financial plan and budget adopted 
in accordance with D.C. Official Code §§ 47-	392.01 and 47-392.02: 
 
Requisition no. R0016283 for Modification No. 1 was approved on November 17, 2021. 
Requisition no. R0017737 for Modification No. 2 was approved on December 12	, 2022. 
Requisition no. 178266143 for Modification No. 3 was approved on November 03, 2023.

(R) A certification that the contract is legally sufficient, including whether the proposed 
contractor has any pending legal claims against the District: 
 
Legal sufficiency was established on December 11, 2023. In addition, the contractor has no legal 
pending claims against the District.    
 
(S) A certification that Citywide Clean Hands database indicates that the proposed contractor 
is current with its District taxes. If the Citywide Clean Hands Database indicates that the 
proposed contractor is not current with its District taxes, either: 
(1) a certification that the contractor has worked out and is current with a payment schedule 
approved by the District; or (2) a certification that the contractor will be current with its 
District taxes after the District recovers any outstanding debt as provider under D.C. 
Official Code § 2-353.01(b): 
 
The Citywide Clean Hands Certificate, dated January 10, 2024, indicates that the contractor is 
current with its District Taxes. 
 
(T) A certification from the proposed contractor that it is current with its federal taxes, or has 
worked out and is current with a payment schedule approved by the federal government: 
 
Bailey’s Real Estate, LLC is in compliance with federal tax requirements. The Contractor has 
provided a Bidder Offeror form. 
 
(U) The status of the proposed contractor as a certified local, small, or disadvantaged business 
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise  Page 6 of 6  
Development and Assistance Act of 2005, as amended, D.C. Official Code 
§ 2-218.01 et seq.: 
 
According to the DSLBD’s website, the Contractor is a certified business enterprise. According to 
their website, the certification will expire on January 12, 2025. 
 
(V) Other aspects of the proposed contract that the Chief Procurement Officer considers 
significant: 
 
The contractor shall furnish all labor, materials, equipment, and supervision to provide janitorial 
services to all of the University of the District of Columbia facilities	.  
 
 
(W) A statement indicating whether the proposed contractor is currently debarred from 
providing services or goods to the District or federal government, the dates of the 
debarment, and the reasons for debarment: 
 
The Contractor is not debarred from providing services to the Government of the District of 
Columbia or the Federal Government, according to the Office of Contracts & Procurement’s 
Excluded Parties List and the Federal Government’s Excluded Parties List.
