Enclosed for consideration and enactment by the Council of the District of Columbia is an 
emergency bill, the “Contract No. GAGA-202 l-C-0157 with Hi-Tech Solutions, Inc. Approval 
and Payment Authorization Emergency Act of 2023,” and the accompanying emergency 
declaration resolution.
The legislation will approve and authorize payment for goods and services received and to be 
received under Contract No. GAGA-202l-C-0157, to provide smartboards and related services to 
the District of Columbia Public Schools, during both the base period of the contract (October 1, 
2021 - September 30, 2022) and option year 1 (October 1, 2022 - September 30, 2023).

BE IT ENACTED BY THE COUNCIL OF THE DISTRICT OF COLUMBIA,
That this act may be cited as the “Contract No. GAGA-202l-C-0157 with Hi-Tech23
24Solution, Inc. Approval and Payment Authorization Emergency Act of 2023”.
25 Sec. 2. Pursuant to section 451 of the District of Columbia Home Rule Act,
approved December 24, 1973 (87 Stat. 803; D.C. Official Code § 1-204.51), and26
notwithstanding the requirements of section 202 of the Procurement Practices Reform27
Act of 2010, effective April 8, 2011 (D.C. Law 18-371; D.C. Official Code § 2-352.02),28
the Council approves Contract No. GAGA-2021 -C-0157 with Hi-Tech Solution, Inc., and29
Modification Nos. 1, 2, 3, 4, 5, and 7 thereto, to provide smartboards and related services30
to the District of Columbia Public Schools, and authorizes payment in the not-to-exceed31
amounts of: $8,121,654.56 for the goods and services received during the period from32
October 1, 2021 through September 30, 2022 and $6,800,941 for the goods and services33
received during the period from October 1,2022 through September 30, 2023.34
To approve, on an emergency basis, Contract No. GAGA-202l-C-0157 with Hi-Tech 
Solution, Inc., and Modification Nos. 1, 2, 3, 4, 5, and 7 thereto, to provide 
smartboards and related services to the District of Columbia Public Schools, and 
to authorize payment for the goods and services received and to be received under 
the contract and the modifications.

Official Code § 2-352.02(c-l), the following contract summary is provided:
The contractor will provide DCPS with the following services: purchasing additional smart boards, 
project management, surveying the DCPS sites for installation of the interactive boards, performing 
the installation of the interactive boards, repairs and maintenance, and asset management services at 
all geographically located DC public schools and administrative buildings.
Explanation of difference from the base period (if applicable):
The difference from the base period is due to differences in quantities.

HTSI possesses the necessary organizational, accounting, personnel, and operations experience and 
technical skills to continue to fulfill the requirements of this contract.

Hi-Tech Solution, Inc (HTSI) was founded in 2004. HTSI is a HUBZone women-owned 
information technology company headquartered in Washington, DC. HTSI is a small business 
provider of information technology infrastructure solutions and information technology 
management services to federal, state, and local government agencies and educational institutions.
HTSI is a certified business enterprise (CBE) and has an awarded DC Supply Schedule contract for 
information technology, software, and audio-visual.
On August 11, 2021, the District of Columbia Public Schools (DCPS), Office of Contracts and 
Acquisitions, issued Invitation for Bids (IFB) No. GAGA-2021-1-0157 in the open market, with a 
35% certified business enterprise subcontracting requirement. Three bidders responded by the 
closing date of August 20, 2021. The contracting officer awarded the contract on August 24, 2021 
to Hi-Tech Solution, Inc., as the lowest-priced responsive and responsible bidder.
The contractor will provide critical services and support to ensure continuity of operations, 
continued pandemic recovery, and ongoing learning for DCPS students.
(H) The value of any work or services performed pursuant to a proposed change for which the 
Council has not provided approval, disaggregated by each proposed change if more than one 
proposed change has been aggregated for Council review:  Option Year One Amount: $6,800,941.00

(N) A summary of the subcontracting plan required under section 2346 of the Small, Local, and 
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended, 
D.C. Official Code § 2-218.01 et seq. (“Act”), including a certification that the subcontracting 
plan meets the minimum requirements of the Act and the dollar volume of the portion of the 
contract to be subcontracted, expressed both in total dollars and as a percentage of the total 
contract amount:
Hi-Tech Solution is a certified business enterprise in the District of Columbia; therefore, no 
subcontracting plan is required.
The contracting officer awarded the initial contract and continued with the exercise of option year 
one so that DCPS could provide critical services and goods to support DCPS classrooms. The 
contractor provides smartboards and installation services that allows DCPS to offer students 
technology access which supports identified educational goals and objectives.
There were multiple factors resulting in the awarding of the contract actions prior to submission to 
the Council. The main factor was that DCPS experienced increased rates of vacancies and 
turnovers in key staff, including the chief contracting officer position. This factor, along with the 
decentralized administrative structure of DCPS's contracting function, resulted in a failure to 
request and obtain Council approval before the contract actions were implemented. DCPS regrets 
this failure and is working to update and improve its processes and procedures and determine 
appropriate administrative actions to be taken in response to the failure.

This is to Certify that this Office has reviewed the above-referenced contract action. 
Modification No. 1 to the Contract, signed by the Contracting Officer on July 7, 2022, changed 
the starting date of the Contract from October 14, 2021, to October 1, 2021. That retroactive 
change is improper and inconsistent with basic contracting principles. Modification No. 2 
exercised Option Year One on October 14, 2022. This led to a lapse in the Contract from

TheContractoracknowledgesthatitiscommissionedbythedistricttoperformservices
detailedinthecontract.Thedistrictshallhaveownershipandrightsforthedurationset
forthinthecontracttouse,copy,modify,distribute,oradaptProductsasfollows:
1.ExistingProducts:TitletoallExistingLicensedProduct(s),whetherornotembedded
in,delivered,oroperatinginconjunctionwithhardwareorCustomProducts,shallremain
withContractororthirdparty,proprietaryowner,whoretainsallrights,title,andinterest
(includingpatent,trademark,orcopyrights).Effectiveuponpayment,theDistrictshallbe
grantedanirrevocable,non-exclusive,worldwide,paid-uplicensetouse,execute,
reproduce,display,perform,adapt(unlessContractoradvisestheDistrictaspartof
Contractor'sbidthatadaptationwillviolateexistingagreementsorstatutesand
ContractordemonstratessuchtotheDistrict’ssatisfaction),anddistributeExisting
ProducttoDistrictusersuptothelicensecapacitystatedinthecontractwithalllicense
rightsnecessarytofullyeffectthegeneralbusinesspurposeoftheprojectorworkplanor
contract.Licensesshallbegrantedinthenameofthedistrict.Thedistrictagreesto
reproducethecopyrightnoticeandanyotherlegendofownershiponanycopies
authorizedunderthisparagraph.
   
2.CustomProducts:EffectiveuponProductcreation,Contractorshallconvey,assign,
andtransfertothedistrictthesoleandexclusiverights,title,andinterestinCustom
Products,whetherpreliminary,final,orotherwise,includingallpatent,trademark,and
copyrights.Contractorherebyagreestotakeallnecessaryandappropriatestepstoensure
thattheCustomProductsareprotectedagainstunauthorizedcopying,reproduction,and
marketingbyorthroughContractor.
 
C.‘TransfersorAssignmentsofExistingorCustomProduetsbytheDistrict
‘ThedistrictmaytransferorassignExistingorCustomProductsandthelicenses
thereundertoanotherDistrictagency.NothinghereinshallprecludetheContractorfrom
otherwiseusingtherelatedorunderlyinggeneralknowledge,skills,ideas,concepts,
techniques,andexperiencedevelopedunderaprojectorworkplaninthecourseof
Contractor'sbusiness.
D.SubcontractorRights
Wheneveranydata,includingcomputersoftware,aretobeobtainedfromasubcontractor
underthecontract,theContractorshallusethisclause,RightsinData,inthe
subcontract,withoutalteration,andnootherclauseshallbeusedtoenlargeordiminish
theDistrict'sortheContractor'srightsinthatsubcontractordataorcomputersoftware
whichisrequiredforthedistrict.
 
E. SourceCodeEscrow
1.Forallcomputersoftwarefurnishedtothedistrictwiththerightsspecifiedinsection
B.2,theContractorshallfurnishtothedistrict,acopyofthesourcecodewithsuchrights
ofthescopeasspecifiedinsectionB.2ofthisclause.Forallcomputersoftwarefurnished
totheDistrictwiththerestrictedrightsspecifiedinsectionB.1ofthisclause,theDistrict,
iftheContractoreitherdirectlyorthroughasuccessororaffiliateshallceasetoprovide
themaintenanceorwarrantyservicesprovidedtheDistrictunderthecontractoranypaid-

upmaintenanceagreement,oriftheContractorshouldbedeclaredinsolventbyacourtof
competentjurisdiction,shallhavetherighttoobtain,foritsownandsoleuseonly,a

singlecopyofthedocumentationassociatedtherewith,uponpaymenttothepersonin
controlofthesourcecodethereasonablecostofmakingeachcopy.
2.IftheContractororProductmanufacturer/developerofsoftwarefurnishedtothe
DistrictwiththerightsspecifiedinsectionB.1ofthisclauseoffersthesourcecodeor
sourcecodeescrowtoanyothercommercialcustomers,theContractorshalleither:(1)
providetheDistrictwiththesourcecodefortheProduct;(2)placethesourcecodeina
thirdpartyescrowarrangementwithadesignatedescrowagentwhoshallbenamedand
identifiedtotheDistrict,andwhoshallbedirectedtoreleasethedepositedsourcecodein
accordancewithastandardescrowarrangementacceptabletotheDistrict;or(3)will
certifytotheDistrictthattheProductmanufacturer/developerhasnamedtheDistrictasa
namedbeneficiaryofanestablishedescrowarrangementwithitsdesignatedescrowagent
whoshallbenamedandidentifiedtotheDistrict,andwhoshallbedirectedtoreleasethe
depositedsourcecodeinaccordancewiththetermsofescrow.
 
3.TheContractorshallupdatethesourcecode,aswellasanycorrectionsor
enhancementstothesourcecode,foreachnewreleaseoftheProductinthesamemanner
asprovidedaboveandcertifysuchupdatingofescrowtothedistrictinwriting.
F IndemnificationandLimitationofLiability
TheContractorshallindemnifyandsaveandholdharmlesstheDistrict,itsofficers,
agentsandemployeesactingwithinthescopeoftheirofficialdutiesagainstanyliability,
includingcostsandexpenses,(i)forviolationofproprietaryrights,copyrights,orrights
ofprivacy,arisingoutofthepublication,translation,reproduction,delivery,
performance,useordispositionofanydatafurnishedunderthiscontract,or(ii)based
uponanydatafurnishedunderthiscontract,orbaseduponlibelousorotherunlawful
mattercontainedinsuchdata.
OTHERCONTRACTORS
‘TheContractorshallnotcommitorpermitanyactthatwillinterferewiththe
performanceofworkbyanotherDistrictcontractororbyanyDistrictemployee.
SUBCONTRACTS
TheContractorhereundershallnotsubcontractanyoftheContractor’sworkorservices
toanysubcontractorwithoutthepriorwrittenconsentoftheCO.Anyworkorserviceso
subcontractedshallbeperformedpursuanttoasubcontractagreement,whichthedistrict
willhavetherighttoreviewandapprovepriortoitsexecutionbytheContractor.Any
suchsubcontractshallspecifythattheContractorandthesubcontractorshallbesubject
toeveryprovisionofthiscontract.Notwithstandinganysuchsubcontractapprovedby
theDistrict,theContractorshallremainliabletotheDistrictforallContractor'sworkand
servicesrequiredhereunder.

18 INSURANCE
A.GENERAL REQUIREMENTS. TheContractorshallprocureandmaintain,during
theentireperiodofperformanceunderthiscontract,thetypesofinsurancespecified
below.TheContractorshallhaveitsinsurancebrokerorinsurancecompanysubmit
aCertificateofInsurancetotheCOgivingevidenceoftherequiredcoveragepriorto
commencingperformanceunderthiscontract.Innoeventshallanyworkbe
performeduntiltherequiredCertificatesofInsurancesignedbyanauthorized
representativeoftheinsurer(s)havebeenprovidedto,andacceptedby,theCO.All
insuranceshallbewrittenwithfinanciallyresponsiblecompaniesauthorizedtodo
businessintheDistrictofColumbiaorinthejurisdictionwheretheworkistobe
performedandhaveanA.M.BestCompanyratingofA-VIIIorhigher.The
Contractorshallrequireallofitssubcontractorstocarrythesameinsurancerequired
herein.TheContractorshallensurethatallpoliciesprovidethattheCOshallbe
giventhirty(30)dayspriorwrittennoticeintheeventthestatedlimitinthe
declarationspageofthepolicyisreducedviaendorsementorthepolicyiscanceled
priortotheexpirationdateshownonthecertificate.TheContractorshallprovidethe
COwithten(10)dayspriorwrittennoticeintheeventofnon-paymentofpremium.
1.CommercialGeneralLiabilityInsurance.TheContractorshallprovide
evidencesatisfactorytotheCOwithrespecttotheservicesperformedthatit
carries$1,000,000peroccurrencelimits;$2,000,000aggregate;BodilyInjury
andPropertyDamageincluding,butnotlimitedto:premises-operations;
broadformpropertydamage;ProductsandCompletedOperations;Personal
andAdvertisingInjury;contractualliabilityandindependentcontractors.The
policycoverageshallincludetheDistrictofColumbiaasanadditional
insured,shallbeprimaryandnon-contributorywithanyotherinsurance
maintainedbytheDistrictofColumbia,andshallcontainawaiverof
subrogation.TheContractorshallmaintainCompletedOperationscoverage
forfive(5)yearsfollowingfinalacceptanceoftheworkperformedunderthis,
contract.
2.AutomobileLiabilityInsurance.TheContractorshallprovideautomobile
liabilityinsurancetocoverallowned,hired,ornon-ownedmotorvehicles
usedinconjunctionwiththeperformanceofthiscontract.Thepolicyshall
providea$1,000,000peroccurrencecombinedsinglelimitforbodilyinjury
andpropertydamage.
3.Workers’CompensationInsurance.TheContractorshallprovideWorkers’
Compensationinsuranceinaccordancewiththestatutorymandatesofthe
DistrictofColumbiaorthejurisdictioninwhichthecontractisperformed.
4.Employer'sLiabilityInsurance.TheContractorshallprovideemployer's
liabilityinsuranceasfollows:$500,000peraccidentforinjury;$500,000per
employeefordisease;and$500,000forpolicydiseaselimit.
B,DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkis
acceptedbythedistrictandshallcarrytherequiredGeneralLiability;anyrequired

ProfessionalLiability;andanyrequiredEmploymentPracticesLiabilityinsurancefor
five(5)yearsfollowingfinalacceptanceoftheworkperformedunderthiscontract.
LIABILITY.Thesearetherequiredminimuminsurancerequirementsestablishedbythe
DistrictofColumbia.HOWEVER, THEREQUIREDMINIMUM INSURANCE
REQUIREMENTS PROVIDEDABOVEWILLNOTINANYWAYLIMITTHE
CONTRACTOR'S LIABILITYUNDERTHISCONTRACT.
CONTRACTOR'SPROPERTY.Contractorandsubcontractorsaresolelyresponsible
foranylossordamagetotheirpersonalproperty,includingbutnotlimitedtotoolsand
equipment,scaffoldingandtemporarystructures,rentedmachinery,orownedandleased
equipment.AwaiverofsubrogationshallapplyinfavoroftheDistrictofColumbia.
   
 
MEASUREOFPAYMENT.Thedistrictshallnotmakeanyseparatemeasureor
paymentforthecostofinsuranceandbonds.TheContractorshallincludeallofthecosts
ofinsuranceandbondsinthecontractprice.
 
NOTIFICATION.TheContractorshallimmediatelyprovidetheCOwithwrittennotice
intheeventthatitsinsurancecoveragehasorwillbesubstantiallychanged,canceled,or
notrenewed,andprovideanupdatedcertificateofinsurancetotheCO.
CERTIFICATESOFINSURANCE.TheContractorshallsubmitcertificatesof
insurancegivingevidenceoftherequiredcoverageasspecifiedinthissectionpriorto
‘commencingwork.EvidenceofinsuranceshallbesubmittedtotheContractingOfficer.
