Enclosed 
for consideration and enactment by the Council of the District of Columbia is an 
emergency bill, the “Contract No. CW117574 with Compost Crew Inc. A Benefit Corporation 
Approval and Payment Authorization Emergency Act of 2024,” and the accompanying 
emergency declaration resolution for Mods 01 through 05. The contract is in the estimated 
amount of $4,524,736 for the period of July 19, 2024, through July 18, 2025.
The 
legislation will approve Contract No. CW117574 with Compost Crew Inc. A Benefit 
Corporation to support organic 
waste collection f residential households 	in the District.  In 
addition, 
the legislation will approve payment 	for the goods and services received 	and to be 
received under the contract.

20 BE IT ENACTED BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this 
21 act may be cited as the "Contract No. CWl 17574 with Compost Crew, Inc. A Benefit 
22 Corporation Approval and Payment Authorization Emergency Act 
of 2025". 
23 Sec. 2. Pursuant to section 451 of the District of Columbia Home Rule Act, approved 
24 December 24, 1973 (87 Stat. 803; D.C. Official 
Code§ 1-204.51), and notwithstanding the 
25 requirements of section 202 of the Procurement Practices Reform Act 	of 2010, effective April 8, 
26 2011 (D.C. Law 18-371; D.C. Official 	Code§ 2-352.02), or any other law or order, the Council 
27 approves Contract No. 
CWl 17574 ("Contract") with Compost Crew, Inc. A Benefit Corporation , 
28 and Modification Nos. 1, 2, 3, 4 and 5 to the Contract, and authorizes payment 
in the not-to-
29 exceed amount 
of $4,122,574 for the goods and services received and to be received under the 
30 contract and modifications. 
31 Sec. 3. Fiscal impact statement.   The Council adopts the fiscal impact statement of the Chief Financial Officer as the fiscal 32 
impact statement required by section 4a of the General Legislative Procedures Act of 1975, 33 
approved October 16, 2006 (120 Stat. 2038; D.C. Official Code § 1-	301.47a). 34 
 Sec. 4. Effective date. 35 
 This act shall take effect following approval by the Mayor (or in the event of veto by the 36 
Mayor, action by the Council to override the veto), and shall remain in effect for no longer than 37 
90 days, as provided for emergency acts of the Council of the District of Columbia in section 38 
412(a) of the District of Columbia Home Rule Act, approved December 24, 1973 (87 Stat. 788; 39 
D.C. Official Code § 1-	204.12(a)). 40  1

(C) The goods or services to be provided, the methods of delivering goods or services, and any 
significant program changes reflected in the proposed contract:  
 
The contractor shall support organic waste (food waste) collection from single-family (residential) 
households in the District. The contract shall assemble, bundle, and distribute sets of curbside 
compost “starter kits”, and collect and haul curbside organics to a fully permitted, licensed, and 
compliant processing facility five days a week for a total of 52 weeks.

(D) The selection process, including the number of offerors, the evaluation criteria, and the 
evaluation results, including price, technical or quality, and past performance components:  
 
Sole Source 
I certify that the notice of intent to award a sole source was published in accordance with the 27 
DCMR 1304.1 with no responses; therefore, it was recommended that the Chief Procurement 
Officer approve the use of the sole source procurement method. In July 2023, DPW launched a 
year-long Curbside Composting pilot Program with Compost Crew as the contractor and with a 
subcontractor. DPW needed services without disruption for the existing program while the District 
recompeted the requirement.  
 
(E) A description of any bid protest related to the award of the contract, including whether the 
protest was resolved through litigation, withdrawal of the protest by the protestor, or 
voluntary corrective action by the District. I	nclude the identity of the protestor, the grounds 
alleged in the protest, and any deficiencies identified by the District as a result of the protest:   
 
There have been no protests of this award. 
 
(F) A description of any other contracts the proposed contractor is currently seeking or holds 
with the District:    
 
The contractor does not hold or seeking any other contracts with the District. 
 
(G) The background and qualifications of the proposed contractor, including its organization	, 
financial stability, personnel, and performance on past or current government or private 
sector contracts with requirements similar to those of the proposed contract	: 
 
Compost Crew Inc. has been managing and maintaining curbside compost program while following  
local rules and regulations related to managing and handling food waste. Over the past year, 
Compost Crew Inc. has partnered with the District, providing curbside compost program to support 
the Department of Public Works’ (DPW) Office of Waste Diversion (OWD).   
 
(H) A summary of the subcontracting plan required under section 2346 of the Small, Local, and 
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended	, 
D.C. Official Code § 2-	218.01 et seq . (“Act”), including a certification that the subcontracting 
plan meets the minimum requirements of the Act and the dollar volume of the portion of the 
contract to be subcontracted, expressed both in total dollars and as a percentage of the total 
contract amount: 
 
The contractor has certified that they will subcontract 35% in the amount of $1,442,901.08 to 
Agricity, LLC, 1661 Harvard Street NW, Washington, DC 20009; LSZR61937012026. The 
subcontractor will assist with the assembly and delivery of “starter kits, collect food waste from 
participating households in three wards and assist with hauling and disposal of food waste. 
 
(I) Performance standards and the expected outcome of the proposed contract:  3 
 
 
The contractor is expected to perform services in accordance with the requirements of the contract.  
 
(J) The amount and date of any expenditure of funds by the District pursuant to the contract

(K) A certification that the proposed contract is within the appropriated budget authority for the agency for the fiscal year and is consistent with the financial plan and budget adopted in accordance with D.C. Official Code §§ 47-392.01 and 47-392.02: The Office of the Chief Financial Officer (OCFO) team supporting DPW certified that there is sufficient funding for the minimum and maximum total price of the proposed contract.   
 
 
(L) A certification that the contract is legally sufficient, including whether the proposed 
contractor has any pending legal claims against the District: The contract action has been determined to be legally sufficient and a certification has been issued by the Bidder Offeror Certification Form that the contractor has no pending legal claims against the District.  
 
 
(M) A certification that Citywide Clean Hands database indicates that the proposed contractor is current with its District taxes.  If the Citywide Clean Hands Database indicates that the 
proposed contractor is not current with its District taxes, either: (1) a certification that the contractor has worked out and is current with a payment schedule approved by the District; 
or (2) a certification that the contractor will be current with its District taxes after the District 
recovers any outstanding debt as provided under D.C. Official Code § 2-353.01(b): 
 A certification has been issued by the Citywide Clean Hands database indicates that the proposed contractor is current with its District taxes. 
 
(N) A certification from the proposed contractor that it is current with its federal taxes, or has worked out and is current with a payment schedule approved by the federal government:

(O) A certification that the proposed contractor has been determined not to violate section 334a of 
the Board of Ethics and Government Accountability Establishment and Comprehensive

certification from the proposed contractor that it currently is not and will not be in violation 
of section 334a of the Board of Ethics and Government Accountability Establishment and

TheDistrictofColumbia(theDistrict)OfficeofContractingandProcurement(OCP),onbehalf
oftheDepartmentofPublicWorks’(DPW)OfficeofWasteDiversion(OWD)isseekinga
contractortosupportayear-longpilotofcurbsideorganicwaste(foodwaste)collectionfrom
12,000single-family(residential)householdsintheDistrict.TheContractorshallassemble,
bundle,anddistributesetsofcurbsidecompost“starterkits”,andcollectandhaulcurbside

Certifiedcompostable-CompostablefibersorresinsthatarecertifiedbyBPI
(BiodegradableProductsInstitute)andshallnotcontainBPAorPFAS(polyfluoroalkyl
substances).
Compostable~Anyitemcomprisedsolelyofmaterialsthatbreakdowninto,or
otherwisebecomepartof,usablecompostinasafeandtimelymanner.Theterm
“compostable”whenreferringtofibersorresinsshallbedefinedasaforementionedand
shallbecertifiedbyBPI(BiodegradableProductsInstitute)andshallnotcontainBPAor

‘Composting~amanagedprocesswhichutilizesmicroorganismsnaturallypresentin
organicmatterandsoiltodecomposeorganicmaterial.Thesemicroorganismsrequire
basicnutrients,oxygen,andwaterfordecompositiontooccuratanacceleratedpace.The
end-product,compost,isadarkbrown,humus-likematerialwhichcanbeeasilyand
safelyhandled,stored,andusedasavaluablesoilconditioner.Thecompostingprocessis
dependentuponseveralfactors,including:thepopulationofmicroorganisms,carbonto
nitrogenratio,oxygenlevel,temperature,moisture,surfacearea,pH,andtime.
Compostablebinliners—Bagsusedtolinecompostbinsmadeofnaturalplantmatter

BACKGROUND
TheDistrict’sDPWconductedayear-longpilotofcurbsideorganicwaste(foodwaste)
collectionfromupto12,000participatingsingle-family(residential)householdslocated
throughout   CW117574
CurbsideCompostingPilotCollection,Hauling&Processing,
theDistrict.Thepurposeofthepilotprogramwastotestoperationsandgatherkey
dataandinformationtodeterminetheviabilityofaDistrict-widecurbsideresidential
foodwastecompostingprograminsupportoftheDistrict’sgoaltodivert80%ofits
wastefromlandfillsandincineration.
Duringthisyear’slongpilot(2023-2024),upto12,000householdslocatedacrossthe
District’seight(8)Wardsshallopt-in(sign-up)toreceivefree,once-a-weekcurbside
collectionservicesprovidedbyathird-partycontractoronbehalfoftheDistrict.The
ContractorworkedwiththeDistrict,throughoutthepilotprogram,andspeakdaily(and
oncollectiondays),toensureprogramsuccessandstronggoalachievement.The
Contractortoprovidedaveryhigh-qualitylevelofservice,ensuringarateofcollection
nolessthan99.0%percollectionday.Timelycollectionofallcontainerizedfoodwaste
andrapidresponsetoservicerequestsisessentialtothesuccessofthepilotprogram.
Throughoutthedurationofthepilotprogram,theContractorwasresponsiblefor
detaileddatareportingtotheDistrict.Atthecompletionofthisservice,theContractor
wasresponsibleforworkingwithOWDemployeestoassessprojectperformanceand
transferalldatarelatedtothecontracttoOWD.
‘TheContractorshallcollectfoodwasteMondays,Tuesdays,Wednesdays,Thursdays,
andFridays,forfive(5)daysperweekforapproximately2,400householdsperday.The
collectionshalloccuronaSaturdaywhenaholidayorothereventsuchasinclement
weathershiftsthecollectionschedulebyoneday.Collectionshallneveroccuron
‘Sundays.Thetimeofcollectionsforthepilotprogramshallbeginat8:00a.m.forthe
firsthouseholdontherouteandendnolaterthan2:00p.m.forthelasthouseholdonthe
route.
CollectiondaysforeachWardshallbenegotiatedbetweentheselectedContractorand
DPW(SeeAttachmentAforUpdatedBoundaryMapsoftheDistrictWards).DPWshall
providetheselectedContractorwithalistofallopt-insparticipatinghouseholds
followingtheawardofthecontract.Allfoodwasteshallbedeliveredtoafully
permitted,licensed,andcompliantprocessingfacility(SeeAttachmentBforexamplesof
fully-permitted,licensed,andcompliantprocessingfacilities),Ifservicesarecanceled
duetoweatheroraFederalHoliday,theselectedContractorshallrollovercollectionsto
thenextavailabledayandnolaterthanseventy-two(72)hoursfromthecanceled
collectionday.

propertyaccessibletothepublicrightofway.Alllparticipatinghouseholdsshallbe

caddies,andthentransferthebaggedfoodwasteintothecurbsidecompostbinfor
eventualplacementatthepointofcollection.Followingcollection,residentsshallbe
encouragedtomaintainthecleanlinessofcurbsidecompostbinsusingsoapandhotwater
toavoidodorsandattractpestsorrodents.Ininstanceswherethewayinwhichan
individualhousehold“setouts”theircurbsidecompostingbinisnotconsistentwiththe
pilotprogram’srules,theContractorshallprovidedirect-cartmessagingand/orrecover
thecurbsidecompostbintherebyremovingthehouseholdfromthepilot.
C5 CONTRACTOR(S) REQUIREMENTS
TheDisttictisseekingaContractorwhoshallworkcloselywithOWDemployeesto
ensurethatthecurbsidecompostprogramissuccessfulwhilefollowingalllocalrules
andregulationsrelatedtomanagingandhandlingoffoodwaste,andwhoshallata
minimumperformthetasksdescribedbelow.
C.5.1HoursandDaysofOperation
5.1.1Dailycollectionsforthepilotshallbeginat8:00a.m.forthefirsthouseholdonthe
routeandendnolaterthan2:00p.m.forthelasthouscholdontheroute.Householdsshallbe
instructedtoset-outcurbsidecompostbinsthemorningofcollectiontopreventrodents,pests,
othervectors,andodor.
€.5.1.2Whenanyregularservicecollectiondayfallsonalegalholiday,thecollectionshallroll-
overonedayasdiscussedandagreedbytheDistrict.Forexample,ifaholidayfallsona
Thursday,participatinghouseholdsthatnormallyreceivecollectionserviceonThursdayshallbe
collectedonFridayandparticipatinghouseholdsthatnormallyreceivecollectionserviceon
FridayshallbecollectedonSaturday.Allcontainersshallbeservicedtorecoverallfoodwaste
accordingtothisschedule,evenwhenthecollectionbinsarenotcompletelyfull.Tomitigate
pestorrodentissuestheselectedContractormuststrictlyadheretothisschedule.Alistingof
legalholidaysthatfallwithinthetermofthiscontracthasbeenprovidedbelowforreference.

flooding,highwinds).IftheDistrictGovernmentisclosedanddoesnotprovidecollection,then
thecontractorshallnotprovidefoodwastecollection.OWDmaycancelscheduledcollectionsin
caseofexceptionallyinclementweather.Weatherconditions,whichmayresultinthe
cancellationofacollection,includeheavysnowaccumulation,heavyrains,highwinds,flooding,
extremelyhighorlowtemperatures,andhazardousroadconditions.Thedecisiontocancel
collectionsmaybebasedonexistinginclementweatherconditionsorforecastsofinclement
weatherconditions.Ifservicesarecanceledduetoweather,theselectedContractorshallroll-
overcollectionstothenextavailabledayandnolaterthanseventy-two(72)hoursfromthe
canceledcollectionday.
C.5.4FrequencyofCollection
C.5.4.1TheContractorshallcollectfoodwasteweeklyfromallparticipatinghouseholds.The
collectiondaysareMondaythroughFriday,andSaturdaywhenaholidayorothereventsuchas
inclementweathershiftsthecollectionschedulebyoneday.Collectionshallneveroccuron
Sundays.
C.5.5DamagetoPrivateorPublicProperty
€.5.5.1TheContractorshallassumeallresponsibilitiesoftheworkandtakeallproper
precautionstoprotectallpublicandprivatepropertyfrominjuryandunnecessaryinterference;
andifanypublicorprivatepropertyisinjuredthroughthefaultoftheselectedContractor,the
selectedContractorshallrepairorreplacethesameattheirowncostandexpense.
5.6Collection
C.5.6.1TheContractorshallonlycollectfoodwastefromhouseholdsparticipatinginthepilot
program.TheselectedContractorshallworkwiththeDistricttodesigncollectionroutesand
determinecollectionschedulesforparticipatinghouseholds.Collectionandhaulingservices
mustcommencenolaterthan30daysafterthecontractawardandpurchaseorderisreceived.
5.6.2TheContractor'semployeesshalldrivetoeachpoint-of-collection(POC),walktothe
compostcollectionbin,pickitup,walktothecollectionvehicle,unscrewthelid,anddumpthe
contentsdirectlyintoanorganicscollectionvehicle“hopper”,orcollectioncontainers(e.g.,96-
galloncarts)loadedintoaboxtruck.TheselectedContractorisresponsiblefortheavoidance
andimmediateclean-upofanyspilledfoodwaste.Aftertippingthecontentsofthecurbside
‘compostcollectionbin,theselectedContractor’semployeesshallsecurelyscrewthelidbackon

binsfromaparticipatinghouseholdnomorethantwo(2)times.Participating
householdsthathaverequestedthereplacementoftheircurbsidecompostcollection
binmorethantwo(2)timesshall,ineffect,beremovedfromthepilotprogram.The

household.Thecostforeffortsrelatedtotheretrievalofanycurbsidecompost
collectionbinsshouldbeincorporatedintotheTotalPriceforCLIN0003.
5.6.8 TheContractorshallensurethatallfoodwastecollectedthroughthiscontractis
deliveredforcompostingtoafullypermitted,licensed,andcompliantprocessing
facility(SeeAttachmentBforExamplesofFully-Permitted,Licensed,and
CompliantProcessingFacilities).
5.6.9TheContractorshallonlyacceptallmaterialslistedinsectionC.5.16andensure
pick-upofallacceptedmaterialsatparticipatinghouseholdsinthispilotproject.
C5.6.10TheContractorshallcollectfoodwasteonapre-determinedcollectiondayandroute
approvedbyOWD.CollectiondaysandrouteforeachWardshallbenegotiated
betweentheContractorandDPW(SeeAttachmentAforUpdatedBoundaryMapsof
theDistrictWards).DPWshallprovidetheContractorwithalistofallopt-ins
participatinghouseholdsfollowingtheawardofthecontract.

contacted.AnyviolationofthisdirectiveshallbegroundsforContractrescission.
C.5.10.7TheContractor'semployeesmustbecompetentintheirwork,andifanyemployee
appearsincompetentordisorderly,theDistrictshallnotifytheselectedContractor
andspecifyhowtheemployeeisincompetentordisorderly.TheselectedContractor
shallthentakethestepstocorrectandremedythesituation,includingdisciplinary
action,ifnecessary.
C.5.10.8TheContractor’semployeesshallalwaysprovideexcellentcustomerserviceand

B. TitleofProjectDeliverables
‘TheContractoracknowledgesthatitiscommissionedbytheDistricttoperformservices
detailedinthecontract.TheDistrictshallhaveownershipandrightsforthedurationset
forthinthecontracttouse,copy,modify,distribute,oradaptProductsasfollows:
1.ExistingProducts:TitletoallExistingLicensedProduct(s),whetherornotembedded
in,deliveredoroperatinginconjunctionwithhardwareorCustomProducts,shallremain
withContractororthird-partyproprietaryowner,whoretainsallrights,titleandinterest
(includingpatent,trademarkorcopyrights).Effectiveuponpayment,theDistrictshallbe

TheDistrictmaytransferorassignExistingorCustomProductsandthelicenses

Wheneveranydata,includingcomputersoftware,areobtainedfromasubcontractor
underthecontract,theContractorshallusethisclause,RightsinData,inthe
subcontract,withoutalteration,andnootherclauseshallbeusedtoenlargeordiminish
theDistrict'sortheContractor’srightsinthatsubcontractordataorcomputersoftware
whichisrequiredfortheDistrict.
E.SourceCodeEscrow
1.ForallcomputersoftwarefurnishedbytheDistrictwiththerightsspecifiedinsection
B2,theContractorshallfurnishtotheDistrict,acopyofthesourcecodewithsuchrights
ofthescopeasspecifiedinsectionB.2ofthisclause.Forallcomputersoftwarefurnished
totheDistrictwiththerestrictedrightsspecifiedinsectionB.1ofthisclause,theDistrict,
iftheContractoreitherdirectlyorthroughasuccessororaffiliateshallceasetoprovide
themaintenanceorwarrantyservicesprovidedtheDistrictunderthecontractoranypaid-
upmaintenanceagreement,oriftheContractorshouldbedeclaredinsolventbyacourtof
competentjurisdiction,shallhavetherighttoobtain,foritsownandsoleuseonly,a
singlecopyofthecurrentversionofthesourcecodesuppliedunderthecontract,anda
singlecopyofthedocumentationassociatedtherewith,uponpaymenttothepersonin
controlofthesourcecodethereasonablecostofmakingeachcopy.
2.IftheContractororProductmanufacturer/developerofsoftwarefurnishedtothe
DistrictwiththerightsspecifiedinsectionB.1ofthisclauseoffersthesourcecodeor
sourcecodeescrowtoanyothercommercialcustomers,theContractorshalleither:(1)
providetheDistrictwiththesourcecodefortheProduct;(2)placethesourcecodeina
thirdpartyescrowarrangementwithadesignatedescrowagentwhoshallbenamedand
identifiedtotheDistrict,andwhoshallbedirectedtoreleasethedepositedsourcecodein
accordancewithastandardescrowarrangementacceptabletotheDistrict;or(3)will
certifytotheDistrictthattheProductmanufacturer/developerhasnamedtheDistrictasa
namedbeneficiaryofanestablishedescrowarrangementwithitsdesignatedescrowagent
whoshallbenamedandidentifiedtotheDistrict,andwhoshallbedirectedtoreleasethe
depositedsourcecodeinaccordancewiththetermsofescrow.

F.IndemnificationandLimitationofLiability
TheContractorshallindemnifyandsaveandholdharmlesstheDistrict,itsofficers,
agentsandemployeesactingwithinthescopeoftheirofficialdutiesagainstanyliability,
includingcostsandexpenses,(i)forviolationofproprietaryrights,copyrights,orrights
ofprivacy,arisingoutofthepublication,translation,reproduction,delivery,
performance,useordispositionofanydatafurnishedunderthiscontract,or(ji)based
uponanydatafurnishedunderthiscontract,orbaseduponlibelousorotherunlawful
mattercontainedinsuchdata.
OTHERCONTRACTORS
TheContractorshallnotcommitorpermitanyactthatwillinterferewiththe
performanceofworkbyanotherDistrictcontractororbyanyDistrictemployee.
SUBCONTRACTS
TheContractorhereundershallnotsubcontractanyoftheContractor’sworkorservices
toanysubcontractorwithoutthepriorwrittenconsentoftheCO.Anyworkorserviceso
subcontractedshallbeperformedpursuanttoasubcontractagreement,whichtheDistrict
willhavetherighttoreviewandapprovepriortoitsexecutionbytheContractor.Any
suchsubcontractshallspecifythattheContractorandthesubcontractorshallbesubject
toeveryprovisionofthiscontract.Notwithstandinganysuchsubcontractapprovedby
theDistrict,theContractorshallremainliabletotheDistrictforallContractor'sworkand
servicesrequiredhereunder.
 
INSURANCE
A.GENERALREQUIREMENTS. TheContractoratitssoleexpenseshallprocureand
maintain,duringtheentireperiodofperformanceunderthiscontract,thetypesof
insurancespecifiedbelow.TheContractorshallhaveitsinsurancebrokerorinsurance
companysubmitaCertificateofInsurancetotheCOgivingevidenceoftherequired
coveragepriortocommencingperformanceunderthiscontract.Innoeventshallany
‘workbeperformeduntiltherequiredCertificatesofInsurancesignedbyanauthorized
representativeoftheinsurer(s)havebeenprovidedto,andacceptedby,theCO.All
insuranceshallbewrittenwithfinanciallyresponsiblecompaniesauthorizedtodo
businessintheDistrictofColumbiaorinthejurisdictionwheretheworkistobe
performedandhaveanA.M.BestCompanyratingofA-/VIIorhigher.Shouldthe
Contractordecidetoengageasubcontractorforsegmentsoftheworkunderthiscontract
andwishtoproposedifferentinsurancerequirementsthanoutlinedbelow,then,priorto
‘commencementofworkbythesubcontractor,theContractorshallsubmitinwritingthe
nameandbriefdescriptionofworktobeperformedbythesubcontractoronthe
SubcontractorsInsuranceRequirementTemplateprovidedbytheCA,totheOfficeof
RiskManagement(ORM).ORMwilldeterminetheinsurancerequirementsapplicableto   cwi17574

thesubcontractorandpromptlydeliversuchrequirementsinwritingtotheContractorand
theCA.TheContractormustprovideproofofthesubcontractor'srequiredinsurance

asubcontractorwithoutrequestingfromORMspecificinsurancerequirementsforthe
subcontractor,suchsubcontractorshallhavethesameinsurancerequirementsasthe
Contractor.
Generalliability,commercialauto,workers’compensationandpropertyinsurance
policies(ifapplicabletothisagreement)shallcontainawaiverofsubrogationprovision
infavoroftheGovernmentoftheDistrictofColumbia.
TheGovernmentoftheDistrictofColumbiashallbeincludedinallpoliciesrequired
hereundertobemaintainedbytheContractoranditssubcontractors(exceptforworkers”
compensationandprofessionalliabilityinsurance)asanadditionalinsuredsforclaims
againstTheGovernmentoftheDistrictofColumbiarelatingtothiscontract,withthe
understandingthatanyaffirmativeobligationimposedupontheinsuredContractororits
subcontractors(includingwithoutlimitationtheliabilitytopaypremiums)shallbethe
soleobligationoftheContractororitssubcontractors,andnottheadditionalinsured.
TheadditionalinsuredstatusundertheContractor’sanditssubcontractors’Commercial
GeneralLiabilityinsurancepoliciesshallbeaffectedusingtheISOAdditionalInsured
EndorsementformCG20101185(orCG20100704andCG20370704)orsuch
otherendorsementorcombinationofendorsementsprovidingcoverageatleastasbroad
andapprovedbytheCOinwriting.AlloftheContractor'sanditssubcontractors”
liabilitypolicies(exceptforworkers’compensationandprofessionalliabilityinsurance)
shallbeendorsedusingISOformCG20010413oritsequivalentsoastoindicatethat
suchpoliciesprovideprimarycoverage(withoutanyrightofcontributionbyanyother
insurance,reinsuranceorself-insurance,includinganydeductibleorretention,
maintainedbyanAdditionalInsured)forallclaimsagainsttheadditionalinsuredarising
outoftheperformanceofthisStatementofWorkbytheContractororitssubcontractors,
oranyoneforwhomtheContractororitssubcontractorsmaybeliable.Thesepolicies
shallincludeaseparationofinsuredsclauseapplicabletotheadditionalinsured.
 
IftheContractorand/oritssubcontractorsmaintainbroadercoverageand/orhigherlimits
thantheminimumsshownbelow,theDistrictrequiresandshallbeentitledtothebroader
coverageand/orthehigherlimitsmaintainedbytheContractorandsubcontractors.
B.INSURANCEREQUIREMENTS
1.CommercialGeneralLiabilityInsurance(“CGL”)-TheContractorshallprovide
evidencesatisfactorytotheCOwithrespecttotheservicesperformedthatitcarriesa
CGLpolicy,writtenonanoccurrence(notclaims-made)basis,onInsuranceServices
Office,Ine.(“ISO”)formCG00010413(oranotheroccurrence-basedform
coverageatleastasbroadandapprovedbytheCOinwriting),coveringliabilityfor
allongoingandcompletedoperationsoftheContractor,includingongoingand
completedoperationsunderallsubcontracts,andcoveringclaimsforbodilyinjury,

includingwithoutlimitationsickness,diseaseordeathofanypersons,injurytoor
destructionofproperty,includinglossofuseresultingtherefrom,personaland

Contract(includingthetortliabilityofanotherassumedinacontract)andactsof
terrorism(whethercausedbyaforeignordomesticsource).Suchcoverageshallhave
limitsofliabilityofnotlessthan$1,000,000eachoccurrence,a$2,000,000general
aggregate(includingaperlocationorperprojectaggregatelimitendorsement,if
applicable)limit,a$1,000,000personalandadvertisinginjurylimit,anda$2,000,000
product-completedoperationsaggregatelimit.
 
2.AutomobileLiabilityInsurance-TheContractorshallprovideevidencesatisfactory
totheCOofcommercial(business)automobileliabilityinsurancewrittenonISO
formCA00011013(oranotherformwithcoverageatleastasbroadandapproved
bytheCOinwriting)includingcoverageforallowned,hired,borrowedandnon-
‘ownedvehiclesandequipmentusedbytheContractor,withminimumperaccident
limitsequaltothegreaterof(i)thelimitssetforthintheContractor’scommercial
automobileliabilitypolicyor(ii)$1,000,000peroccurrencecombinedsinglelimitfor
bodilyinjuryandpropertydamage.
3.Workers’CompensationInsurance-TheContractorshallprovideevidence
satisfactorytotheCOofWorkers’Compensationinsuranceinaccordancewiththe
statutorymandatesoftheDistrictofColumbiaorthejurisdictioninwhichthe
contractisperformed.
 
Employer’sLiabilityInsurance-TheContractorshallprovideevidencesatisfactory
totheCOofemployer'sliabilityinsuranceasfollows:$500,000peraccidentfor
injury;$500,000peremployeefordisease;and$500,000forpolicydiseaselimit.
Allinsurancerequiredbyparagraphs1,2and3shallincludeawaiverofsubrogation
endorsementforthebenefitoftheGovernmentoftheDistrictofColumbia.
4,CyberLiabilityInsurance-TheContractorshallprovideevidencesatisfactorytothe
ContractingOfficerofCyberLiabilityInsurance,withlimitsnotlessthan$2,000,000
peroccurrenceorclaim,$2,000,000aggregate.Coverageshallbesufficientlybroad
torespondtothedutiesandobligationsasisundertakenbyContractorinthis
agreementandshallinclude,butnotlimitedto,claimsinvolvinginfringementof
intellectualproperty,includingbutnotlimitedtoinfringementofcopyright,
trademark,tradedress,invasionofprivacyviolations,informationthe,damagetoor
destructionofelectronicinformation,releaseofprivateinformation,alterationof
electronicinformation,extortionandnetworksecurity.Thepolicyshallprovide
coverageforbreachresponsecostsaswellasregulatoryfinesandpenaltiesaswellas
creditmonitoringexpenseswithlimitssufficienttorespondtotheseobligations.

5.EnvironmentalLiability/ContractorsPollutionLiabilityInsurance-TheContractor
shallprovideevidencesatisfactorytotheCOofenvironmentalliabilityinsurance
coveringlossescausedbypollutionorotherhazardousconditionsarisingfrom
‘ongoingorcompletedoperationsoftheContractor.Suchinsuranceshallapplyto
bodilyinjury,propertydamage(includinglossofuseofdamagedpropertyorof
propertythathasbeenphysicallyinjured),clean-upcosts,transitandnon-owned
disposalsites.Coverageshallextendtodefensecostsandexpensesincurredinthe
investigation,civilfines,penaltiesanddamagesorsettlements.Thereshallbeneither
anexclusionnorasublimitformoldorfungus-relatedclaims.Theminimumlimits
requiredunderthisparagraphshallbeequaltothegreaterof(i)thelimitssetforthin
theContractor’spollutionliabilitypolicyor(ii)$2,000,000peroccurrenceand
{$2,000,000intheannualaggregate.Ifsuchcoverageiswrittenonaclaims-made
basis,theContractorwarrantsthatanyretroactivedateapplicabletocoverageunder
thepolicyprecedestheContractor'sperformanceofanyworkundertheContractand
thatcontinuouscompletedoperationscoveragewillbemaintainedforatleastten(10)
yearsoranextendedreportingperiodshallbepurchasedfornolessthanten(10)
yearsaftercompletion.
TheContractoralsomustfurnishwiththeCO-Ownercertificatesofinsurance
evidencingenvironmentalliabilityinsurancemaintainedbythirdpartytransportation
anddisposalsiteoperators(s)usedbytheContractorforlossesarisingfrom
facility(ies)accepting,storingordisposinghazardousmaterialsorotherwasteasa
resultoftheContractor'soperations.Suchcoveragesmustbemaintainedwithlimits
ofatleasttheamountssetforthabove.
6.CommercialUmbrellaorExcessLiability-TheContractorprovideevidence
satisfactorytotheCOofcommercialumbrellaorexcessliabilityinsurancewith
minimumlimitsequaltothegreaterof(i)thelimitssetforthintheContractor's
umbrellaorexcessliabilitypolicyor(ii)$10,000,000peroccurrenceand
$10,000,000intheannualaggregate,followingtheformandinexcessofallliability
policies.Allitycoveragemustbescheduledundertheumbrellaand/orexcess
policy.Theinsurancerequiredunderthisparagraphshallbewritteninaformthat
annuallyreinstatesallrequiredlimits.Coverageshallbeprimarytoanyinsurance,
self-insuranceorreinsurancemaintainedbytheDistandthe“otherinsurance”
provisionmustbeamendedinaccordancewiththisrequirementandprinciplesof

D.DURATION.TheContractorshallcarryallrequiredinsuranceuntilallcontractworkis
acceptedbytheDistrictofColumbiaandshallcarrylistedcoveragesfortenyearsfor

contractandtwoyearsfornon-constructionrelatedcontracts.
E.LIABILITY.Thesearetherequiredminimuminsurancerequirementsestablishedbythe
DistrictofColumbia.However,therequiredminimuminsurancerequirementsprovided
abovewillnotinanywaylimitthecontractor'sliabilityunderthiscontract.
F.CONTRACTOR'S PROPERTY.Contractorsandsubcontractorsaresolelyresponsible
foranylossordamagetotheirpersonalproperty,includingbutnotlimitedtotoolsand
equipment,scaffoldingandtemporarystructures,rentedmachinery,orownedandleased

Alldisputesarisingunderorrelatingtothecontractshalllberesolvedasprovidedherein.

matterofright,thepaymentofmoneyinasumcertain,theadjustmentor
