IN THE COUNCIL OF THE DISTRICT OF COLUMBIA 
 
February 4, 2025 
 	To declare the existence of an emergency with respect to the need to approve 
Modification Nos. 2 and 	3 to Contract NFPHC -NUR-23-C-00039 between the 
Not-for-Profit Hospital Corporation, commonly known as United Medical Center, 
and Aya Healthcare, Inc. to provide supplemental staffing in nursing and to 
authorize payment for the services received and to be received under the c	ontract.  
 
RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That 
this resolution may be cited as the “Modification Nos. 2 and 3 to Contract 	NFPHC-NUR-
23-C-00039 between the Not-for-Profit Hospital Corporation and Aya Healthcare, Inc. 
Approval and Payment Authorization Emergency Declaration Resolution of 2025”. 
 	Sec. 2. (a) There exists an immediate need to approve Modification Nos. 2 and 3 
to Contract NFPHC -NUR-23-C-00039 (“Contract”) between the Not-for-Profit Hospital 
Corporation (“Hospital”) and Aya Healthcare, Inc. to provide supplemental staffing in 
nursing, and to authorize payment for the services received and to be received under the 
contract. 
(b) The Council approved the base year contract on December 22, 2022, in the 
amount of $ 6 million (CA24-0763). 
(c) The Council approved option year one on January 1, 2024, in the amount of 
$2.5 million (CA25-0573). 
 (d) Proposed Modification No. 2 would increase the total not	-to-exceed amount 
of option year one by $3.2 million	, for an aggregate value of $5.7 million. Council 
approval is necessary because this proposed modification exceed	s $1 million in a 12-
month period. 
(e) Proposed Modification No. 3 would partially exercise option year 2 for the 
period January 3, 2025, through March 31,2025, in the amount of $1.2 million. Council 	approval is necessary because the modification exceeds $1 million in a 12-	month period. 
(f) Without Council approval, Aya Healthcare, Inc. cannot be paid for these 
critical services provided and to be provided in excess of $1 million	.

Sec. 3. The Council determines that the circumstances enumerated in section 2 
constitute emergency circumstances making it necessary that Modification Nos. 2 and 3 
to Contract NFPHC -NUR-23-C-00039 between Not -for-Profit Hospital Corporation and 
Aya Healthcare, Inc. Approval and Payment Authorization Emergency Act of 2025 be 
adopted after a single reading. 
 
Sec. 4. This resolution shall take effect immediately.
