Dear Representative Tarwater: 
 
 SUBJECT: Fiscal Note for HB 2117 by House Committee on Commerce, Labor and 
Economic Development 
 
 In accordance with KSA 75-3715a, the following fiscal note concerning HB 2117 is 
respectfully submitted to your committee. 
 
 HB 2117 would change filing requirements and fees for business trusts, foreign 
corporations, business entities, and partnerships filed with the Secretary of State.  The bill would 
allow business trusts transacting business in Kansas to surrender its authority to transact business 
by filing, with the Secretary of State, a certificate of dissolution or withdrawal executed by an 
authorized person and pay an associated fee of up to $150. The bill would require a foreign 
corporation doing business in Kansas to file amendments to its articles of incorporation on a form 
prescribed by the Secretary.  The bill would also allow professional corporations and limited 
liability companies to participate in transactions under the Business Entity Transactions Act.  The 
bill would also make a resident agent’s certificate of resignation filed with the Secretary a public 
record. The bill would also revise the Revised Uniform Limited Partnership Act to no longer 
require a certificate of limited partnership to contain the latest date upon which the limited 
partnership is to dissolve.  The filing fee for the certificate would not exceed $150. 
 
 The Secretary of State indicates that HB 2117 would not have a fiscal effect on agency 
operations.
