UNOFFICIAL COPY 24 RS BR 1518 Page 1 of 9 XXXX 1/9/2024 4:16 PM Jacketed AN ACT relating to higher education finance and declaring an emergency. 1 Be it enacted by the General Assembly of the Commonwealth of Kentucky: 2 Section 1. KRS 164.746 is amended to read as follows: 3 (1) The authority shall be governed, all of its powers shall be exercised, and its duties 4 and functions shall be performed by a board of directors. 5 (a) [Subject to paragraph (b) of this subsection, ]Voting members of the board 6 shall consist of ten (10)[: 7 1. Seven (7)] members who shall be appointed from the general public 8 residing in the Commonwealth of Kentucky by the Governor from 9 nominees submitted by the Governor's Postsecondary Education 10 Nominating Committee under KRS 164.005[; and 11 2. Eight (8) members of the board of directors of the Kentucky Higher 12 Education Student Loan Corporation appointed by the Governor 13 pursuant to KRS 164A.050(3)(a)1., who shall serve terms of office on 14 the authority board of directors coextensive with their respective terms 15 of office on the Kentucky Higher Education Student Loan Corporation 16 board of directors]. 17 (b) [Upon resignation or expiration of the term of an appointed member of the 18 board of the authority or the Kentucky Higher Education Student Loan 19 Corporation, that member's position shall be abolished to reduce the combined 20 number of appointed members of the boards of the authority and the Kentucky 21 Higher Education Student Loan Corporation to ten (10) members. 22 (c) ]In addition, the president of the Council on Postsecondary Education, the 23 president of the Association of Independent Kentucky Colleges and 24 Universities, the State Treasurer, the commissioner of education, and the 25 secretary of the Finance and Administration Cabinet, or their designees who 26 shall be another official of the same cabinet or agency, shall serve as voting 27 UNOFFICIAL COPY 24 RS BR 1518 Page 2 of 9 XXXX 1/9/2024 4:16 PM Jacketed ex officio members. 1 (c)[(d)] The term of office of appointed members shall be four (4) years. Each 2 member shall serve for the term for which he or she is appointed and[, except 3 as provided in paragraph (b) of this subsection,] shall serve until his or her 4 successor is appointed. 5 (2) [Subject to paragraph (b) of subsection (1) of this section, ]Appointments to fill 6 vacancies on the board shall be made in the same manner as regular appointments. 7 The person appointed shall hold the position for the unexpired portion of the term 8 only. 9 (3) The board shall elect from its voting membership a chair, chair-elect, and secretary-10 treasurer who shall each serve for a term of one (1) year. At the conclusion of the 11 chair's term of office, the chair-elect shall become the chair for the succeeding year 12 and the board shall elect from its voting membership a new chair-elect. 13 (4) Board members, except officers or employees of the state, shall receive 14 compensation for their services, in the amount of one hundred dollars ($100) per 15 day, and may be reimbursed for actual and necessary expenses incurred in the 16 performance of their duties under KRS 164.740 to 164.785. 17 (5) The board shall provide for the holding of regular meetings and special meetings. 18 (a) A majority of the voting members shall constitute a quorum for the 19 transaction of any business, special meetings shall be called by the chair in 20 accordance with KRS 61.823, and either the chair or the chair-elect shall be 21 present for the transaction of any business. 22 (b) In lieu of personal attendance by members of the board[ of directors] at the 23 same location, the board[ of directors] may conduct meetings by 24 teleconference or other available technological means suitable for conducting 25 its business. Meetings of the board shall be open and accessible to the public 26 in accordance with KRS 61.805 to 61.850, and any alternate method of 27 UNOFFICIAL COPY 24 RS BR 1518 Page 3 of 9 XXXX 1/9/2024 4:16 PM Jacketed conducting a meeting in lieu of personal attendance shall ensure public access. 1 (6) The board shall adopt bylaws and policies governing its internal affairs and the 2 conduct of its business, and shall adopt administrative regulations pursuant to KRS 3 Chapter 13A, not inconsistent with law, in connection with the administration of the 4 authority's programs and the performance of its functions and duties. 5 (7) The board may: 6 (a) Appoint such officers and employees as necessary and may fix their 7 compensation, and shall prescribe their duties notwithstanding personnel 8 limits established by KRS 18A.010 or the biennial budget and its related 9 documents; and 10 (b) Adopt the provisions of KRS 45A.345 to 45A.460, pursuant to KRS 45A.343. 11 Section 2. KRS 164A.050 is amended to read as follows: 12 (1) There is hereby created and established an independent de jure municipal 13 corporation and political subdivision of the Commonwealth of Kentucky which 14 shall be a body corporate and politic to be known and identified as the Kentucky 15 Higher Education Student Loan Corporation. 16 (2) The Kentucky Higher Education Student Loan Corporation is created and 17 established as an independent de jure municipal corporation and political 18 subdivision of the Commonwealth of Kentucky to perform essential governmental 19 and public functions and purposes in improving and otherwise promoting the 20 educational opportunities of the citizens and inhabitants of the Commonwealth of 21 Kentucky and other qualified students by a program of financing, making, and 22 purchasing of student loans. 23 (3) (a) [Subject to paragraph (b) of this subsection, ]The corporation shall be 24 governed by a board of directors consisting of: 25 1. [Eight (8) voting members chosen from the general public residing in 26 the Commonwealth of Kentucky; and 27 UNOFFICIAL COPY 24 RS BR 1518 Page 4 of 9 XXXX 1/9/2024 4:16 PM Jacketed 2. ]Ten (10)[Seven (7)] voting members of the board of directors of the 1 Kentucky Higher Education Assistance Authority appointed by the 2 Governor pursuant to KRS 164.746(1)(a)[1. ], who shall serve terms of 3 office on the corporation board[ of directors] coextensive with their 4 respective terms of office on the Kentucky Higher Education Assistance 5 Authority board[ of directors]; and[.] 6 2.[(b)] The secretary of the Finance and Administration Cabinet, or a 7 designee who shall be another official of the same cabinet, who shall 8 serve as an ex officio voting member[Upon resignation or expiration of 9 the term of an appointed member of the board of the corporation and the 10 Kentucky Higher Education Assistance Authority, that member's 11 position shall be abolished to reduce the combined number of appointed 12 members of the boards of the corporation and the Kentucky Higher 13 Education Assistance Authority to ten (10) members]. 14 (b)[(c)] [In addition, ]The president of the Council on Postsecondary Education, 15 [the secretary of the Finance and Administration Cabinet, ]the president of the 16 Association of Independent Kentucky Colleges and Universities, the State 17 Treasurer, and the commissioner of education, or their designees who shall be 18 another official of the same cabinet or agency, shall serve as ex officio 19 nonvoting advisors to the board[voting members]. 20 (4) The Governor shall appoint directors according to subsection (3)(a)1. of this section 21 from nominees submitted by the Governor's Postsecondary[Higher] Education 22 Nominating Committee under KRS 164.005 to take office and to exercise all 23 powers thereof immediately. The terms shall be staggered and shall be for a period 24 of four (4) years each. Each director shall serve for the appointed term and[, except 25 as provided in subsection (3)(b) of this section,] shall serve until a successor has 26 been appointed and has duly qualified. 27 UNOFFICIAL COPY 24 RS BR 1518 Page 5 of 9 XXXX 1/9/2024 4:16 PM Jacketed (5) [Except as provided in subsection (3)(b) of this section, ]In the event of a vacancy, 1 the Governor may appoint a replacement director from nominees submitted by the 2 Governor's Postsecondary[Higher] Education Nominating Committee under KRS 3 164.005 who shall hold office during the remainder of the term so vacated. 4 (6) The Governor may remove any director from the general public in case of 5 incompetency, neglect of duties, gross immorality, or malfeasance in office; and 6 may thereupon declare such office vacant and may appoint a person to fill such 7 vacancy as provided in other cases of vacancy. 8 (7) The board shall elect from its voting membership a chair, chair-elect, and secretary-9 treasurer. The executive director of the Kentucky Higher Education Assistance 10 Authority shall serve as executive director of the corporation. 11 (8) The executive director shall administer, manage, and direct the affairs and business 12 of the corporation, subject to the policies, control, and direction of the board[ of 13 directors] of the corporation. The secretary-treasurer of the corporation shall keep a 14 record of the proceedings of the corporation and shall be custodian of all books, 15 documents, and papers filed with the corporation, the minute book or journal of the 16 corporation, and its official seal. The secretary-treasurer may copy all minutes and 17 other records and documents of the corporation and give certificates under the 18 official seal of the corporation to the effect that such copies are true copies and all 19 persons dealing with the corporation may rely upon such certificates. 20 (9) A majority of the board[ of directors] of the corporation shall constitute a quorum 21 for the purpose of conducting its business and exercising its powers and for all other 22 purposes notwithstanding the existence of any vacancies on[in respect of] the 23 board[ of directors]. 24 (10) Official actions may be taken by the corporation at meetings duly called by the 25 chair upon three (3) days' written notice to each director or upon the concurrence of 26 at least a majority of the directors. In lieu of personal attendance by members of the 27 UNOFFICIAL COPY 24 RS BR 1518 Page 6 of 9 XXXX 1/9/2024 4:16 PM Jacketed board[ of directors] at the same location, the board[ of directors] may conduct 1 meetings by teleconference or other available technological means suitable for 2 conducting its business. Meetings of the board shall be open and accessible to the 3 public in accordance with KRS 61.805 to 61.850, and any alternate method of 4 conducting a meeting in lieu of personal attendance shall ensure public access. 5 (11) Directors, except officers or employees of the state, shall receive one hundred 6 dollars ($100) compensation per day for their services and shall be entitled to 7 payment of any reasonable and necessary expense actually incurred in discharging 8 their duties under this chapter. 9 (12) Recognizing that the corporation and the Kentucky Higher Education Assistance 10 Authority are governed by the same board members appointed by the 11 Governor[identical boards of directors] and managed by a common executive 12 director and otherwise share staff functions, the two (2) organizations shall provide 13 technical, clerical, and administrative assistance to each other and for the Asset 14 Resolution Corporation, the Kentucky Educational Savings Plan Trust, and the 15 Commonwealth postsecondary education prepaid tuition trust fund, together with 16 necessary office space and personnel, and shall assist each other in all ways by the 17 performance of any and all actions which may be useful or beneficial in the 18 performance of their public functions. 19 (13) The corporation shall enter into contracts with the Kentucky Higher Education 20 Assistance Authority, the Asset Resolution Corporation, the Kentucky Educational 21 Savings Plan Trust, and the Commonwealth postsecondary education prepaid 22 tuition trust fund as may be proper and appropriate in respect to services which may 23 include but not be limited to the servicing and collection of student loans or to 24 facilitate the common administration, operation, and management of the contracting 25 entities. 26 Section 3. KRS 164A.055 is amended to read as follows: 27 UNOFFICIAL COPY 24 RS BR 1518 Page 7 of 9 XXXX 1/9/2024 4:16 PM Jacketed (1) As used in this section: 1 (a) "Board" means the board of directors of the Asset Resolution Corporation; 2 and 3 (b) "Corporation" means the Asset Resolution Corporation created in this section. 4 (2) There is hereby created and established an independent de jure municipal 5 corporation and political subdivision of the Commonwealth to be known as Asset 6 Resolution Corporation for the purpose of promoting higher educational 7 opportunities for the citizens of the Commonwealth by providing debt resolution 8 services for student loan obligations and any other student loan or student service- 9 or education-related activity to the extent such activity is not limited or prohibited 10 by statute or other governing authority. 11 (3) The corporation [shall be attached to the Kentucky Higher Education Student Loan 12 Corporation for administrative and reporting purposes and ]shall be governed, 13 managed, and administered as a separate and distinct instrumentality of the 14 Commonwealth in accordance with this section. 15 (4) [The Kentucky Higher Education Student Loan Corporation and its facilities shall 16 be used and employed in the administration of the corporation, including but not 17 limited to the keeping of records and the employment of staff to assist in the 18 performance of the designated activities of the corporation. 19 (5) ]The board shall have the power and authority to: 20 (a) Sue and be sued; 21 (b) Promulgate administrative regulations and adopt procedures to implement this 22 section; 23 (c) Make and enter into contracts necessary for the administration of the 24 corporation; 25 (d) Adopt a corporate seal and change and amend it from time to time; 26 (e) Make, execute, and effectuate any and all agreements or other documents with 27 UNOFFICIAL COPY 24 RS BR 1518 Page 8 of 9 XXXX 1/9/2024 4:16 PM Jacketed the United States Department of Education, this Commonwealth, any federal 1 or state agency, or any person, corporation, association, partnership, or other 2 organization or entity and perform other acts necessary or appropriate for the 3 effectuation of its rights and duties pursuant to this section; 4 (f) [Delegate to the Kentucky Higher Education Student Loan Corporation 5 general supervision and direction over the administrative function of the 6 corporation and its employees in carrying out the policies, programs, 7 administrative regulations, and directives of the board; 8 (g) ]Carry out the duties and obligations of the corporation pursuant to this 9 section, and to have any and all other powers as may be reasonably necessary 10 for the effectuation of the purposes of the corporation; 11 (g)[(h)] Adopt bylaws for the conduct of its business, including the designation 12 of directors, and prescribe rules, regulations, and policies in connection with 13 the performance of its functions and duties; 14 (h)[(i)] Employ consultants, attorneys, counselors, and such employees as may 15 be required in the judgment of the corporation and to fix and pay their 16 compensation and benefits; 17 (i)[(j)] Provide any service to schools or students related to student education 18 loans, including but not limited to the areas of financial awareness, 19 counseling, default aversion or prevention, servicing, and collecting; and 20 (j)[(k)] Provide support services for postsecondary education and workforce 21 development training and programs to students, families, schools, and training 22 centers. 23 (5)[(6)] Board members, except officers or employees of the state, shall receive 24 compensation for their services in the amount of one hundred dollars ($100) per day 25 for attendance at each board meeting and shall be entitled to payment of any 26 reasonable and necessary expenses actually incurred in discharging their duties 27 UNOFFICIAL COPY 24 RS BR 1518 Page 9 of 9 XXXX 1/9/2024 4:16 PM Jacketed under this section. 1 Section 4. Whereas maintaining efficient management of the state's financial 2 aid activities is a critical financial issue for the state, an emergency is declared to exist, 3 and this Act takes effect upon its passage and approval by the Governor or upon its 4 otherwise becoming a law. 5
