SENATE BILL NO. 522
BY SENATOR CLAITOR 
COLLEGES/UNIVERSITIES. Requires the individual management boards of Louisiana's
research universities to develop, adopt, and utilize a standard template agreement for
licensing agreements of university intellectual property. (8/1/12)
AN ACT1
To enact Subpart C, of Part X, of Chapter 26 of Title 17 of the Louisiana Revised Statutes2
of 1950 to be comprised of R.S. 17:3398.10 through 3398.11, relative to stimulus to3
economic and educational development; to provide for the University Research4
Economic Development Startup Act of 2012; to provide for legislative findings; to5
provide for establishment of guidelines; to provide for certain procedures, terms,6
conditions, and requirements; and to provide for related matters.7
Be it enacted by the Legislature of Louisiana:8
Section 1. Subpart C, of Part X, of Chapter 26 of Title 17 of the Louisiana Revised9
Statutes of 1950, comprised of R.S. 17:3398.10 through 3398.11, is hereby enacted to read10
as follows:11

§3398.10. Legislative findings14
Louisiana's research universities are integral asset to the state's economy15
and future development. Research universities create new intellectual16
properties that have the potential to create new ventures in Louisiana, and are17 SB NO. 522

capable of creating new products and services and high-paying jobs.  The1
potential for spurring a significant numbers of ventures and jobs is enhanced2
by the number of quality ventures that Louisiana's research universities assist3
in reaching the marketplace. In other states, a streamlined technology transfer4
policy regarding licensing agreements serves as an inducement to firms to5
spinout, create jobs, and remain in those states. In those states, the processes6
to commercialize technologies out of universities has been simplified and the use7
of standard template agreements for technology transfer to the private sector8
is an essential part of that process. To achieve these goals, the legislature of9
State of Louisiana finds that adoption of simplified standard template10
agreements between the research universities, its faculty and staff, will11
encourage those entrepreneurs to pursue new ventures when the complexity of12
starting the venture is decreased and the predictability of the process is more13
certain.  Therefore, the Legislature hereby enacts this Subpart, which may be14
cited as the University Research Economic Development Startup Act of 2012.15
§3398.11. Establishment of guidelines16
A. The individual management boards of Louisiana's research17
universities, as classified according to the Carnegie Classification of Institutions18
of Higher Education, shall develop, adopt, and utilize a standard template19
agreement for licensing agreements of university intellectual property.20
B. The boards shall consider the Carnegie Mellon University standard21
licensing agreement as a guide in developing its own standard licensing22
agreement.23
C. The boards shall comply with the Administrative Procedure Act24
during the development of its standard licensing agreement.25
D. The boards shall submit the standard licensing agreements to the26
Senate Committee on Education and the House of Representatives Committee27
on Education for approval, no later than February 1, 2013.28 SB NO. 522

Proposed law requires the individual management boards of Louisiana's research universities
to develop, adopt, and utilize a standard template agreement for licensing agreements of
university intellectual property.  Proposed law further requires the boards to consider the
Carnegie Mellon University standard licensing agreement as a guide in developing its own
standard licensing agreement.
Proposed law requires the boards shall comply with the APA during the development of the
standard licensing agreement.
Proposed law requires the boards to submit the standard licensing agreements to the Senate
and House committees on Education for approval no later than February 1, 2013.
Effective August 1, 2012.
