SECRETARY OF STATE:  Increases certain fees chargeable by the secretary of state
AN ACT1
To amend and reenact R.S. 49:222(B)(1)(b), (c), and (g), (2)(a) and (d), (3)(a), (b), and (e),2
(5)(b), and (12)(c), relative to fees chargeable by secretary of state; to authorize the3
secretary of state to increase certain fees; and to provide for related matters.4
Be it enacted by the Legislature of Louisiana:5
Section 1.  R.S. 49:222(B)(1)(b), (c), and (g), (2)(a) and (d), (3)(a), (b), and (e),6
(5)(b), and (12)(c) are hereby amended and reenacted to read as follows: 7
ยง222.  Fees chargeable by secretary of state8

B.  The secretary of state is authorized to collect the following fees:10
(1)  Domestic corporations and limited liability companies.11

(b)  Sixty Seventy-five dollars for filing and recording articles of13
incorporation, amended articles of incorporation, dissolution proceedings,14
termination of dissolution proceedings, reinstatement proceedings, merger15
proceedings, conversions, and certificates of correction.16
(c)  Seventy-five One hundred dollars for filing and recording articles of17

of dissolution proceedings, reinstatement proceedings, merger proceedings, and1
certificates of correction.2

(g)  Twenty-five Thirty dollars for annual reports.4
(2) Nonprofit corporations.  (a)  Sixty Seventy-five dollars for filing and5
recording articles of incorporation, amended articles of incorporation, dissolution6
proceedings, termination of dissolution proceedings, reinstatement proceedings,7
merger proceedings, conversions, and certificates of correction.8

(d)  Five Ten dollars for annual reports.10
(3) Foreign corporations and limited liability companies.  (a)  One hundred11
twenty-five dollars for filing and recording applications for authority on12
corporations, amended applications, withdrawal proceedings, termination of13
withdrawal proceedings, reinstatement proceedings, merger proceedings, and14
certificates of correction.15
(b) One hundred twenty-five fifty dollars for filing and recording16
applications for authority on limited liability companies, amended applications,17
withdrawal proceedings, termination of withdrawal proceedings, reinstatement18
proceedings, merger proceedings, and certificates of correction.19

trade name, trademark, or service mark.26

(c) There shall be a twenty-five fifty dollar fee for receipt of service of1
process or other instruments.2

Present law authorizes the secretary of state to collect certain fees.
Present law authorizes the secretary of state to collect $60 for filing and recording articles
of incorporation, amended articles of incorporation, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for domestic corporations.  Proposed law increases the fee to $75. Provides that
the fee may additionally be collected for conversions.
Present law authorizes the secretary of state to collect $75 for filing and recording articles
of organization, amended articles of organization, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for domestic limited liability companies.  Proposed law increases the fee to $100.
Present law authorizes the secretary of state to collect $25 for annual reports for domestic
corporations and limited liability companies.  	Proposed law increases the fee to $30.
Present law authorizes the secretary of state to collect $60 for filing and recording articles
of incorporation, amended articles of incorporation, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for nonprofit corporations.  Proposed law increases the fee to $75. Provides that
the fee may additionally be collected for conversions.
Present law authorizes the secretary of state to collect $5 for annual reports for nonprofit
corporations.  Proposed law increases the fee to $10.
Present law authorizes the secretary of state to collect $100 for filing and recording
applications for authority on foreign corporations, amended applications, withdrawal
proceedings, termination of withdrawal proceedings, reinstatement proceedings, merger
proceedings, and certificates of correction for foreign corporations.  Proposed law increases
the fee to $125.
Present law authorizes the secretary of state to collect $125 for filing and recording
applications for authority on foreign limited liability companies, amended applications,
withdrawal proceedings, termination of withdrawal proceedings, reinstatement proceedings,
merger proceedings, and certificates of correction for foreign limited liability companies.
Proposed law increases the fee to $150.
Present law authorizes the secretary of state to collect $25 for annual reports for foreign

trademark, or service mark.  Proposed law increases the fee to $75. Provides that the fee
may additionally be collected for renewing and terminating a trade name, trademark, or
service mark.
Present law authorizes the secretary of state to collect $25 for receipt of service of process
or other instruments.  Proposed law increases the fee to $50.
