Abstract: Increases certain fees chargeable by the secretary of state.
Present law authorizes the secretary of state to collect certain fees.
Present law authorizes the secretary of state to collect $60 for filing and recording articles of
incorporation, amended articles of incorporation, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for domestic corporations.  Proposed law increases the fee to $75.  Provides that the
fee may additionally be collected for conversions.
Present law authorizes the secretary of state to collect $75 for filing and recording articles of
organization, amended articles of organization, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for domestic limited liability companies.  	Proposed law increases the fee to $100.
Present law authorizes the secretary of state to collect $25 for annual reports for domestic
corporations and limited liability companies.  	Proposed law increases the fee to $30.
Present law authorizes the secretary of state to collect $60 for filing and recording articles of
incorporation, amended articles of incorporation, dissolution proceedings, termination of
dissolution proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for nonprofit corporations.  Proposed law increases the fee to $75.  Provides that the
fee may additionally be collected for conversions.

corporations.  Proposed law increases the fee to $10.
Present law authorizes the secretary of state to collect $100 for filing and recording applications
for authority on foreign corporations, amended applications, withdrawal proceedings, termination
of withdrawal proceedings, reinstatement proceedings, merger proceedings, and certificates of
correction for foreign corporations.  Proposed law increases the fee to $125.
Present law authorizes the secretary of state to collect $125 for filing and recording applications
for authority on foreign limited liability companies, amended applications, withdrawal
proceedings, termination of withdrawal proceedings, reinstatement proceedings, merger
proceedings, and certificates of correction for foreign limited liability companies.  	Proposed law increases the fee to $150.
Present law authorizes the secretary of state to collect $25 for annual reports for foreign
corporations and limited liability companies.  	Proposed law increases the fee to $30.
Present law authorizes the secretary of state to collect $50 for registering a trade name,
trademark, or service mark.  Proposed law increases the fee to $75.  Provides that the fee may
additionally be collected for renewing and terminating a trade name, trademark, or service mark.
Present law authorizes the secretary of state to collect $25 for receipt of service of process or
other instruments.  Proposed law increases the fee to $50.
