Present law creates and provides for the La. Housing Corp. "corporation" as an
instrumentality of the state and successor to the La. Housing Finance Agency in order to
address the shortage of residential housing available to persons and families of low or
moderate income, citizens with disabilities, and senior citizens and to assist in the lack of a
coordinated approach or clear statewide policy regarding funds for such housing.
Proposed law retains present law and additionally provides that the corporation is a political
subdivision of the state.
Present law provides that the powers of the corporation are vested in the board of directors.
Requires the board of directors to appoint an executive director of the corporation subject
to confirmation by the Senate for a term not to exceed three years. Provides relative to the
powers and duties of the executive director, including managing and directing the affairs and
business of the corporation, subject to the policies, control, and direction of the board of
directors.  Present law authorizes the board to employ counsel to represent the board and
authorizes the board to appoint officers and prescribe their duties to assist in the operation
of the corporation, including but not limited to a secretary or treasurer of the corporation.
Requires that the offices and duties be included in the bylaws of the corporation.
Proposed law retains present law.
Present law provides that a majority of the members of the board currently serving
constitutes a quorum for the transaction of any business, and the presence of a quorum is
required for the exercise of any power or function of the corporation. Provides that no
vacant office can be included in the determination of the number of members of the board
necessary to establish a quorum.
Proposed law removes requirement for the presence of a quorum for the board to exercise
any power or function.  Otherwise retains present law.
Present law provides that no action may be taken by the board until such time as at least
seven of the members have been appointed and have taken the oath of office. Proposed law
retains present law.
Present law provides that action may be taken by a quorum of the board upon an affirmative
vote of a majority of the members present. Additionally provides that no vacancy in the
board can impair the rights of a quorum of the board to exercise any power or function of
the corporation as provided in present law.
Proposed law removes provision that provides that action may be taken by a quorum of the
board.  Proposed law otherwise retains present law.
Present law authorizes the board to create and appoint members to any committee deemed
necessary or beneficial to carrying out the duties of the board.  Proposed law retains present
law and additionally authorizes the board to create and appoint members to an executive
committee.
Present law provides that the corporation shall have all the powers and duties of a housing
authority created pursuant to the La. Housing Authorities Law, necessary to administer the
Permanent Supportive Housing program.
Proposed law retains present law except removes provision that limits the corporation
powers to administering the Permanent Supportive Housing program.  Proposed law RDCSB588 552 4808

additionally provides that nothing in present or proposed law shall be interpreted as
superseding the rights of any existing housing authority.

Summary of Amendments Adopted by House
Committee Amendments Proposed by House Committee on Municipal, Parochial and
Cultural Affairs to the engrossed bill.
1. Adds changes to present law provisions relative to actions taken by the board of
directors of the corporation.  Removes provisions that require a presence of a
quorum for the exercise of any power or function of the corporation.
2. Authorizes the board to create and appoint members to an executive committee.
3. Makes technical changes.
