HOUSE CONCURRENT RESOL UTION NO. 141
BY REPRESENTATIVE FOIL
CORPORATIONS: Requests the Louisiana State Law Institute to study and make
recommendations regarding revision of the laws of limited liability companies,
nonprofit corporations, and other business entities in the state of Louisiana
1 A CONCURRENT RESOL UTION
2To urge and request the Louisiana State Law Institute to study and make recommendations
3 regarding revision of the laws of limited liability companies, nonprofit corporations,
4 and other business entities in the state of Louisiana.
5 WHEREAS, the laws of the state with respect to limited liability companies were
6incorporated into the Louisiana Revised Statutes of 1950 and revised twenty-three years ago
7by Act No. 780 of the 1992 Regular Session; and
8 WHEREAS, the laws of the state with respect to nonprofit corporations were
9incorporated into the Louisiana Revised Statutes of 1950 and revised forty-seven years ago
10by Act No. 105 of the 1968 Regular Session; and
11 WHEREAS, those laws have been amended on a regular basis by the legislature and
12are now in need of revision; and
13 WHEREAS, some laws of the state with respect to other business entities provided
14for in Title 12 of the Louisiana Revised Statutes of 1950 have not been revised since
15enacted; and
16 WHEREAS, the modernization of the laws of Louisiana relative to business entities
17and the harmonization of those laws with the laws of most other states will help Louisiana
18business entities to remain competitive with those business entities formed in other states;

1 WHEREAS, such modernization of the laws of Louisiana and harmonization with
2the laws of other states will increase the certainty and predictability of Louisiana law relative
3to business entities, and allow Louisiana's law relative to business entities to remain current
4with leading business entities revision work.
5 THEREFORE, BE IT RESOLVED that the Legislature of Louisiana does hereby
6urge and request the Louisiana State Law Institute to study and make recommendations
7regarding revision of the laws of the state relative to limited liability companies, nonprofit
8corporations, and other business entities and to report its findings and recommendations to
9the legislature.
10 BE IT FURTHER RESOLVED that a copy of this Resolution be transmitted to the
11Louisiana State Law Institute.
