HOUSE CONCURRENT RESOL UTION NO. 141
BY REPRESENTATIVES FOIL AND ABRAMSON
A CONCURRENT RESOL UTION
To urge and request the Louisiana State Law Institute to study and make recommendations
regarding revision of the laws of limited liability companies, nonprofit corporations,
and other business entities in the state of Louisiana.
WHEREAS, the laws of the state with respect to limited liability companies were
incorporated into the Louisiana Revised Statutes of 1950 and revised twenty-three years ago
by Act No. 780 of the 1992 Regular Session; and
WHEREAS, the laws of the state with respect to nonprofit corporations were
incorporated into the Louisiana Revised Statutes of 1950 and revised forty-seven years ago
by Act No. 105 of the 1968 Regular Session; and
WHEREAS, those laws have been amended on a regular basis by the legislature and
are now in need of revision; and 
WHEREAS, some laws of the state with respect to other business entities provided
for in Title 12 of the Louisiana Revised Statutes of 1950 have not been revised since
enacted; and
WHEREAS, the modernization of the laws of Louisiana relative to business entities
and the harmonization of those laws with the laws of most other states will help Louisiana
business entities to remain competitive with those business entities formed in other states;
and
WHEREAS, such modernization of the laws of Louisiana and harmonization with 
the laws of other states will increase the certainty and predictability of Louisiana law relative
to business entities, and allow Louisiana's law relative to business entities to remain current
with leading business entities revision work.

THEREFORE, BE IT RESOLVED that the Legislature of Louisiana does hereby
urge and request the Louisiana State Law Institute to study and make recommendations
regarding revision of the laws of the state relative to limited liability companies, nonprofit
corporations, and other business entities and to report its findings and recommendations to
the legislature. 
BE IT FURTHER RESOLVED that a copy of this Resolution be transmitted to the
Louisiana State Law Institute.
