407.645.1.Asusedinthissection,thefollowingtermsmean:
2 (1)"Authorizedrepairprovider",anindividualorbusinesswhohasan
3arrangementwiththeoriginalequipmentmanufacturerunderwhichtheoriginal
4equipmentmanufacturergrantstotheindividualorbusinessalicensetouseatrade
5name,servicemark,orotherproprietaryidentifierforthepurposesofofferingthe
6servicesofdiagnosis,maintenance,orrepairofamotorcycleunderthenameofthe
7originalequipmentmanufacturer,orotherarrangementwiththeoriginalequipment
8manufacturertooffersuchservicesonbehalfoftheoriginalequipmentmanufacturer.
9Anoriginalequipmentmanufacturerwhoofferstheservicesofdiagnosis,maintenance,
10orrepairofitsownmotorcycleandwhodoesnothaveanarrangementwithan
11unaffiliatedindividualorbusinessshallbeconsideredanauthorizedrepairprovider
12withrespecttomotorcycles;
13 (2)"Documentation",anymanual,diagram,reportingoutput,servicecode
14description,schematicdiagram,securitycodes,passwords,orotherguidanceor
15informationusedineffectingtheservicesofdiagnosis,maintenance,orrepairofa
16motorcycle;

intendedtobeomittedfromthelaw.Matterinbold-facetypeintheabovebillisproposedlanguage. 17 (3)"Fairandreasonableterms",makingavailableparts,tools,or
18documentationasfollows:
19 (a)Thatdocumentationismadeavailablebytheoriginalequipment
20manufactureratnocharge,exceptwhenthedocumentationisrequestedinphysical
21printedform,achargemaybeincludedforthereasonable,actualcostsofpreparing
22andsendingthecopy;
23 (b)Thattoolsaremadeavailablebytheoriginalequipmentmanufactureratno
24chargeandwithoutrequiringauthorizationorinternetaccessforuseoroperationofthe
25tool,orimposingimpedimentstoaccessoruseofthetoolstodiagnose,maintain,or
26repairandenablefullfunctionalityofdigitalmotorcycleequipment,orinamannerthat
27impairstheefficientandcost-effectiveperformanceofanysuchdiagnosis,maintenance,
28orrepair,exceptthatwhenthetoolisrequestedinphysicalform,achargemaybe
29includedforthereasonable,actualcostsofpreparingandsendingthetool;and
30 (c)Thatpartsaremadeavailablebytheoriginalequipmentmanufacturer,
31eitherdirectlyorthroughanauthorizedrepairprovider,toindependentrepair
32providersandownersatcostsandtermsthatareequivalenttothemostfavorablecosts
33andtermsunderwhichanoriginalequipmentmanufactureroffersthepartstoan
34authorizedrepairproviderandthat:
35 a.Accountsforanydiscount,rebate,convenient,andtimelymeansofdelivery;
36meansofenablingfullyrestoredandupdatedfunctionality,rightsofuse,orother
37incentiveandpreferencetheoriginalmanufacturerofferstoanauthorizedrepair
38provider;oranyadditionalcost,burden,orimpedimenttheoriginalequipment
39manufacturerimposesonanownerorindependentrepairprovider;
40 b.Isnotconditionedonorimposingasubstantialobligationorrestrictionthatis
41notreasonablynecessaryforenablingtheownerorindependentrepairproviderto
42engageinthediagnosis,maintenance,orrepairofequipmentmadebyoronbehalfof
43theoriginalequipmentmanufacturer;and
44 c.Isnotconditionedonanarrangementwiththeoriginalequipment
45manufacturer;
46 (4)"Independentrepairprovider",anindividualorbusinessoperatinginthis
47statethatisunaffiliatedwithanoriginalequipmentmanufacturerthatisengagedinthe
48servicesofdiagnosis,maintenance,orrepairofmotorcycles;
49 (5)"Motorcycle",amotorcycleasdefinedinsection300.010,excludingany
50equipmentnotprimarilydesignedforuseonhighways;
51 (6)"Originalequipmentmanufacturer",abusinessengagedinthebusinessof
52selling,leasing,orotherwisesupplyingnewmotorcyclesmanufacturedby,oronbehalf
53ofitself,toanyindividualorbusiness;

55purchasedorusedinthisstate;
56 (8)"Part",anyreplacementpart,eitherneworused,madeavailablebyan
57originalequipmentmanufacturerforpurposesofeffectingtheservicesofmaintenance
58orrepairofamotorcyclemanufacturedbyoronbehalfof,sold,orotherwisesupplied
59bytheoriginalequipmentmanufacturer;
60 (9)"Tool",anysoftwareprogram,hardwareimplement,orotherapparatus
61usedfordiagnosis,maintenance,orrepairofamotorcycle,includingsoftwareorother
62mechanismsthatprovision,program,orpairanewpart,calibratefunctionality,or
63performanyotherfunctionrequiredtobringtheproductbacktofullyfunctional
64condition,includinganyupdates;
65 (10)"Tradesecret",thesamemeaningassuchtermisdefinedinsection417.453.
66 2.(1)Formotorcyclesandpartsformotorcyclesthataresoldorusedinthis
67state,anoriginalequipmentmanufacturershallmakeavailabletoanyindependent
68repairproviderandownerofamotorcyclemanufacturedbyoronbehalfof,orsoldby
69suchoriginalequipmentmanufacturer,onfairandreasonableterms,any
70documentation,parts,andtoolsrequiredforthediagnosis,maintenance,orrepairof
71suchamotorcycleandpartsforthemotorcycle,inclusiveofanyupdatestoinformation.
72Thedocumentation,parts,andtoolsshallbemadeavailableeitherdirectlybythe
73originalequipmentmanufacturerorviaanauthorizedrepairprovider.
74 (2)Forequipmentthatcontainsamotorcyclesecuritylockorothersecurity-
75relatedfunction,theoriginalequipmentmanufacturershallmakeavailabletoany
76ownerandindependentrepairprovider,onfairandreasonableterms,anyspecial
77documentation,tools,andpartsneededtoaccessandresetthelockorfunctionwhen
78disabledinthecourseofdiagnosis,maintenance,orrepairofthemotorcycle.The
79documentation,tools,andpartsmaybemadeavailablethroughappropriatesecure-
80releasesystems.
81 3.Withrespecttoequipmentthatcontainsanelectronicsecuritylockorother
82security-relatedfunction,amanufacturershall,withfairandreasonabletermsand
83costs,makeavailabletoindependentrepairprovidersandownersanydocumentation,
84parts,embeddedsoftware,firmware,ortools,or,withownerauthorization,dataneeded
85toresetthelockorfunctionwhendisabledinthecourseofprovidingservices.The
86manufacturermaymakethedocumentation,parts,embeddedsoftware,firmware,
87ortools,or,withownerauthorization,dataavailabletoindependentrepairproviders
88andownersthroughappropriatesecurereleasesystems.
89 4.Violationofthissectionisanunlawfulpracticeundersections407.010to
90407.130ofthemerchandisingpracticesact.Allremedies,penalties,andauthority
HB110 3 91grantedtotheattorneygeneralundersections407.010to407.130shallbeavailablefor
92theenforcementofthissection.
93 5.(1)Nothinginthissectionshallrequireanoriginalequipmentmanufacturer
94todivulgeanytradesecrettoanyownerorindependentserviceprovider.
95 (2)Nothinginthissectionshallalterthetermsofanyarrangementinforce
96betweenanauthorizedrepairproviderandanoriginalequipmentmanufacturer
97including,butnotlimitedto,theperformanceorprovisionofwarrantyorrecallrepair
98workbyanauthorizedrepairprovideronbehalfofanoriginalequipment
99manufacturerandpursuanttosucharrangement,exceptthatanyprovisioninthe
100termsthatpurportstowaive,avoid,restrict,orlimittheoriginalequipment
101manufacturer'sobligationstocomplywiththissectionshallbevoidandunenforceable.
102 (3)Nothinginthissectionshallbeconstruedtorequireamanufacturertomake
103availablespecialdocumentation,tools,andpartsthatwoulddisableoroverride
104antitheftsecuritymeasuressetbytheowneroftheproductwithouttheowner's
105authorization.
106 (4)Nooriginalequipmentmanufacturerorauthorizedrepairprovidershallbe
107liableforanydamageorinjurycausedtoanymotorcyclebyanindependentrepair
108providerorownerwhichoccursduringthecourseofrepair,diagnosis,ormaintenance.
109 6.Thissectionshallapplywithrespecttomotorcyclessoldorinuseonorafter
110January1,2026.
111 7.TheenactmentofthissectionshallbecomeeffectiveJanuary1,2026.
