SENATE BILL NO. 617 By: Paxton
An Act relating to venue; amending 12 O.S. 20 21,
Section 134, which relates to domes tic corporations;
clarifying proper venue for action s against limited
liability companies; updating statutory language;
updating statutory refere nce; and providing an
effective date.
BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:
SECTION 1. AMENDATORY 12 O.S. 2021, Section 134, is
amended to read as follows:
Section 134. An action, other than one of those mentioned
described in first three sections Sections 131 through 133 of this
article title , against a limited liability company o r corporation
created by the laws of this state, may be brought in the county in
which it is situated, or has its principal offi ce or place of
business, or in which any of the members, managers or principal
officers thereof may resi de, or be summoned, or in the county where
the cause of action or some part thereof arose, or in any county
where a codefendant of such limited liability company or corporation
created by the laws of th is state may properly be sued.

SECTION 2. This act shall become effective November 1, 2023.
