SHORT TITLE. 3 This Act may be cited as the ‘‘Secure Adjacent Federal 4 Property Act of 2023’’. 5 SEC. 2. DEFINITIONS. 6 In this Act: 7 (1) A DMINISTRATOR.—The term ‘‘Adminis-8 trator’’ means the Administrator of General Services. 9 (2) B ENEFICIAL OWNER.— 10 (A) I N GENERAL.—The term ‘‘beneficial 11 owner’’, with respect to a covered entity, means 12 each natural person who, directly or indirectly, 13 through any contract, arrangement, under-14 standing, relationship, or otherwise— 15 (i) exercises substantial control over 16 the covered entity; or 17 (ii) owns or controls not less than 25 18 percent of the ownership interests of, or re-19 ceives substantial economic benefits from the 20 assets of, the covered entity. 21 (B) E XCLUSIONS.—The term ‘‘beneficial 22 owner’’, with respect to a covered entity, does not 23 include— 24 (i) a minor; 3 (iii) a person acting solely as an em-4 ployee of the covered entity and whose con-5 trol over or economic benefits from the cov-6 ered entity derives solely from the employ-7 ment status of the person; 8 (iv) a person whose only interest in the 9 covered entity is through a right of inherit-10 ance, unless the person also meets the re-11 quirements of subparagraph (A); or 12 (v) a creditor of the covered entity, un-13 less the creditor also meets the requirements 14 of subparagraph (A). 15 (C) A NTI-ABUSE RULE.—The exclusions 16 under subparagraph (B) shall not apply if, in 17 the determination of the Administrator, an ex-18 clusion is used for the purpose of evading, cir-19 cumventing, or abusing the requirements of this 20 Act. 21 (3) C ONTROL.—The term ‘‘control’’, with respect 22 to a covered entity, means— 23 (A) having the authority or ability to deter-24 mine how the covered entity is utilized; or 8 (B) any governmental entity or instrumen-9 tality of a government. 10 (5) E XECUTIVE AGENCY.—The term ‘‘Executive 11 agency’’ has the meaning given the term in section 12 105 of title 5, United States Code. 13 (6) F EDERAL AGENCY.—The term ‘‘Federal agen-14 cy’’ means— 15 (A) an Executive agency; and 16 (B) any establishment in the legislative or 17 judicial branch of the Federal Government. 18 (7) F EDERAL LESSEE.— 19 (A) I N GENERAL.—The term ‘‘Federal les-20 see’’ means— 21 (i) the Administrator; or 7 (ii) the Secretary of Defense. 8 (8) F EDERAL TENANT.— 9 (A) I N GENERAL.—The term ‘‘Federal ten-10 ant’’ means a Federal agency that is occupying 11 or will occupy a high-security leased space for 12 which a lease agreement has been secured on be-13 half of the Federal agency. 14 (B) E XCLUSION.—The term ‘‘Federal ten-15 ant’’ does not include an element of the intel-16 ligence community. 17 (9) F OREIGN ENTITY.—The term ‘‘foreign entity’’ 18 means— 19 (A) a corporation, company, business asso-20 ciation, partnership, society, trust, or any other 21 nongovernmental entity, organization, or group 22 that is headquartered in or organized under the 23 laws of— 24 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00014 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 15 •S 1868 RS (i) a country that is not the United 1 States; or 2 (ii) a State, unit of local government, 3 or Indian Tribe that is not located within 4 or a territory of the United States; or 5 (B) a government or governmental instru-6 mentality that is not— 7 (i) the United States Government; or 8 (ii) a State, unit of local government, 9 or Indian Tribe that is located within or a 10 territory of the United States. 11 (10) F OREIGN PERSON.—The term ‘‘foreign per-12 son’’ means an individual who is not a United States 13 person. 14 (11) H IGH-SECURITY LEASED ADJACENT 15 SPACE.—The term ‘‘high-security leased adjacent 16 space’’ means a building or office space that shares a 17 boundary with or surrounds a high-security leased 18 space. 19 (12) H IGH-SECURITY LEASED SPACE.—The term 20 ‘‘high-security leased space’’ means a space leased by 21 a Federal lessee that— 22 (A) will be occupied by Federal employees 23 for nonmilitary activities; and 24 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00015 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 16 •S 1868 RS (B) has a facility security level of III, IV, 1 or V, as determined by the Federal tenant in 2 consultation with the Interagency Security Com-3 mittee, the Secretary of Homeland Security, and 4 the Administrator. 5 (13) H IGHEST-LEVEL OWNER.—The term ‘‘high-6 est-level owner’’ means an entity that owns or con-7 trols— 8 (A) an immediate owner of the offeror of a 9 lease for a high-security leased adjacent space; or 10 (B) 1 or more entities that control an im-11 mediate owner of the offeror of a lease described 12 in subparagraph (A). 13 (14) I MMEDIATE OWNER.—The term ‘‘immediate 14 owner’’ means an entity, other than the offeror of a 15 lease for a high-security leased adjacent space, that 16 has direct control of that offeror, including— 17 (A) ownership or interlocking management; 18 (B) identity of interests among family 19 members; 20 (C) shared facilities and equipment; and 21 (D) the common use of employees. 22 (15) I NTELLIGENCE COMMUNITY .—The term ‘‘in-23 telligence community’’ has the meaning given the 24 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00016 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 17 •S 1868 RS term in section 3 of the National Security Act of 1947 1 (50 U.S.C. 3003). 2 (16) S UBSTANTIAL ECONOMIC BENEFITS .—The 3 term ‘‘substantial economic benefits’’, with respect to 4 a natural person described in paragraph (2)(A)(ii), 5 means having an entitlement to the funds or assets of 6 a covered entity that, as a practical matter, enables 7 the person, directly or indirectly, to control, manage, 8 or direct the covered entity. 9 (17) U NITED STATES PERSON .—The term 10 ‘‘United States person’’ means an individual who— 11 (A) is a citizen of the United States; or 12 (B) is an alien lawfully admitted for per-13 manent residence in the United States. 14 SEC. 3. GOVERNMENT-WIDE STUDY. 15 (a) C OORDINATIONSTUDY.—The Administrator, in co-16 ordination with the Director of the Federal Protective Serv-17 ice, the Secretary of Homeland Security, the Director of the 18 Office of Management and Budget, and any other relevant 19 entities, as determined by the Administrator, shall carry 20 out a Government-wide study examining options to assist 21 agencies (as defined in section 551 of title 5, United States 22 Code) to produce a security assessment process for high-se-23 curity leased adjacent space before entering into a lease or 24 novation agreement with a covered entity for the purposes 25 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00017 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 18 •S 1868 RS of accommodating a Federal tenant located in a high-secu-1 rity leased space. 2 (b) C ONTENTS.—The study required under subsection 3 (a)— 4 (1) shall evaluate how to produce a security as-5 sessment process that includes a process for assessing 6 the threat level of each occupancy of a high-security 7 leased adjacent space, including through— 8 (A) site-visits; 9 (B) interviews; and 10 (C) any other relevant activities determined 11 necessary by the Director of the Federal Protec-12 tive Service; and 13 (2) may include a process for collecting and 14 using information on each immediate owner, highest- 15 level owner, or beneficial owner of a covered entity 16 that seeks to enter into a lease with a Federal lessee 17 for a high-security leased adjacent space, including— 18 (A) name; 19 (B) current residential or business street ad-20 dress; and 21 (C) an identifying number or document 22 that verifies identity as a United States person, 23 a foreign person, or a foreign entity. 24 (c) W ORKINGGROUP.— 25 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00018 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 19 •S 1868 RS (1) IN GENERAL.—Not later than 90 days after 1 the date of enactment of this Act, the Administrator, 2 in coordination with the Director of Federal Protec-3 tive Service, the Secretary of Homeland Security, the 4 Director of the Office of Management and Budget, 5 and any other relevant entities, as determined by the 6 Administrator, shall establish a working group to as-7 sist in the carrying out of the study required under 8 subsection (a). 9 (2) N O COMPENSATION.—A member of the work-10 ing group established under paragraph (1) shall re-11 ceive no compensation as a result of serving on the 12 working group. 13 (3) S UNSET.—The working group established 14 under paragraph (1) shall terminate on the date on 15 which the report required under subsection (f) is sub-16 mitted. 17 (d) P ROTECTION OF INFORMATION.—The Adminis-18 trator shall ensure that any information collected pursuant 19 to the study required under subsection (a) shall not be made 20 available to the public. 21 (e) L IMITATION.—Nothing in this section requires an 22 entity located in the United States to provide information 23 requested pursuant to the study required under subsection 24 (a). 25 VerDate Sep 11 2014 04:19 Jul 28, 2023 Jkt 039200 PO 00000 Frm 00019 Fmt 6652 Sfmt 6203 E:\BILLS\S1868.RS S1868 kjohnson on DSK79L0C42PROD with BILLS 20 •S 1868 RS (f) REPORT.—Not later than 2 years after the date of 1 enactment of this Act, the Administrator, in coordination 2 with the Director of Federal Protective Service, the Sec-3 retary of Homeland Security, the Director of the Office of 4 Management and Budget, and any other relevant entities, 5 as determined by the Administrator, shall submit to the 6 Committee on Homeland Security and Governmental Af-7 fairs of the Senate and the Committee on Transportation 8 and Infrastructure of the House of Representatives a report 9 describing— 10 (1) the results of the study required under sub-11 section (a); and 12 (2) how all applicable privacy laws and rights 13 relating to the First and Fourth Amendments to the 14 Constitution of the United States would be upheld 15 and followed in— 16 (A) the security assessment process described 17 in paragraph (1) of subsection (b);
