15 | 15 | | Under existing law, indemnification agreements |

16 | 16 | | in contracts for the professional services of a design |
---|
17 | 17 | | professional or for the construction of a road or |
---|
18 | 18 | | bridge are prohibited from requiring a party to the |
---|
19 | 19 | | contract to indemnify, hold harmless, or defend another |
---|
20 | 20 | | party to the contract for any damages arising from the |
---|
21 | 21 | | negligent conduct of the party to be indemnified. |
---|
22 | 22 | | This bill would regulate indemnification |
---|
23 | 23 | | agreements between parties to a construction contract |
---|
24 | 24 | | to prohibit a party to a construction contract from |
---|
25 | 25 | | being required to indemnify, hold harmless, or defend |
---|
26 | 26 | | another party to the construction contract for |
---|
27 | 27 | | liability caused by the sole negligence, or by the |
---|
28 | 28 | | wantonness, recklessness, or intentional misconduct, of |
---|
29 | 29 | | the party to be indemnified. |
---|
30 | 30 | | This bill would also prohibit indemnification |
---|
31 | 31 | | agreements in a construction contract from requiring a |
---|
32 | 32 | | party to the contract to indemnify, hold harmless, or |
---|
33 | 33 | | defend another party to the contract for that party's |
---|
34 | 34 | | own negligence unless the certain requirements are met, |
---|
35 | 35 | | including an agreement on the extent of the monetary |
---|
36 | 36 | | limitation of the indemnification. The bill would limit |
---|
37 | 37 | | the indemnitor's indemnification obligation to the |
---|

73 | 73 | | regulations for indemnification agreements in certain |
---|

75 | 75 | | BE IT ENACTED BY THE LEGISLATURE OF ALABAMA: |
---|
76 | 76 | | Section 1. As used in this act, the following terms |
---|
77 | 77 | | have the following meanings: |
---|
78 | 78 | | (1) CONSTRUCTION CONTRACT. A contract, subcontract, |
---|
79 | 79 | | sub-subcontract, purchase order, or other agreement for or in |
---|
80 | 80 | | connection with the planning, management, construction, |
---|
81 | 81 | | alteration, supply, repair, reconstruction, replacement, |
---|
82 | 82 | | rehabilitation, demolition, or improvement of real property as |
---|
83 | 83 | | part of any private or public construction project in the |
---|
84 | 84 | | State of Alabama. |
---|
85 | 85 | | (2) CONTRACTOR. Any individual, firm, corporation, |
---|
86 | 86 | | partnership, or other legal entity that enters into a |
---|
87 | 87 | | construction contract with an owner to improve real property |
---|
88 | 88 | | or perform construction services for the owner. |
---|
89 | 89 | | (3) INDEMNITEE. The party or parties that the |
---|
90 | 90 | | indemnitor is obligated to indemnify, hold harmless, or |
---|
91 | 91 | | defend. |
---|
92 | 92 | | (4) INDEMNITOR. The party or parties obligated to |

124 | 124 | | (5) PARTY. A contractor, subcontractor, or owner |
---|
125 | 125 | | involved in or contributing to the construction of a private |
---|
126 | 126 | | or public construction project pursuant to the terms of a |
---|
127 | 127 | | construction contract. The term does not include a public |
---|
128 | 128 | | awarding authority, as defined under Section 39-2-1, Code of |
---|
129 | 129 | | Alabama 1975. |
---|
130 | 130 | | (6) SUBCONTRACTOR. Any individual, firm, corporation, |
---|
131 | 131 | | partnership, or other legal entity that contracts to furnish |
---|
132 | 132 | | labor or materials to a contractor or other subcontractor |
---|
133 | 133 | | pursuant to a construction contract. |
---|
134 | 134 | | Section 2. (a) A provision, clause, or agreement in a |
---|
135 | 135 | | construction contract shall not require a party to the |
---|
136 | 136 | | construction contract to indemnify, hold harmless, or defend |
---|
137 | 137 | | another party to the construction contract for liability for |
---|
138 | 138 | | damages or losses for bodily injury or property damage, or |
---|
139 | 139 | | losses to a third party, or arising from a third-party claim, |
---|
140 | 140 | | that arise out of, result from, or are caused by the sole |
---|
141 | 141 | | negligence or by the wantonness, recklessness, or intentional |
---|
142 | 142 | | misconduct of the indemnitee or its officers, employees, or |
---|
143 | 143 | | agents. |
---|
144 | 144 | | (b)(1) Subject to the limitations of subsection (a), a |
---|
145 | 145 | | party to a construction contract may agree to indemnify, |
---|
146 | 146 | | defend, or hold harmless another party to the construction |
---|
147 | 147 | | contract for liability for damages or losses for bodily injury |
---|
148 | 148 | | or property damage that arise out of, result from, or are |
---|
149 | 149 | | caused by any negligent act or omission of the indemnitee, or |
---|

182 | 182 | | a. The indemnification agreement is part of the |
---|
183 | 183 | | construction contract. |
---|
184 | 184 | | b. The indemnification agreement contains a monetary |
---|
185 | 185 | | limitation on the extent of the indemnification between the |
---|
186 | 186 | | indemnitor and the indemnitee. |
---|
187 | 187 | | c. The indemnitor agrees to obtain commercially |
---|
188 | 188 | | available insurance to cover the extent of the indemnification |
---|
189 | 189 | | obligations in an amount sufficient to satisfy the monetary |
---|
190 | 190 | | limitation. |
---|
191 | 191 | | (2) A provision, clause, or agreement to indemnify, |
---|
192 | 192 | | hold harmless, or defend another party to the construction |
---|
193 | 193 | | contract, as provided under subdivision (1), shall be |
---|
194 | 194 | | enforceable only to the amount of applicable insurance |
---|
195 | 195 | | required in the construction contract. |
---|
196 | 196 | | (c) A provision, clause, or agreement in violation of |
---|
197 | 197 | | this act shall not cause an entire construction contract to be |
---|
198 | 198 | | invalid or unenforceable. On petition to a court of competent |
---|
199 | 199 | | jurisdiction, any such provision, clause, or agreement in |
---|
200 | 200 | | violation of this act shall be modified by the court to be |
---|
201 | 201 | | consistent with this act. Nothing in this act shall affect the |
---|
202 | 202 | | validity or enforceability of the remaining provisions, |
---|
203 | 203 | | clauses, or agreements in the construction contract. |
---|
204 | 204 | | Section 3. (a) Any provision of law to the contrary |
---|
205 | 205 | | notwithstanding, this act shall not be interpreted or |
---|

244 | 244 | | (4) The state workers' compensation laws. |
---|
245 | 245 | | (5) The provisions of a construction contract for the |
---|
246 | 246 | | professional services of a design professional for which |
---|
247 | 247 | | Section 41-9A-3, Code of Alabama 1975, applies. |
---|
248 | 248 | | (6) The provisions of a road or bridge construction |
---|
249 | 249 | | contract for which Chapter 9 of Title 39, Code of Alabama |
---|
250 | 250 | | 1975, applies. |
---|
251 | 251 | | (b) This act shall only apply to indemnity obligations |
---|
252 | 252 | | between parties to a construction contract, as defined in |
---|
253 | 253 | | Section 1, and has no effect on third-party tort claims or |
---|
254 | 254 | | indemnity obligations owed to a public awarding authority, as |
---|
255 | 255 | | defined under Section 39-2-1, Code of Alabama 1975. |
---|
256 | 256 | | Section 4. This act shall be effective for any |
---|
257 | 257 | | construction contract executed or awarded on or after the |
---|
258 | 258 | | effective date of this act. |
---|
259 | 259 | | Section 5. This act shall be effective January 1, 2024, |
---|
260 | 260 | | following its passage and approval by the Governor, or its |
---|
