2424 AN ACT CONCERNING A STUDY OF ESTABLISHING SERIES LIMITED LIABILITY COMPANIES IN THE STATE.

2626 Be it enacted by the Senate and House of Representatives in General Assembly convened:

2828 Section 1. (Effective from passage) The Secretary of the State, or the secretary's designee, in consultation with small business owners and attorneys with expertise in business and corporate law, shall study the feasibility of establishing series limited liability companies in the state. Such study shall examine the potential advantages and disadvantages to small business owners and the state through the establishment of series limited liability companies, and include, but not be limited to, start-up and administrative costs, tax and revenue implications and protection of assets. On or before February 1, 2016, the Secretary of the State, or the secretary's designee shall report on the results of such study, in accordance with the provisions of section 11-4a of the general statutes, to the joint standing committee of the General Assembly having cognizance of matters relating to the judiciary.
