Be it enacted by the Senate and House of Representatives in General Assembly convened: Section 1. (NEW) (Effective October 1, 2019) (a) Notwithstanding the 1 provisions of section 42a-1-301 of the general statutes, the parties to 2 any contract, agreement or undertaking, contingent or otherwise, in 3 consideration of, or relating to any obligation arising out of a 4 transaction with a value in the aggregate of not less than two hundred 5 fifty thousand dollars, may agree that the law of this state shall govern 6 their rights and duties in whole or in part, whether or not such 7 contract, agreement or undertaking bears a reasonable relation to this 8 state. 9 (b) Subsection (a) of this section shall not apply to any contract, 10 agreement or undertaking (1) for labor or personal services; or (2) 11 relating to any transaction for personal, family or household services. 12 (c) This section shall not be construed to limit or deny the 13 enforcement of any provision respecting choice of law in any other 14 contract, agreement or undertaking. 15 Raised Bill No. 841 LCO No. 4032 2 of 2 Sec. 2. (NEW) (Effective October 1, 2019) (a) Notwithstanding any 16 provision of the general statutes that limits or affects the right of a 17 person to maintain an action or proceeding, any person may maintain 18 an action or proceeding against a foreign juridical entity, nonresident, 19 or foreign state where the action or proceeding arises out of or relates 20 to any contract, agreement or undertaking for which a choice of the 21 law of this state has been made, in whole or in part, pursuant to the 22 provisions of section 1 of this act and which (1) is a contract, agreement 23 or undertaking, contingent or otherwise, in consideration of, or 24 relating to any obligation arising out of a transaction with a value in 25 the aggregate of not less than five hundred thousand dollars; and (2) 26 contains a provision or provisions whereby such foreign juridical 27 entity or nonresident agrees to submit to the jurisdiction of the courts 28 of this state. 29 (b) This section shall not be construed to affect the enforcement of 30 any provision respecting choice of forum in any other contract, 31 agreement or undertaking. 32 This act shall take effect as follows and shall amend the following sections: Section 1 October 1, 2019 New section Sec. 2 October 1, 2019 New section Statement of Purpose: To ensure the enforcement of choice of law provisions contained in certain contracts, agreements or undertakings.
