IN THE COUNCIL OF THE DISTRICT OF COLUMBIA 
To approve, on an emergency basis, Modification Nos. 4 and 5 to Contract No. CW104540 with 
the Washington Humane Society d/b/a Humane Rescue Alliance, and to authorize 
payment for the goods and services to be received under the modifications. 
BE IT ENACTED BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this 
act may be cited 
as the "Modification Nos. 4 and 5 to Contract No. CW104540 with the 
Washington Humane Society d/b/a Humane Rescue Alliance Approval and Payment 
Authorization Emergency Act 
of 2024". 
Sec. 2. Pursuant to Section 
451 of the District of Columbia Home Rule Act, approved 
December 24, 1973 (87 Stat. 803; D.C. Official 
Code§ 1-204.51), and notwithstanding the 
requirements 
of Section 202 of the Procurement Practices Reform Act 	of 2010, effective April 8, 
2011 (D.C. Law 18-371; D.C. Official 	Code§ 2-352.02), the Council approves Modifications 4 
and 5 to Contract No. CW104540 with the Washington Humane Society d/b/a Humane Rescue 
Alliance, and authorizes payment in the not-to-exceed amount 
of $2,044,191 for the goods and 
services to be received under the modifications. 
Sec. 
3. Fiscal impact statement.   	2 
The Council adopts the fiscal impact statement provided by the Chief Financial Officer as 32 
the fiscal impact statement required by S	ection 4a of the General Legislative Procedures Act of 33 
1975, approved October 16, 2006 (120 Stat. 2038; D.C. Official Code § 1-	301.47a). 34 
Sec. 4. Effective date. 35 
This act shall take effect following approval by the Mayor (or in the event of veto by the 36 
Mayor, action by the Council to override the veto), and shall remain in effect for no longer than 37 
90 days, as provided for emergency acts of the Council of the District of Columbia in S	ection 38 
412(a) of the District of Columbia Home Rule Act, approved December 24, 1973 (87 Stat. 788; 39 
D.C. Official Code § 1-	204.12(a)).  40  1

Explanation of difference from base p	eriod (if applicable):  The base period term was for six 
months however option period one is for one year. In addition, the hourly rates for option period 	one are increased due to inflationary factors.     2 
Option Period Two Amount: $2,044,191 
October 1, 2024 through December 31, 2024 
 
Explanation of difference from base period (if applicable):  The base period term was 	for six 
months. Option period two is for three months. During this period, HRA will begin transitioning 
services to DC Health.  
 
(C) The selection process, including the number of offerors	, the evaluation criteria, and the 
evaluation results, including price, technical or quality, and past performance components: 
 
It was determined to be in the best of the District to enter into a s	ole source contract with HRA to 
continue providing animal control and animal disease prevention service. 
 
The Washington Humane Society dba Humane Rescue Alliance (HRA) is the only contractor located 
in the District of Columbia capable of providing animal shelter services and comprehensive animal control and animal disease prevention services 365 days a year, 24 hours a day.  It is necessary and 
imperative to have animal control and animal disease prevention services available in the District 
365 days a year, 24 hours a day to help bring animals to safety, find pets who have gotten lost, rescue 
wild animals from dangerous situations, and provide emergency medical treatment for all sick or 
injured animals.  HRA is the only contractor who can meet this demand.  In addition, their hours of 
operation are accessible to District residents and visitors to accommodate schedules with the intent 
to increase animal adoptions. 
 (D) A description of any bid protest related to the award of the contract, including whether the 
protest was resolved through litigation, withdrawal of the protest by the protestor, or voluntary corrective action by the District. I	nclude the identity of the protestor, the grounds 
alleged in the protest, and any deficiencies identified by the District as a result of the protest:   
 
 None 
 (E) The background and qualifications of the proposed contractor, including its organization, 
financial stability, personnel, and performance on past or current government or private sector contracts with requirements similar to those of the proposed contract: 
 
The contractor is currently providing and has been providing services to the satisfaction of the District for approximately 15 years . They have over 150 years of experience serving communities, 
including conducting cruelty investigations, providing animal control services, and advocating for federal, state and local legislation and policies to protect animals. 
 
The proposed contractor has demonstrated through past performance reports that its organization has the history, organizational and technical experience, including the key personnel, required to successfully meet the requirements of the proposed contract. Likewise, it has been determined that the proposed contractor maintains the financial resources, accounting and operational controls to successfully fulfill the District’s requirement. The proposed contractor has been determined responsible in accordance with the District’s standards for responsibility.

(F) A description of any other contracts the proposed contractor is currently seeking or holds 
with the District:    
 
The Contractor does not hold any other contracts with the District. 
 
(G) A summary of the subcontracting plan required under section 2346 of the Small, Local, and 
Disadvantaged Business Enterprise Development and Assistance Act of 2005, as amended, 
D.C. Official Code § 2-	218.01 et seq . (“Act”), including a certification that the subcontracting 
plan meets the minimum requirements of the Act and the dollar volume of the portion of the 
contract to be subcontracted, expressed both in total dollars and as a percentage of the total 
contract amount: 
 
The Department of Small and Local Business Development approved a full waiver on  
August 5, 2024. 
 
(H) Performance standards and the expected outcome of the proposed contract: 
 
The District expects HRA 	to comply with the performance standards and 	requirements set forth in 
the contract. The District's overall expected outcome 	for HRA is to reduce the risks of disease and 
protect public health by  providing animal disease prevention and animal control services.  Some  
specific outcome s are to: 
1. Reduce the number of stray animals that are impounded; 
2. Decrease animal attacks and bites; 
3. Increase rabies and distemper vaccination of animals; 
4. Increase compliance with the animal control laws; 
5. Increase animal licensing; 
 
(I) The amount and date of any expenditure of funds by the District pursuant to the contract 
prior to its submission to the Council for approval:  
 
None 
  
(J) A certification that the proposed contract is within the appropriated budget authority for the 
agency for the fiscal year and is consistent with the financial plan and budget adopted in 
accordance with D.C. Official Code §§ 47-	392.01 and 47- 392.02:  
 
 DC Health’s Agency Financial Officer has certified that funds for the proposed Council approval 
action for the sum of $2,044191 are available. 
 
(K) A certification that the contract is legally sufficient, including whether the proposed 
contractor has any pending legal claims against the District:  
 
The contract has been reviewed by the Office of the Attorney General and found to be legally 
sufficient. The contractor has no pending legal claim against the District. 
 
(L) A certification that Citywide Clean Hands database indicates that the proposed contractor is 
current with its District taxes. If the Citywide Clean Hands Database indicates that the  
 proposed contractor is not current with its District taxes, either: (1) a certification that the 
contractor has worked out and is current with a payment schedule approved by the District;  4 
or (2) a certification that the contractor will be current with its District taxes after the 
District recovers any outstanding debt as provided under D.C. Official Code § 2-	353.01(b):  
 
On August 5, 2024, the Citywide Clean Hands database certified that the contractor is current with 
its District taxes.  
 
(M) A certification from the proposed contractor that it is current with its federal taxes, or has 
worked out and is current with a payment schedule approved by the federal government:  
 
 The contractor has self-certified, via the Bidder/Offeror Certification form, that it is current with its 
federal taxes. 
 
(N) The status of the proposed contractor as a certified local, small, or disadvantaged business 
enterprise as defined in the Small, Local, and Disadvantaged Business Enterprise 
Development and Assistance Act of 2005, as amended, D.C. Official Code § 2-	218.01 et seq .:  
 
  The contractor is not a certified local, small, or disadvantaged business enterprise.     
 
(O) (a) A certification that the proposed contractor has been determined not to be in violation of 
section 334a of the Board of Ethics and Government Accountability Establishment and 
Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official Code § 1-	1163.34a; and 
(b) A certification from the proposed contractor that it currently is not and will not be in 
violation of section 334a of the Board of Ethics and Government Accountability 
Establishment and Comprehensive Ethics Reform Amendment Act of 2011, D.C. Official 
Code § 1- 1163.34a: 
 
The contractor has certified, via the Bidder/Offeror Certification form, that it is (	1) not in violation 
of section 334a of the Board of Ethics and Government Accountability Establishment and

1.Change Section B.2 to: The District contemplates award of a Requirements type contract with a fixed unit price
and cost reimbursement component in accordance with 27 DCMR Chapter 24. The District will purchase its
requirements of the articles or services included herein from the Contractor. The estimated quantities stated
herein reflect the best estimates available. The estimate shall not be construed as a representation that the
estimated quantity will be required or ordered, or that conditions affecting requirements will be stable. The
estimated quantities shall not be construed to limit the quantities which may be ordered from the Contractor by
the District or to relieve the Contractor of its obligation to fill all such orders.
2.Add Section B.3.3 – Option Period Two Price Schedule (See Attachment A)

4.Replace Section C.5.5.1 with: The Contractor shall provide urgent humane euthanasia on an around-the-clock
basis, primarily by intravenous injection of sodium pentobarbital, and only using methods approved by the
Department of Health, per the SOP’s.
5.Replace C.5.18.1.1 with: The Contractor shall provide continuous, twenty-four hours per day, seven days per
week animal control and animal disease prevention services to the public. Such services shall include but are not limited to: 
6.Change Section F.2 Option to Extend the Term of the Contract to: The District may extend the term of this
contract for a period of two option periods, or successive fractions thereof, by written notice to the Contractor
before the expiration of the contract; provided that the District will give the Contractor preliminary written notice
of its intent to extend at least thirty (30) days before the contract expires. The preliminary notice does not commit
the District to an extension. The exercise of this option is subject to the availability of funds at the time of the
exercise of this option. The Contractor may waive the thirty (30) day preliminary notice requirement by providing
a written waiver to the Contracting Officer prior to expiration of the contract. The period of performance for
option period two is October 1, 2024 through December 31, 2024.
7.Add Section I.16 – Continuity of Services:
Effective December 31, 2024, the contractor shall be transitioning out of contract services. The contractor
recognizes that the services provided under this contract are vital to the District and must be continued without
interruption. To that end, the contractor agrees to furnish a transition document that includes recommendations
for operational continuity for the District’s consideration.
