A Benefit Corporation Approval and Payment Authorization Emergency Act of 2024,” and the accompanying emergency declaration resolution for Mods 01 through 05. The contract is in the estimated amount of $4,524,736 for the period of July 19, 2024, through July 18, 2025. The legislation will approve Contract No. CW117574 with Compost Crew Inc. A Benefit Corporation to support organic waste collection f residential households in the District. In addition, the legislation will approve payment for the goods and services received and to be received under the contract. A Benefit Corporation, and to authorize payment 18 for the goods and services received and to be received under the contract. 19 20 RESOLVED, BY THE COUNCIL OF THE DISTRICT OF COLUMBIA, That this 21 resolution may be cited as the "Contract No. CWl 17574 with Compost Crew, Inc. A Benefit 22 Corporation Approval and Payment Authorization Emergency Declaration Resolution of 2025". 23 Sec. 2. (a) There exists an immediate need to approve Contract No. CWl 17574 with 24 Compost Crew, Inc. A Benefit Corporation and to authorize payment for the goods and services 25 received and to be received under the contract. 26 (b) On July 19, 2024, the Office of Contracting and Procurement ("OCP"), on behalf of 27 the Department of Public Works, awarded a letter contract, Contract No. CWl 17574 with 28 Compost Crew, Inc. A Benefit Corporation, to support organic waste collection from residential 29 households in the District for the period from July 19, 2024 through November 19, 2024, in the 30 not-to-exceed amount of $1 million. 31 ( c) Modification No. 1 to the letter contract modified the price schedule of the contract 32 but did not increase the price. (d) Modification No. 2 to the letter contract extended the period of performance t hrough 33 December 18, 2024 at no additional cost. 34 (e) Modification No. 3 to the letter contract extended the period of performance through 35 January 15, 2025 at no additional cost. 36 (f) Modification No. 4 to the letter contract extended the period of performance through 37 January 31, 2025 and increased the not -to-exceed amount of the letter contract to $1,560,274. 38 (g) OCP now desires to definitize the contract for the period from July 19, 2024 through 39 July 18, 2025, in the not-to-exceed amount of $4,122,574. 40 (h) The Council intends that performance under the contract be authorized 41 notwithstanding the provisions of the Procurement Practices Reform Act of 2010, effective April 42 8, 2011 (D.C. Law 18- 371; D.C. Official Code § 2-351.01 et seq .), or any other law or 43 order, including provisions that would otherwise authorize protests at or other reviews by the 44 Contract Appeals Board. 45 (i) Under section 451(b)(1) of the District of Columbia Home Rule Act, approved 46 December 24, 1973 (87 Stat. 803; D.C. Official Code § 1- 204.51(b)(1)), Council approval is 47 necessary since the value of the contract is more than $1 million during a 12- month period. 48 (j) Approval is necessary to allow the continuation of these important services. Without 49 this approval, Compost Crew , Inc. A Benefit Corporation cannot be paid for goods and services 50 provided in excess of $1 million for the period from July 19, 2024 through July 18, 2025. 51 Sec. 3. The Council determines that the circumstances enumerated in section 2 constitute 52 emergency circumstances making it necessary that the Contract No. CW117574 with Compost 53 Crew, Inc. A Benefit Corporation Approval and Payment Authorization Emergency Act of 2024 54 be adopted after a single reading. 55 Sec. 4. This resolution shall take effect immediately. 56
