| 8 | 8 | | WHEREAS, the Municipal Electric Authority of Georgia (MEAG Power) was established2 |

| 9 | 9 | | in 1975 as a nonprofit public corporation and instrumentality of the State of Georgia to3 |

| 10 | 10 | | generate and transmit reliable, affordable wholesale electricity to the electric cities across the4 |
|---|

| 12 | 12 | | WHEREAS, for 50 years, MEAG Power has remained steadfast in its mission to serve the6 |

| 13 | 13 | | electric power needs of its 49 participating communities, fostering economic growth, energy7 |

| 14 | 14 | | security, and an enhanced quality of life for millions of Georgians; and8 |
|---|
| 15 | 15 | | WHEREAS, MEAG Power has been governed by a Board composed of residents from its9 |

| 16 | 16 | | Participant communities, elected to provide leadership, vision, and strategic oversight to the10 |
