4343 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF HAWAII:

4747 SECTION 1. The legislature finds that ensuring accountability and transparency of operations relating to the university of Hawaii and the board of regents of the university of Hawaii is a matter of statewide concern pursuant to article X, section 6, of the Hawaii State Constitution. SECTION 2. Chapter 304A, Hawaii Revised Statutes, is amended by adding a new section to part I, subpart A, to be appropriately designated and to read as follows: "§304A- External audit committee. (a) There is established within the university of Hawaii an external audit committee to audit the board of regents and the university of Hawaii system. (b) The committee shall include the following members: (1) The auditor; (2) One member appointed by the governor; (3) One member appointed by the chief justice; and (4) Other members invited by the external audit committee, as appropriate. (c) The external audit committee shall be subject to chapter 84. The external audit committee shall be exempt from chapter 91 and chapter 92 to the extent that the audit committee is engaging in discussions that should remain confidential in accordance with nationally recognized best practices for external and independent audit committees, or in proceedings arising from an investigation by the external audit committee relating to potentially actionable civil or criminal conduct, regardless of whether the investigation is pending or outstanding. (d) The external audit committee shall engage in oversight relating to enterprise risk management. (e) The external audit committee shall hold meetings as needed to address matters on its agenda, not less frequently than twice per year. (f) The external audit committee shall review its effectiveness annually. (g) The committee shall submit a report of its findings and recommendations, including any proposed legislation, to the governor, chief justice, and legislature no later than twenty days prior to the convening of each regular session."
