11	11	1 AN ACT concerning business.
12	12	2 Be it enacted by the People of the State of Illinois,
13	13	3 represented in the General Assembly:
14	14	4 Section 5. The Limited Liability Company Act is amended by
15	15	5 changing Section 50-10 as follows:
16	16	6 (805 ILCS 180/50-10)
17	17	7 Sec. 50-10. Fees.
18	18	8 (a) The Secretary of State shall charge and collect in
19	19	9 accordance with the provisions of this Act and rules
20	20	10 promulgated under its authority all of the following:
21	21	11 (1) Fees for filing documents.
22	22	12 (2) Miscellaneous charges.
23	23	13 (3) Fees for copies of any documents.
24	24	14 (b) The Secretary of State shall charge and collect for
25	25	15 all of the following:
26	26	16 (1) Filing articles of organization (domestic),
27	27	17 application for admission (foreign), and restated articles
28	28	18 of organization (domestic), $150. Notwithstanding the
29	29	19 foregoing, the fee for filing articles of organization
30	30	20 (domestic), application for admission (foreign), and
31	31	21 restated articles of organization (domestic) in connection
32	32	22 with a limited liability company with a series or the
33	33	23 ability to establish a series pursuant to Section 37-40 of

104	104	1 filing an annual report of a limited liability company or
105	105	2 foreign limited liability company is $75 plus $50 for each
106	106	3 series for which a certificate of designation has been
107	107	4 filed pursuant to Section 37-40 of this Act and is in
108	108	5 effect on the last day of the third month preceding the
109	109	6 company's anniversary month, plus a penalty if delinquent.
110	110	7 For each of the 5 years immediately following the
111	111	8 formation of a limited liability company, if that limited
112	112	9 liability company has a gross annual revenue of less than
113	113	10 $1,000,000, the fee for filing an annual report shall be
114	114	11 waived for that year.
115	115	12 (12) Filing an application for reinstatement of a
116	116	13 limited liability company or foreign limited liability
117	117	14 company, $200.
118	118	15 (13) Filing articles of merger, $100 plus $50 for each
119	119	16 party to the merger in excess of the first 2 parties.
120	120	17 (14) (Blank).
121	121	18 (15) Filing a statement of change of address of
122	122	19 registered office or change of registered agent, or both,
123	123	20 or filing a statement of correction, $25.
