11	11	1 AN ACT concerning business.
12	12	2 Be it enacted by the People of the State of Illinois,
13	13	3 represented in the General Assembly:
14	14	4 Section 5. The Limited Liability Company Act is amended by
15	15	5 changing Section 50-10 as follows:
16	16	6 (805 ILCS 180/50-10)
17	17	7 Sec. 50-10. Fees.
18	18	8 (a) The Secretary of State shall charge and collect in
19	19	9 accordance with the provisions of this Act and rules
20	20	10 promulgated under its authority all of the following:
21	21	11 (1) Fees for filing documents.
22	22	12 (2) Miscellaneous charges.
23	23	13 (3) Fees for copies of any documents.
24	24	14 (b) The Secretary of State shall charge and collect for
25	25	15 all of the following:
26	26	16 (1) Filing articles of organization (domestic),
27	27	17 application for admission (foreign), and restated articles
28	28	18 of organization (domestic), $75 $150. Notwithstanding the
29	29	19 foregoing, the fee for filing articles of organization
30	30	20 (domestic), application for admission (foreign), and
31	31	21 restated articles of organization (domestic) in connection
32	32	22 with a limited liability company with a series or the
33	33	23 ability to establish a series pursuant to Section 37-40 of

105	105	2 filing an annual report of a limited liability company or
106	106	3 foreign limited liability company is $37 $75 plus $25 $50
107	107	4 for each series for which a certificate of designation has
108	108	5 been filed pursuant to Section 37-40 of this Act and is in
109	109	6 effect on the last day of the third month preceding the
110	110	7 company's anniversary month, plus a penalty if delinquent.
111	111	8 (12) Filing an application for reinstatement of a
112	112	9 limited liability company or foreign limited liability
113	113	10 company, $100 $200.
114	114	11 (13) Filing articles of merger, $50 $100 plus $25 $50
115	115	12 for each party to the merger in excess of the first 2
116	116	13 parties.
