AN ACT1
To amend and reenact R.S. 49:222(B)(1)(b), (c), and (g), (2)(a) and (d), (3)(a), (b), and (e),2
(5)(b), and (12)(c), relative to fees chargeable by the secretary of state; to authorize3
the secretary of state to increase certain fees; and to provide for related matters.4
Be it enacted by the Legislature of Louisiana:5
Section 1. R.S. 49:222(B)(1)(b), (c), and (g), (2)(a) and (d), (3)(a), (b), and (e),6
(5)(b), and (12)(c) are hereby amended and reenacted to read as follows: 7
ยง222. Fees chargeable by secretary of state8

B. The secretary of state is authorized to collect the following fees:10
(1) Domestic corporations and limited liability companies.11

(b) Sixty Seventy-five dollars for filing and recording articles of13
incorporation, amended articles of incorporation, dissolution proceedings,14
termination of dissolution proceedings, reinstatement proceedings, merger15
proceedings, conversions, and certificates of correction.16
(c) Seventy-five One hundred dollars for filing and recording articles of17
organization, amended articles of organization, dissolution proceedings, termination18
of dissolution proceedings, reinstatement proceedings, merger proceedings, and19
certificates of correction.20

(g) Twenty-five Thirty dollars for annual reports.22
(2) Nonprofit corporations. (a) Sixty Seventy-five dollars for filing and23
recording articles of incorporation, amended articles of incorporation, dissolution24
proceedings, termination of dissolution proceedings, reinstatement proceedings,25
merger proceedings, conversions, and certificates of correction.26

(d) Five Ten dollars for annual reports.1
(3) Foreign corporations and limited liability companies. (a) One hundred2
twenty-five dollars for filing and recording applications for authority on3
corporations, amended applications, withdrawal proceedings, termination of4
withdrawal proceedings, reinstatement proceedings, merger proceedings, and5
certificates of correction.6
(b) One hundred twenty-five fifty dollars for filing and recording7
applications for authority on limited liability companies, amended applications,8
withdrawal proceedings, termination of withdrawal proceedings, reinstatement9
proceedings, merger proceedings, and certificates of correction.10

(e) Twenty-five Thirty dollars for annual reports.12

(5) Trade names, trademarks, and service marks.14

(b) Fifty Seventy-five dollars for registering, renewing, or terminating a16
trade name, trademark, or service mark.17

(c) There shall be a twenty-five fifty dollar fee for receipt of service of21
process or other instruments.22
