2828 An Act relative to permitting public corporations to hold remote annual and special meetings.
2929 Be it enacted by the Senate and House of Representatives in General Court assembled, and by the authority
3030 of the same, as follows:
3131 1 Section 7.08 of chapter 156D of the General Laws is hereby amended by striking out the
3232 2first paragraph, as appearing in the 2022 Official Edition, and inserting in place thereof the
3333 3following paragraph:-
3434 4 Unless otherwise provided in the articles of organization or bylaws, if authorized by the
3535 5board of directors: any annual or special meeting of shareholders need not be held at any place
3636 6but may instead be held solely by means of remote communication, including, if said meetings
3737 7are held by public corporations; and subject to such guidelines and procedures as the board of
3838 8directors may adopt, shareholders and proxyholders not physically present at a meeting of
3939 9shareholders may, by means of remote communications:
