Torepealsection349.045,RSMo,andtoenactinlieuthereofonenewsectionrelatingto
industrialdevelopmentcorporations.
BeitenactedbytheGeneralAssemblyofthestateofMissouri,asfollows:
SectionA.Section349.045,RSMo,isrepealedandonenewsectionenactedinlieu
2thereof,tobeknownassection349.045,toreadasfollows:
349.045.1.Exceptasprovidedinsubsection2ofthissection,thecorporationshall
2haveaboardofdirectorsinwhichallthepowersofthecorporationshallbevestedandwhich
3shallconsistofanynumberofdirectors,notlessthanfive,allofwhomshallbedulyqualified
4electorsofandtaxpayersinthecountyormunicipality;exceptthat,foranyindustrial
5developmentcorporationformedbyanymunicipalitylocatedwhollywithinanycountyofthe
6second,third,orfourthclassificationoranycountyofthefirstclassificationwithmorethan
7sixty-fivethousandbutfewerthanseventy-fivethousandinhabitants,directorsmaybe
8qualifiedtaxpayersinandregisteredvotersofsuchcounty.Thedirectorsshallserveassuch
9withoutcompensationexceptthattheyshallbereimbursedfortheiractualexpensesincurred
10inandabouttheperformanceoftheirdutieshereunder.Thedirectorsshallberesident
11taxpayersforatleastoneyearimmediatelypriortotheirappointment.Nodirectorshallbean
12officeroremployeeofthecountyormunicipality.Alldirectorsshallbeappointedbythe
13chiefexecutiveofficerofthecountyormunicipalitywiththeadviceandconsentofamajority
14ofthegoverningbodyofthecountyormunicipality,andinallcounties,otherthanacitynot
15withinacountyandcountieswithacharterformofgovernment,theappointmentsshallbe
16madebythecountycommissionandtheyshallbesoappointedthattheyshallholdofficefor
EXPLANATION—Matterenclosedinbold-facedbrackets[thus] intheabovebillisnotenactedandis
intendedtobeomittedfromthelaw.Matterinbold-facetypeintheabovebillisproposedlanguage. 17staggeredterms.Atthetimeoftheappointmentofthefirstboardofdirectorsthegoverning
18bodyofthemunicipalityorcountyshalldividethedirectorsintothreegroupscontainingas
19nearlyequalwholenumbersasmaybepossible.Thefirsttermofthedirectorsincludedin
20thefirstgroupshallbetwoyears,thefirsttermofthedirectorsincludedinthesecondgroup
21shallbefouryears,thefirsttermofthedirectorsinthethirdgroupshallbesixyears;
22provided,thatifattheexpirationofanytermofofficeofanydirectorasuccessortheretoshall
23nothavebeenappointed,thenthedirectorwhosetermofofficeshallhaveexpiredshall
24continuetoholdofficeuntilasuccessorshallbeappointedbythechiefexecutiveofficerof
25thecountyormunicipalitywiththeadviceandconsentofamajorityofthegoverningbodyof
26thecountyormunicipality.Thesuccessorsshallberesidenttaxpayersforatleastoneyear
27immediatelypriortotheirappointment.
28 2.(1)Acorporationinacountyofthethirdclassificationwithoutatownshipformof
29governmentandwithmorethantenthousandfourhundredbutfewerthantenthousandfive
30hundredinhabitantsshallhaveaboardofdirectorsinwhichallthepowersofthecorporation
31shallbevestedandwhichshallconsistofanumberofdirectorsnotlessthanthenumberof
32townshipsinsuchcounty.Alldirectorsshallbedulyqualifiedelectorsofandtaxpayersinthe
33county.Eachtownshipwithinthecountyshallelectonedirectortotheboard.Additional
34directorsmaybeelectedtotheboardtosucceeddirectorsappointedtotheboardasofthe
35effectivedateofthissectionifthenumberofdirectorsontheeffectivedateofthissection
36exceedsthenumberoftownshipsinthecounty.Thedirectorsshallserveassuchwithout
37compensationexceptthattheyshallbereimbursedfortheiractualexpensesincurredinthe
38performanceoftheirduties.Thedirectorsshallberesidenttaxpayersforatleastoneyear
39immediatelypriortotheirelection.Nodirectorshallbeanofficeroremployeeofthecounty.
40Upontheexpirationofthetermofofficeofanydirectorappointedtotheboardpriortothe
41effectivedateofthissection,adirectorshallbeelectedtosucceedhimorher;providedthatif
42attheexpirationofanytermofofficeofanydirectorasuccessortheretoshallnothavebeen
43elected,thenthedirectorwhosetermofofficeshallhaveexpiredshallcontinuetoholdoffice
44untilasuccessorshallbeelected.Thesuccessorsshallberesidenttaxpayersforatleastone
45yearimmediatelypriortotheirelection.
46 (2)ForanyelectionafterAugust28,2023,theprovisionsofsubsection1ofthis
47sectionregardingdirectorqualificationsshallsupersedesubdivision(1)ofthis
48subsection.UpontheexpirationofthetermofthelastdirectorelectedbeforeAugust
4928,2023,allprovisionsofsubdivision(1)ofthissubsectionshallterminate,andthe
50provisionsofsubsection1ofthissectionshallapplytoanycorporationinsuchacounty.
