3arrangementwiththeoriginalequipmentmanufacturerunderwhichtheoriginal
4equipmentmanufacturergrantstotheindividualorbusinessalicensetouseatrade
5name,servicemark,orotherproprietaryidentifierforthepurposesofofferingthe
6servicesofdiagnosis,maintenance,orrepairofamotorcycleunderthenameofthe
7originalequipmentmanufacturer,orotherarrangementwiththeoriginalequipment
8manufacturertooffersuchservicesonbehalfoftheoriginalequipmentmanufacturer.
9Anoriginalequipmentmanufacturerwhoofferstheservicesofdiagnosis,maintenance,
10orrepairofitsownmotorcycleandwhodoesnothaveanarrangementwithan
11unaffiliatedindividualorbusinessshallbeconsideredanauthorizedrepairprovider
12withrespecttomotorcycles;
13 (2)"Documentation",anymanual,diagram,reportingoutput,servicecode
14description,schematicdiagram,securitycodes,passwords,orotherguidanceor
15informationusedineffectingtheservicesofdiagnosis,maintenance,orrepairofa
16motorcycle;

intendedtobeomittedfromthelaw.Matterinbold-facetypeintheabovebillisproposedlanguage. 17 (3)"Fairandreasonableterms",makingavailableparts,tools,or

19 (a)Thatdocumentationismadeavailablebytheoriginalequipment
20manufactureratnocharge,exceptwhenthedocumentationisrequestedinphysical
21printedform,achargemaybeincludedforthereasonable,actualcostsofpreparing
22andsendingthecopy;
23 (b)Thattoolsaremadeavailablebytheoriginalequipmentmanufactureratno
24chargeandwithoutrequiringauthorizationorinternetaccessforuseoroperationofthe
25tool,orimposingimpedimentstoaccessoruseofthetoolstodiagnose,maintain,or
26repairandenablefullfunctionalityofdigitalmotorcycleequipment,orinamannerthat
27impairstheefficientandcost-effectiveperformanceofanysuchdiagnosis,maintenance,
28orrepair,exceptthatwhenthetoolisrequestedinphysicalform,achargemaybe
29includedforthereasonable,actualcostsofpreparingandsendingthetool;and
30 (c)Thatpartsaremadeavailablebytheoriginalequipmentmanufacturer,
31eitherdirectlyorthroughanauthorizedrepairprovider,toindependentrepair
32providersandownersatcostsandtermsthatareequivalenttothemostfavorablecosts
33andtermsunderwhichanoriginalequipmentmanufactureroffersthepartstoan
34authorizedrepairproviderandthat:
35 a.Accountsforanydiscount,rebate,convenient,andtimelymeansofdelivery;
36meansofenablingfullyrestoredandupdatedfunctionality,rightsofuse,orother
37incentiveandpreferencetheoriginalmanufacturerofferstoanauthorizedrepair
38provider;oranyadditionalcost,burden,orimpedimenttheoriginalequipment
39manufacturerimposesonanownerorindependentrepairprovider;
40 b.Isnotconditionedonorimposingasubstantialobligationorrestrictionthatis
41notreasonablynecessaryforenablingtheownerorindependentrepairproviderto
42engageinthediagnosis,maintenance,orrepairofequipmentmadebyoronbehalfof
43theoriginalequipmentmanufacturer;and
44 c.Isnotconditionedonanarrangementwiththeoriginalequipment
45manufacturer;
46 (4)"Independentrepairprovider",anindividualorbusinessoperatinginthis
47statethatisunaffiliatedwithanoriginalequipmentmanufacturerthatisengagedinthe
48servicesofdiagnosis,maintenance,orrepairofmotorcycles;
49 (5)"Motorcycle",amotorvehicleoperatedononlytwowheels;however,this
50definitionshallnotincludemotorizedbicyclesorelectricbicyclesassuchtermsare
51definedinsection301.010;

53selling,leasing,orotherwisesupplyingnewmotorcyclesmanufacturedby,oronbehalf
54ofitself,toanyindividualorbusiness;
55 (7)"Owner",anindividualorbusinessthatownsorleasesamotorcycle
56purchasedorusedinthisstate;
57 (8)"Part",anyreplacementpart,eitherneworused,madeavailablebyan
58originalequipmentmanufacturerforpurposesofeffectingtheservicesofmaintenance
59orrepairofamotorcyclemanufacturedbyoronbehalfof,sold,orotherwisesupplied
60bytheoriginalequipmentmanufacturer;
61 (9)"Tool",anysoftwareprogram,hardwareimplement,orotherapparatus
62usedfordiagnosis,maintenance,orrepairofamotorcycle,includingsoftwareorother
63mechanismsthatprovision,program,orpairanewpart,calibratefunctionality,or
64performanyotherfunctionrequiredtobringtheproductbacktofullyfunctional
65condition,includinganyupdates;
66 (10)"Tradesecret",thesamemeaningassuchtermisdefinedinsection417.453.
67 2.(1)Formotorcyclesandpartsformotorcyclesthataresoldorusedinthis
68state,anoriginalequipmentmanufacturershallmakeavailabletoanyindependent
69repairproviderandownerofamotorcyclemanufacturedbyoronbehalfof,orsoldby
70suchoriginalequipmentmanufacturer,onfairandreasonableterms,any
71documentation,parts,andtoolsrequiredforthediagnosis,maintenance,orrepairof
72suchamotorcycleandpartsforthemotorcycle,inclusiveofanyupdatestoinformation.
73Thedocumentation,parts,andtoolsshallbemadeavailableeitherdirectlybythe
74originalequipmentmanufacturerorviaanauthorizedrepairprovider.
75 (2)Forequipmentthatcontainsamotorcyclesecuritylockorothersecurity-
76relatedfunction,theoriginalequipmentmanufacturershallmakeavailabletoany
77ownerandindependentrepairprovider,onfairandreasonableterms,anyspecial
78documentation,tools,andpartsneededtoaccessandresetthelockorfunctionwhen
79disabledinthecourseofdiagnosis,maintenance,orrepairofthemotorcycle.The
80documentation,tools,andpartsmaybemadeavailablethroughappropriatesecure-
81releasesystems.
82 3.Withrespecttoequipmentthatcontainsanelectronicsecuritylockorother
83security-relatedfunction,amanufacturershall,withfairandreasonabletermsand
84costs,makeavailabletoindependentrepairprovidersandownersanydocumentation,
85parts,embeddedsoftware,firmware,ortools,or,withownerauthorization,dataneeded
86toresetthelockorfunctionwhendisabledinthecourseofprovidingservices.The
87manufacturermaymakethedocumentation,parts,embeddedsoftware,firmware,
HB2800 3 88ortools,or,withownerauthorization,dataavailabletoindependentrepairproviders
89andownersthroughappropriatesecurereleasesystems.
90 4.Violationofthissectionisanunlawfulpracticeundersections407.010to
91407.130ofthemerchandisingpracticesact.Allremedies,penalties,andauthority
92grantedtotheattorneygeneralundersections407.010to407.130shallbeavailablefor
93theenforcementofthissection.
94 5.(1)Nothinginthissectionshallrequireanoriginalequipmentmanufacturer
95todivulgeanytradesecrettoanyownerorindependentserviceprovider.
96 (2)Nothinginthissectionshallalterthetermsofanyarrangementinforce
97betweenanauthorizedrepairproviderandanoriginalequipmentmanufacturer
98including,butnotlimitedto,theperformanceorprovisionofwarrantyorrecallrepair
99workbyanauthorizedrepairprovideronbehalfofanoriginalequipment
100manufacturerandpursuanttosucharrangement,exceptthatanyprovisioninthe
101termsthatpurportstowaive,avoid,restrict,orlimittheoriginalequipment
102manufacturer'sobligationstocomplywiththissectionshallbevoidandunenforceable.
103 (3)Nothinginthissectionshallbeconstruedtorequireamanufacturertomake
104availablespecialdocumentation,tools,andpartsthatwoulddisableoroverride
105antitheftsecuritymeasuressetbytheowneroftheproductwithouttheowner's
106authorization.
107 (4)Nooriginalequipmentmanufacturerorauthorizedrepairprovidershallbe
108liableforanydamageorinjurycausedtoanymotorcyclebyanindependentrepair
109providerorownerwhichoccursduringthecourseofrepair,diagnosis,ormaintenance.
110 6.Thissectionshallapplywithrespecttomotorcyclessoldorinuseonorafter
111January1,2025.
112 7.TheenactmentofthissectionshallbecomeeffectiveJanuary1,2025.
