5righttouseatradename,servicemark,orotherproprietaryidentifierforthepurposes
6ofofferingdiagnosis,maintenance,orrepairservicesunderthenameofthe

14repairproviderforthepurposesofdiagnosis,maintenance,repair,orrefurbishment;
15 (4)"Embeddedsoftware",programmableinstructionsprovidedonfirmware
16deliveredwithcertainproductsorpartsforthepurposesofproductoperation,
17includingallrelevantsafety,security,anddefectpatchesandfixesmadebythe

26otherincentiveprograms;
27 (b)Thecosttothemanufacturerforpreparinganddistributingthepartsor
28product,excludinganyresearchanddevelopmentcostsincurredindesigningand
29implementing,upgrading,oralteringtheproduct,butincludingamortizedcapitalcosts
30forthepreparationanddistributionoftheparts;and
31 (c)Thepricechargedbyothermanufacturersforsimilarpartsorproducts.

33Fordocumentationincluding,butnotlimitedto,softwareupdates,"fairandreasonable
34terms"shallmeanatnocharge,exceptifdocumentationisrequestedinprintedform,
35themanufacturermaychargeforreasonablecostsofpreparingandsendingthe
36documentation.Forsoftwaretools,"fairandreasonableterms"shallmeanatno
37chargeandwithoutrequiringauthorization,withoutrequiringinternetaccess,and
38withoutimpedingaccessoruseoftheproduct;
39 (6)"Farmmachinery",anymobileequipmentormachineryincluding,butnot
40limitedto,tractors,trailers,combines,tillageimplements,balers,unmannedaircraft
41systems,off-roadvehicles,andotherequipment,includingattachmentsandrepairparts
42thereof,usedintheplanting,cultivating,irrigating,harvesting,orranchingof
43agriculturalproducts,excludingself-propelledmachinesdesignedprimarilyforthe
44transportationofpersonsorpropertyonastreetorhighway;
45 (7)"Forestrymachinery",anymobileequipmentormachineryincluding,but
46notlimitedto,skidders,delimbers,logloaders,andotherequipment,including
47attachmentsandrepairpartsthereof,usedinaforestforloggingandotherforestry

50statethatisnotaffiliatedwithamanufactureroramanufacturer'sauthorizeddealerof
51aproductbutisengagedinthediagnosis,service,maintenance,orrepairofproducts.A
52manufacturer'sauthorizeddealershallbeconsideredanindependentrepairproviderif
53thedealerengagesinthediagnosis,service,maintenance,orrepairofaproductthatis
54notaffiliatedwiththemanufacturer;

60 (11)"Product",anyfarmmachinery,constructionmachinery,orforestry
61machinery,regardlessofthedatepurchased,whosefunctioningdepends,inwholeorin

69usedfordiagnosis,maintenance,orrepairofaproductincluding,butnotlimitedto,
70softwareorothermechanismsthatprovision,program,orpairanewpart,calibrate
71functionality,orperformafunctionrequiredtobringtheproductbacktofully

73 (15)"Tradesecret",anythingtangible,intangible,orelectronicallystoredor
74keptthatconstitutes,represents,evidences,orrecordsintellectualpropertyincluding,

76 (a)Secretorconfidentiallyhelddesigns,processes,procedures,formulas,
77inventions,orimprovements;
78 (b)Secretorconfidentiallyheldscientific,technical,merchandising,production,
79financial,business,ormanagementinformation;or

407.653.1.Ownersofproductspurchasedorusedinthisstateandindependent
2repairprovidersshallhavetherightto:
3 (1)Accessthesamediagnosticandrepairinformationofproductsmanufactured
4bythemanufacturerasthemanufacturermakesavailabletoauthorizedrepair
5providers.Suchinformationshallbeprovidedinthesamemannerandtimeas
6providedtoauthorizedrepairproviders.Suchinformationshallinclude,butnotbe
7limitedto,repairtechnicalupdates,diagnosticsoftware,serviceaccesspasswords,
8updatesandcorrectionstofirmware,andrelateddocumentation;
9 (2)Purchaseserviceparts,documentation,andtoolsavailableuponfairand
10reasonableterms.Suchservicepartsshallbemadeavailableinthesamemannerand
HB146 3 11timeasgiventoauthorizedrepairproviders.Suchservicepartsshallincludeupdatesto
12firmwareofparts;and
13 (3)Uponthepurchaseoracquisitionofaproduct,receiveadisclosureofany
14changesormodificationsmadetotheproductbypreviousowners.

16Nothinginthissectionshallrequirethemanufacturertosellservicepartsiftheservice
17partsarenolongeravailabletothemanufacturerortheauthorizedrepairchannelof
18themanufacturer.
19 2.Anauthorizedrepairprovidershallhavetherighttopurchasediagnostic,
20service,orrepairinformationofaproductinaformatstandardizedwithother
21manufacturersinsteadofaproprietaryformatfromamanufacturerifthe
22manufacturersellsdiagnostic,service,orrepairinformationtoindependentrepair
23providersorthird-partyprovidersinsuchastandardizedformatorifthemanufacturer
24offerstermsandconditionsmorefavorabletoindependentrepairprovidersorthird-
25partyprovidersthanthemannerandthetermsandconditionsthatareavailabletoan
26authorizedrepairprovider.However,thissubsectionshallnotapplyiftheproprietary
27formatincludesdiagnostic,service,repair,ordealershipoperationsinformationor
28functionalitynotavailableinastandardizedformat.
29 3.Ownersandindependentrepairprovidersshallhavetherighttopurchase
30frommanufacturersofproductssoldorusedinthisstatealldiagnosticrepairtools,
31incorporatingthesamediagnosticrepairandremotediagnosticcapabilitiesthatthe
32manufacturermakesavailabletoitsownrepairorengineeringstafforanyauthorized
33repairproviders,onfairandreasonableterms.
34 4.Forequipmentthatcontainsanelectronicsecuritylockorothersecurity-
35relatedfunction,themanufacturershallmakeavailabletoownersandindependent
36repairproviders,onfairandreasonableterms,anyspecialdocumentation,tools,and
37partsneededtodisablethelockorfunctionandtoresetitwhendisabledinthecourseof
38diagnosis,maintenance,orrepairoftheequipment.Thedocumentation,tools,and
39partsmaybemadeavailablethroughanappropriatesecuresystem.
40 5.Manufacturersthatproviderepairinformationtoaftermarkettools,
41diagnostics,orthird-partyserviceinformationpublicationsandsystemshavefully
42satisfiedtheirobligationsunderthissectionandthereafterarenotresponsibleforthe
43contentandfunctionalityofaftermarketdiagnostictoolsorserviceinformationsystems.
44 6.Ifamanufacturerhasmadeanexpresswarrantywithrespecttoaproduct
45andthewholesalepriceoftheequipmentisonehundreddollarsormore,the
46manufacturershallprovidetheparts,tools,anddocumentationneededtorepairthe
HB146 4 47productduringthewarrantyperiodatanequitableprice,withconvenientdelivery,and
48withanenabledfunctionality,considering:
49 (1)Theactualcosttothemanufacturertoprepareanddistributethepart,tool,
50ordocumentation,exclusiveofanyresearchanddevelopmentcostsincurred;
51 (2)Theabilityofownersorindependentrepairproviderstoaffordthepart,tool,
52ordocumentation;and
53 (3)Themeansbywhichthepart,tool,ordocumentationisdistributed.
54 7.Manufacturersofproductssoldorusedinthestateforthepurposesof
55providingsecurity-relatedfunctionsshallnotexcludediagnostic,service,orrepair
56informationnecessarytoresetasecurity-relatedelectronicfunctionfrominformation
57providedtoownersandindependentrepairproviders.Ifnecessaryforsecurity
58purposes,manufacturersshallprovideinformationnecessarytoresetandunlocksystem
59orsecurity-relatedelectronicmodulestoownersandindependentrepairproviders
60throughanappropriatesecuredatareleasesystem.
61 8.Nothinginthissectionshallrequirethemanufacturertodivulgeatradesecret
62toanownerortoanindependentrepairprovider,exceptasnecessarytoprovide
63documentation,parts,andtoolsonfairandreasonableterms.
64 9.Notwithstandinganylaworruletothecontrary,thissectionshallnotberead,
65interpreted,orconstruedtoabrogate,interferewith,contradict,oralterthetermsofan
66agreementexecutedbetweenanauthorizedrepairproviderandamanufacturer
67including,butnotlimitedto,performingwarrantyorrecallrepairworkbyan
68authorizedrepairprovideronbehalfofamanufacturerpursuanttotheauthorized
69repairagreement.Exceptinthecaseofadisputearisingbetweenamanufacturerand
70itsauthorizedrepairproviderrelatedtoeitherparty'scompliancewithanexisting
71repairagreement,anauthorizedrepairprovidershallhavealltherightsandremedies
72providedinthissection.
73 10.Thissectionshallnotrequiremanufacturersorauthorizedrepairproviders
74toprovideanownerorindependentrepairprovideraccesstonondiagnosticand
75nonrepairinformationprovidedbyamanufacturertoanauthorizedrepairprovider
76undertheagreementbetweenthemanufacturerandtheauthorizedrepairprovider.
77 11.(1)Anindependentrepairproviderorownerwhobelievesthata
78manufacturerhasfailedtoprovideinformationincluding,butnotlimitedto,
79documentation,updatestofirmware,safetyandsecuritycorrections,diagnostics,
80documentation,oratoolrequiredbythissectionshallnotifythemanufacturerin
81writingandgivethemanufacturerthirtydaysfromthedatethemanufacturerreceives
82thecomplainttocurethefailure.Ifthemanufacturercuresthecomplaintwithinthirty
83days,damagesarelimitedtoactualdamagesinanysubsequentlitigation.
HB146 5 84 (2)Ifthemanufacturerfailstorespondinatimelymannertothenotice
85describedundersubdivision(1)ofthissubsectionorifanindependentrepairprovider
86oranownerisnotsatisfiedwiththemanufacturer'scure,theindependentrepair
87providerortheownermayfileacomplaintindistrictcourt.Thecomplaintshall
88include:
89 (a)Writteninformationconfirmingthatthecomplainantattemptedtoacquire
90anduse,throughthethen-availablestandardsupportfunctionprovidedbythe
91manufacturer,allrelevantdiagnostics,tools,serviceparts,documentation,andupdates
92toembeddedsoftware,includingcommunicationwithcustomerassistanceviathe
93manufacturer'sthen-standardprocess,ifmadeavailablebythemanufacturer;and
94 (b)Evidenceofmanufacturernotificationasrequiredinsubdivision(1)ofthis
95subsection.
96 12.Nomanufacturershallberequiredtoprovideanyinformationorservice
97partsundersubsection1ofthissectioniftheproductforwhichtheinformationor
98servicepartsaresoughtisunderavalidwarrantyforrepairorreplacementofthe
99product.
100 13.Theattorneygeneralshallenforcethissection.Eachviolationofthissection
101shallbepunishablebyaten-thousand-dollarfine,whichshallbedistributedtoschools
102underArticleIX,Section7oftheConstitutionofMissouri.
