8383 BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:
8484 SECTION 1. AMENDATORY 79 O.S. 2021, Section 205, is
8585 amended to read as follows:
8686 Section 205. A. 1. Any person who i s injured in his or her
8787 business or property by a violation of this act Section 201 et seq.
8888 of this title, may obtain appropriate injunctive or other equitable
8989 relief and monetary damages and shall recover threefold the damage s
9090 sustained, and the cost of suit , including a reasonable attorney
9191 fee. The Attorney General may bring an action in the name of the

143143 state, as parens patriae on behalf of natural persons residing in
144144 the state for appropriate injunctive or other equitable r elief and
145145 to secure monetary damages for injury su stained by such natural
146146 persons to their business or property by reason of any violation of
147147 this act Section 201 et seq. of this title . A district attorney may
148148 bring an action in the name of the state, as parens patriae on
149149 behalf of natural persons residi ng in the district of the district
150150 attorney for appropriate injunctive or other equitable relief and to
151151 secure monetary damages for injury sustained by such natural persons
152152 to their business or property by reason of any violation of th e
153153 Oklahoma Antitrust Reform Act, except to the extent to which the
154154 Attorney General has brought an action under the same theory of
155155 relief. The court shall exclude from the amount of the monetary
156156 damages awarded in such action any amount of monetary damages:
157157 a. which duplicates amounts which have been awarded for
158158 the same injury, or
159159 b. which is properly allocable to:
160160 (1) natural persons who have excluded their claims,
161161 and
162162 (2) any other persons.
163163 The court shall award the state as parens patriae threefold the
164164 total damages sustai ned and the cost of suit , including a reasonable
165165 attorney fee. Whenever the state is hereafter injured in its
166166 business or property by anything forbidden in this act Section 201

218218 et seq. of this title , it may obtain appropriate injunctive or other
219219 equitable relief and monetary damages therefor and shall recover
220220 actual damages by it sustained an d the cost of suit including a
221221 reasonable attorney fee. The court may award under this section,
222222 pursuant to a motion by such person or the state, simple interest on
223223 actual damages for the period beginning on the date of service of
224224 such person’s or the state’s pleading setting forth a claim under
225225 this act Section 201 et seq. of this title and ending on the date of
226226 judgment, or for any shorter period therein, if the cour t finds that
227227 the award of such interest for such period is just in the
228228 circumstances. The Attorney General may bring an ac tion on behalf
229229 of either the state or a political subdivision of the state when
230230 either is injured in its business or property by anyt hing forbidden
231231 by the provisions of this act Section 201 et seq. of this title .
232232 2. In any civil action brought by the Attorney General or
233233 district attorney as parens patriae, the Attorney General or
234234 district attorney shall, at such times, in such manner, and with
235235 such content as the court may direct, cause notice thereof to be
236236 given by publication. Any person on whose behalf an action is
237237 brought may elect to exclude from adju dication the portion of the
238238 claim for monetary damages attributable to him or her by filing
239239 notice of this election with the court within the time specified in
240240 the notice given pursuant to this paragraph.

292292 3. In a civil action brought by the Attorney Gener al or
293293 district attorney as parens patriae, the final judgment shall be res
294294 judicata as to any claim under this section by any person on behalf
295295 of whom the action was brought and who fails to give notice within
296296 the period specified in the notice given pursu ant to paragraph 2 of
297297 this subsection.
298298 B. Any person or governmental entity who or which obtains a
299299 judgment for damages under 15 U.S.C., Section 15 or any other
300300 provision of federal law comparable to this section may not recover
301301 damages in a suit under th is section based on substantially the same
302302 conduct that was the subject of the fe deral suit.
303303 C. Any action to recover damages under this section is barred
304304 unless commenced within four (4) years after the claim accrued or
305305 was discovered, whichever is later .
306306 SECTION 2. AMENDATORY 79 O.S. 2021, Section 207, is
307307 amended to read as follows:
308308 Section 207. It shall be the duty of the court before whom any
309309 proceeding under this act, the Oklahoma Antitrust Reform Act may be
310310 brought, upon the application of the Attorney G eneral or district
311311 attorney, to cause to be issued by the clerk of the court subpoenas
312312 for witnesses as may be named in the application, and cause the same
313313 to be served by the sherif f of the county where the subpoena is
314314 issued; and the witnesses shall be c ompelled to appear before the
315315 court or judge, at t he time and place set forth in the subpoena, and

367367 shall be compelled to testify as to any knowledge they may have of
368368 the violations of any of the provisions of this act Section 201 et
369369 seq. of this title; and any witness who fails or refuses to attend
370370 and testify shall be punished as for contempt, as provided by law.
371371 The evidence of all the witnesse s shall, at the option of the
372372 Attorney General or district attorney , be taken down and shall be
373373 transcribed and placed in the hands of the Attorney G eneral or
374374 district attorney, and the Attorney General or district attorney
375375 shall be authorized to prosecute a violator or violators of this act
376376 Section 201 et seq. of this title. Witnesses subpoenaed as provided
377377 in this section shall be compelled to attend proceedings from any
378378 county in the state.
379379 SECTION 3. AMENDATORY 79 O.S. 2021, Section 210, is
380380 amended to read as follows:
381381 Section 210. A. As used in this section:
382382 1. “Antitrust investigati on” and “investigation” mean any
383383 inquiry conducted by the Attorney Gene ral or district attorney for
384384 the purpose of ascertaining whether any person is or has been
385385 engaged in or is actively preparing to engage in activities which
386386 may constitute an antitrust violation;
387387 2. “Antitrust violation” means any act or omission in violation
388388 of any of the prohibitions contained in this act Section 201 et seq.
389389 of this title or in violation of any of the antitrust laws set forth
390390 in 15 U.S.C., Section 12(a);

442442 3. “Civil investigative demand” and “demand” mean any demand
443443 issued by the Attorney Ge neral or district attorney under subsection
444444 B of this section and consistent with the discovery methods set
445445 forth in subsection A of Section 3226 of Title 12 of the Oklahoma
446446 Statutes; and
447447 4. “Person” means a natural person, proprie torship,
448448 partnership, corporation, limited liability co mpany, municipal
449449 corporation, public trust, association, or any other public or
450450 private entity, however organized, and includes any person acting
451451 under color or authority of state law.
452452 B. Whenever the Attorney General or district attorney has
453453 reason to believe that any person may be in possess ion, custody, or
454454 control of any information, documentary material, or physical
455455 evidence relevant to a civil anti trust investigation, the Attorney
456456 General or district attorney may, prior to the institution of a
457457 civil proceeding, obtain discovery by issuing in writing and servin g
458458 upon the person a civil investigative demand requiring the person to
459459 produce the informat ion, documentary material, or physical evidence
460460 for inspection and copying , to permit entry upon land or other
461461 property, to answer in writing written interrogatories , to give oral
462462 testimony, or to provide any combination of the above.
463463 1. Each demand shall describe the nature of the activities that
464464 are the subject of the investi gation and shall set forth each
465465 statute and section of that statute that may have been or m ay be

517517 violated as a result of the activities. Each demand shall advise
518518 the person upon whom the demand is to be served that the person has
519519 the right to object to th e demand as provided for in thi s section;
520520 2. Each demand for production of documentary mat erial and for
521521 answers to written interrogatories shall prescribe a reasonable
522522 return date or dates by which the material shall be produced an d the
523523 answers to interrogatories shall be submitted; and
524524 3. Each demand for the giving of oral testimony shall prescri be
525525 a reasonable date, time, and place at which the testimony shall
526526 begin.
527527 C. 1. A demand issued under subsection B of this section may
528528 require compliance only if t he material or information sought would
529529 be discoverable under the Oklahoma Discovery Code, and only in the
530530 manner prescribed in the applicable provisions therein.
531531 2. A demand under subsection B of this section may not be
532532 issued upon the Oklahoma Tax Commi ssion for records or files which
533533 are considered confidential and privileged under Section 2 05 of
534534 Title 68 of the Oklahoma Statutes.
535535 D. At any time before the return date specifi ed in a demand or
536536 within twenty (20) days after th e demand has been served, wh ichever
537537 period is shorter, the person who has been served and, in the case
538538 of a demand for a product of discovery, the person from whom the
539539 discovery is sought, may file a petiti on for an order modifying or
540540 setting aside the dem and in the district court in the county of the

592592 person’s residence or principal office or place of business. Any
593593 such petition shall specify each ground upon which the petitioner
594594 relies in seeking the relie f sought. The petition may be based upon
595595 any failure of such demand to comply with the provisions of thi s
596596 section or upon any constitutional or other legal right or pri vilege
597597 of the petitioner. The petitioner shall serve a copy of the
598598 petition upon the Attorney General or district attorney . The
599599 Attorney General or district attorney may submit an answer to the
600600 petition. In ruling on the petition, the court shall presume absent
601601 evidence to the contrary that the Attorney General or district
602602 attorney issued the demand in good faith and within the scope of his
603603 or her authority. The t ime for compliance with the demand in whole
604604 or in part shall not run during the pendency of any petition filed
605605 under this subsection; provided, however, t hat the petitioner shall
606606 comply, with any portions of the demand not sough t to be modified or
607607 set aside.
608608 E. A person on whom a d emand is served shall comply with the
609609 terms of the demand unless otherwise provided by court order.
610610 F. 1. Whenever any person fails to comply with an y demand duly
611611 served on that person under this sec tion, the Attorney General or
612612 district attorney may file in the district court in the county in
613613 which the person resides, is found, or transacts business and serve
614614 on the person a petition for an order o f the court for enforcement
615615 of this section. If the person transacts business in more than one

667667 county, the petition shall be filed in the county of the person ’s
668668 principal office or place of business in the state or in any other
669669 county as may be agreed upo n by the person and the Attorney General
670670 or district attorney.
671671 2. Any person, who, with intent to avoid, ev ade, or prevent
672672 compliance in whole or part with a demand issued under this section,
673673 removes from any place, conceals, withholds, destroys, mutilates,
674674 alters, or by any other means falsifies any docume ntary material or
675675 otherwise provides inaccurate informa tion is guilty of a misdemeanor
676676 and, upon conviction, shall be punished by a fine of not more than
677677 Five Thousand Dollars ($5,000.00) or by confinement in the county
678678 jail for not more than one (1) year or by both such fine and
679679 imprisonment.
680680 G. 1. Not later than fifteen (15) days prior to disclosing
681681 under this subsection any documentary material or answers to written
682682 interrogatories designated as contain ing trade secrets or
683683 confidential information, the Attorney General or district attorney
684684 shall notify the person who produced the material of the Attorney
685685 General’s or district attorney ’s intent to make the disclosure.
686686 After providing such notification, t he Attorney General or district
687687 attorney may petition a district court in any county of this state
688688 in which the person resides, does business, or maintains its
689689 principal office for an order authorizing disclosure of the trade
690690 secrets or confidential inform ation. After notice and hearing, if

742742 so ordered, the Attorney General or district attorney may disclose
743743 the trade secrets or confidential information.
744744 2. Upon written request, the Attorney General or district
745745 attorney shall return documentary material pro duced under this
746746 section in connection with an ant itrust investigation to the person
747747 who produced it when ever:
748748 a. any case or proceeding before any court arising out of
749749 the investigation has been completed, or
750750 b. the Attorney General or district attorney has decided
751751 after completing an examination and ana lysis of the
752752 material not to institute any case or proc eeding
753753 before a court in connection with the investigation.
754754 H. Whenever any petition is filed in the district court as
755755 provided for in this section, t he court shall have jurisdiction to
756756 hear and determine the matter presented an d to enter any order or
757757 orders required to implement the provisions of this section. Any
758758 final order shall be subject to appeal. Failure to comply with any
759759 final order entered by a court under this section is punishable by
760760 the court as contempt.
761761 SECTION 4. This act shall become effective November 1, 2022.
