8181 BE IT ENACTED BY THE PEOPLE OF THE STATE OF O KLAHOMA:
8282 SECTION 1. NEW LAW A new section of law to be codified
8383 in the Oklahoma Statutes as Section 12003.1 of Title 74, unless
8484 there is created a duplication in numb ering, reads as follows:
8585 A. For the purposes of this section, the term “state
8686 governmental entity” shall have the same meaning as Section 12002 of
8787 Title 74 of the Oklahoma Statutes.
8888 B. All shares held directly or indirectly by or on behalf of a
8989 state governmental entity , the participants, and their benefi ciaries

141141 shall be voted solely in the pecuniary interest of plan p articipants
142142 and their beneficiaries .
143143 A state governmental entity shall not rely on any voting
144144 decision guidance from any company listed by the State Treasurer
145145 pursuant to subsection A of Section 12003 of T itle 74 of the
146146 Oklahoma Statutes.
147147 C. Unless no economically practicable alternative is available :
148148 1. A state governmental entit y shall not grant proxy voting
149149 authority to any person who is not a part of the entity unless that
150150 person has a practice of, an d in writing commits to, following
151151 guidelines that match the state governmental entity ’s obligation to
152152 act solely upon pecuniary factors;
153153 2. State governmental entit y assets shall not be entrusted to a
154154 fiduciary, unless that fiduciary has a practice of, a nd in writing
155155 commits to, following guidelines when engaging with portfolio
156156 companies and voting shares or proxies that match the state
157157 governmental entity’s obligation to act solely upon pecuniary
158158 factors; and
159159 3. An investment manager, fiduciary, or state governmental
160160 entity shall not adopt a practice of following the recommendations
161161 of a proxy adviser or other service provider, unless such adviser or
162162 service provider has a pra ctice of, and in writing commits to,
163163 following proxy voting guidelines that mat ch the governmental
164164 entity’s obligation to act sole ly upon pecuniary factors .

216216 D. All proxy votes shall be tabulated and report ed annually to
217217 the State Treasurer. For each vote, the report sh all contain a vote
218218 caption, the plan’s vote, the recommendation of company management,
219219 and, if applicable, the prox y adviser’s recommendation. These
220220 reports shall be posted on a publicly avai lable webpage on the
221221 Treasurer’s website. The State Treasurer shall promulgate rules to
222222 implement this provision.
223223 SECTION 2. This act shall become effective Nove mber 1, 2023.
