156	156		BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:
157	157		SECTION 1. NEW LAW A new section of law not to be
158	158		codified in the Oklahoma Statutes reads as follows:
159	159		This act shall be known and may be cited as the "Oklahoma
160	160		Prosperity Act".
161	161		SECTION 2. NEW LAW A new section of law to be codified
162	162		in the Oklahoma Statutes as Section 3600 of Title 62, unless there
163	163		is created a duplication in numb ering, reads as follows:
164	164		A. Implementation of this act shall be subject to the receipt
165	165		of appropriations sufficient to establi sh the Oklahoma Prosperity
166	166		Act Program, as defin ed in this section.
167	167		B. As used in this act:
168	168		1. "Administrative fund" shall mean the Oklahoma Prosperity Act
169	169		administrative fund established under this act;
170	170		2. "Contribution rate" means the percentage of th e wages of a
171	171		covered employee that is withheld f rom his or her wages and paid to
172	172		the individual retirement account or individual re tirement annuity
173	173		established for the covered employee under the Program;
174	174		3. "Covered employee" means any individual who is e ighteen (18)
175	175		years of age or older, who is emplo yed by a participating employ er
176	176		and who has wages that are allocable to the state. For purposes of

228	228		the investment, withdrawal, transfer, rollover, or other
229	229		distribution of an individual retirement account or individual
230	230		retirement annuity, the term covered employee also includes the
231	231		beneficiary of a deceas ed covered employee;
232	232		4. "Employer" means a person or entity engaged in a business,
233	233		profession, trade, or other enterprise in the state, whether for
234	234		profit or not-for-profit, that employs one or more indiv iduals in
235	235		the state; provided, that a federal or st ate entity, agency, or
236	236		instrumentality or any political subdivision thereof, shall not be
237	237		an employer;
238	238		5. "Enrollee" means any covered employee enrolled in the
239	239		Oklahoma Prosperity Act Program;
240	240		6. "Internal Revenue Code" means the federal Internal Revenue
241	241		Code of 1986, as amended;
242	242		7. "Investment adviser" means either:
243	243		a. an investment advise r registered under the U.S.
244	244		Investment Advisers Act of 1940, or
245	245		b. a bank or other institution ex empt from registration
246	246		under the U.S. Investment Advisers Act of 1940;
247	247		8. "Investment fund" means each investment portfolio
248	248		established within the tru st for investment purposes;
249	249		9. "IRA" means either an individual retirement account or
250	250		individual retirement annuity establi shed under Section 408 or 408A
251	251		of Title 26 of the I nternal Revenue Code;

303	303		10. "Participating employer" means an employer electing to
304	304		participate in the Oklahoma Prosperity Act Program that has not been
305	305		a participating or contributing employer in a retireme nt plan, an
306	306		automatic enrollment payroll deduction IRA, or a qualified
307	307		retirement plan in compliance with federal law for its employees
308	308		including plans qualified under Section 401(a), 401(k), 403(a),
309	309		403(b), 408(k), 408(p), 457(b), or 457(f) of Title 26 of the
310	310		Internal Revenue Code or any deferred compensa tion plan offered by
311	311		any employer at any time during the preceding two (2) calendar
312	312		years;
313	313		11. "Program" means the Oklahoma Prosperity Act Program
314	314		established under this act;
315	315		12. "State" means the State of Oklahoma;
316	316		13. "State Treasurer" means the Oklahoma State Treasurer;
317	317		14. "Trust" means the IRA retirement trust or annuity contract
318	318		established under Section 7 of this act;
319	319		15. "Trustee" means the trustee of the trust including an
320	320		insurance company is suing an annuity contract selected under Section
321	321		4 of this act; and
322	322		16. "Wages" means compensation within the meaning of Section
323	323		219(f)(1) of Title 26 of the Internal Revenue Code that is received
324	324		by a covered employee from a participating employer.

376	376		SECTION 3. NEW LAW A new section of law to be codified
377	377		in the Oklahoma Statutes as Section 3601 of Title 62, unless there
378	378		is created a duplication in numb ering, reads as follows:
379	379		The State Treasurer shall have the following powers and du ties
380	380		in implementing the prov isions of this act:
381	381		1. To design, establish, and oper ate the Oklahoma Prosperity
382	382		Act Program in accordance with the requirements established in this
383	383		act;
384	384		2. To collect fees to defray the costs of a dministering the
385	385		Program;
386	386		3. To enter into contracts nec essary or desirable fo r the
387	387		establishment and administ ration of the Program;
388	388		4. To hire, retain, and termin ate third-party service providers
389	389		for the Program including, but not limited to, consultant s,
390	390		investment managers or ad visors, trustees, custodians, insurance
391	391		companies, record keepers, administrators, actuaries, counsel,
392	392		auditors, and other professionals; provided, that each service
393	393		provider shall be authorized to do business in this state. Fo r
394	394		purposes of selecting a th ird-party service provider, t he Office of
395	395		the State Treasurer shall be exempt from the Oklahoma Central
396	396		Purchasing Act; provided, that a competitive process shall be
397	397		developed and utilized to select service providers;
398	398		5. To determine the type or types of IRAs to be offered;

450	450		6. To employ a program adminis trator and any other individuals
451	451		necessary to administer the Progr am and the administr ative fund;
452	452		7. To develop and implement an outreach plan and disseminate
453	453		information regarding the Program and retirem ent and financial
454	454		education in general, to employee s, employers, and other
455	455		constituents in the state;
456	456		8. To adopt rules and procedures f or the establishment and
457	457		operation of the Program and to take such other actions as necessary
458	458		to operate the Program in accordance with the provisions of this
459	459		act. Any guidelines or procedures affectin g the Program may be
460	460		implemented after reasonable noti ce to the public and a public
461	461		comment period, in a manner similar to the requirements of the
462	462		Administrative Procedures Act. However, the A dministrative
463	463		Procedures Act shall not apply for purposes of th is section; and
464	464		9. If applicable, to establish and maintain the Program by
465	465		contracting with another state, partnering with one or more states
466	466		to create a joint auto -IRA program, allowing state s to participate
467	467		in the Program, or forming a consortium with o ne or more other
468	468		states in which certain aspects of th e Program of each state are
469	469		combined for administrative convenience and efficiency.
470	470		SECTION 4. NEW LAW A new section of law to be codified
471	471		in the Oklahoma Statutes as Section 3602 of Title 62, unless there
472	472		is created a duplication in numb ering, reads as follows:

524	524		A. The trustee and each investment adviser shall be a fiduciary
525	525		with respect to the tru st and IRAs established and m aintained under
526	526		the Oklahoma Prosperity Act Program.
527	527		B. Each participating employer shall be required to provide
528	528		covered employees with the in formation as required by the Program.
529	529		No employer acting pursuant to this act shall be considered a
530	530		fiduciary with respect to the trust or an IRA or have fiduciary
531	531		responsibilities under the act.
532	532		C. Each fiduciary shall discharge its duties with respect to
533	533		the Program solely in the best interests of covered employees and
534	534		with the care, skill, prudence, and diligenc e under the prevailing
535	535		circumstances that a prudent pe rson acting in a similar capacity and
536	536		familiar with those matters would use in the conduc t of an
537	537		enterprise of like character and aims.
538	538		SECTION 5. NEW LAW A new section of law to be codified
539	539		in the Oklahoma Statutes as Section 3603 of Title 62, unless there
540	540		is created a duplication in numb ering, reads as follows:
541	541		The Oklahoma Prosperity Act Program shall b e designed,
542	542		established, and operated in accordance with the followi ng
543	543		provisions:
544	544		1. Each participating employer may offer to each covered
545	545		employee an opportuni ty to contribute to an IRA established under
546	546		the Program for the benefit of the covered employ ee through

598	598		withholding from his or her wages. No employer shall be permitted
599	599		to contribute to the Program;
600	600		2. Unless the covered employee elects not to particip ate in the
601	601		Program, he or she may be automatically enrol led in the Program and
602	602		contributions shall be withheld fro m the wages of the covered
603	603		employee;
604	604		3. The minimum contribution rate of each enrollee shall be
605	605		three percent (3%); the minimum contributio n rate shall be the
606	606		default contribution rate;
607	607		4. The IRAs shall qualify for favorable federal income tax
608	608		treatment under Sections 408 and 408A of Title 26, as app ropriate,
609	609		of the Internal Reve nue Code;
610	610		5. Each participating employer shall deposit withheld
611	611		contributions of the enrollee under the Program with the trustee in
612	612		such manner as is determi ned by the State Tre asurer; provided, that
613	613		the employer shall delive r the amounts withheld to the trustee
614	614		within thirty (30) business days after the date the a mounts
615	615		otherwise would have been paid to the enrollee;
616	616		6. Additional rules and procedures may be adopted in
617	617		conjunction with established Internal Revenue Service (I RS)
618	618		regulations for withdrawals, distributions, transfers , and rollovers
619	619		of IRAs and for the designation of IRA beneficiaries;
620	620		7. Information regarding the Program shall be made available to
621	621		the public on a website maintained for the Program;

673	673		8. Audited financial reports shall be submitted to the Governor
674	674		and Legislature within two (2) years after the Program is
675	675		established and annually thereafter at the end of each fiscal year;
676	676		9. Each participating employer shall be provided inform ation
677	677		regarding the Program and disclosures including:
678	678		a. a description of the benefits and risk s associated
679	679		with investments offered in t he Program,
680	680		b. instructions about how to obtain addit ional
681	681		information about the Program,
682	682		c. a description of the fede ral and state income tax
683	683		consequences of an IRA, which may consist of or
684	684		include the disclosure statement required to be
685	685		distributed under the Internal Revenue Code and the
686	686		Treasury Regulations thereunder,
687	687		d. a statement that covered em ployees seeking fina ncial
688	688		advice should contact their own financial advisors,
689	689		that participating employers shall not provi de
690	690		financial advice, and that participating employers are
691	691		not liable for decisions covered employees m ake under
692	692		the act,
693	693		e. a statement that the Program i s not an employer-
694	694		sponsored retirement plan,

747	747		the enrollee established under the Progra m is
748	748		guaranteed by the state,
749	749		g. a statement that neit her a participating employer nor
750	750		the state will monitor or h as an obligation to monitor
751	751		the eligibility of the covered employee under the
752	752		Internal Revenue Code to make contributions to an IRA
753	753		or to monitor whether the contribution of the enrollee
754	754		to the IRA established for the enrollee under the
755	755		Program exceeds the maximum permissible IRA
756	756		contribution; it shall be the responsibility of the
757	757		covered employee, and
758	758		h. a statement that neither the state nor the
759	759		participating employer will have any liability with
760	760		respect to any failure of the covered e mployee to be
761	761		eligible to make IRA contributions or any contribution
762	762		in excess of the maximum IRA contribution;
763	763		10. Any information, forms, or instructions to be furnished to
764	764		covered employees that provide the c overed employee with the
765	765		procedures for:
766	766		a. making contributions to the IRA of the covered
767	767		employee established under the Program including a
768	768		description of the minimum contribution rate and the

821	821		the contribution rate under the Program,
822	822		b. making an investment election with respect to the IRA
823	823		of the covered employee established under the Program
824	824		including a description of the default investment
825	825		fund, and
826	826		c. making transfers, rollovers, withdrawals, and other
827	827		distributions from the IRA of the covered employee;
828	828		11. Each participating employer shall deliver or facilitate the
829	829		delivery of the information about the Program t o each covered
830	830		employee at the time and in the manner as established by Program
831	831		guidelines; and
832	832		12. The Program shall be designed and operated in a manner that
833	833		will cause it not to be an employee benefit plan within the meaning
834	834		of Section 3(3) of the Empl oyee Retirement Income Security Act of
835	835		1974.
836	836		SECTION 6. NEW LAW A new section of law to be codified
837	837		in the Oklahoma Statutes as Se ction 3604 of Title 62, unless there
838	838		is created a duplication in numbering, reads as follows:
839	839		There is hereby created in the Office of the State Treasurer a
840	840		fund to be designated as the "Oklahoma Prosperity Act Administrative
841	841		Fund". The fund shall be a co ntinuing fund, not subject to fiscal
842	842		year limitations, and shall consist of monies appropriated for the
843	843		administration of the Oklahoma Prosperity Act Prog ram, all

896	896		the fund by law. All monie s accruing to the credit of t he fund are
897	897		hereby appropriated and may be budgeted and expended by the State
898	898		Treasurer for expenses related to the administr ation and support of
899	899		the Program. Expenditures from the fund shall be made upon warrants
900	900		issued by the State Treasurer against cla ims filed as prescribed by
901	901		law with the Director of the Office of Management and Enterprise
902	902		Services for approval and payment .
903	903		SECTION 7. NEW LAW A new section of law to be codified
904	904		in the Oklahoma Statu tes as Section 3605 of Title 62, unless there
905	905		is created a duplication in numbering, reads as follows:
906	906		A. There is hereby created as an instrumentality of the state a
907	907		trust to be known as the "Oklahoma Prosperity Act Trust".
908	908		B. The State Treasurer may ap point qualified financial
909	909		institutions to act as tr ustee or custodian of the IRA accounts.
910	910		C. The assets of IRAs established for covered employees shall
911	911		be allocated to the Trust and combined for investment purpos es.
912	912		Trust assets shall be managed and adm inistered for the purposes of
913	913		providing services to enrollees and defraying reasonable
914	914		administrative expenses of the Oklahoma Prosperity Act Program.
915	915		D. There shall be established within the Trust one or more
916	916		investment funds. The first One Thousand Dol lars ($1,000.00) in
917	917		contributions made by, or on be half of, an enrollee may be deposited
918	918		into a default capital preservation investment fund and the enrollee

971	971		enrollee chooses to end particip ation in the Program, the enr ollee
972	972		may withdraw the deposited amounts from the default inves tment
973	973		without penalty.
974	974		E. Enrollees may allocate assets of their IRAs among investment
975	975		funds and a default investment fun d may be designated for the IRAs
976	976		of enrollees who do not select an inve stment fund.
977	977		F. The State Treasurer may retain investment advi sers to select
978	978		and manage the investments of investment funds on a discretionary
979	979		basis, subject to ongoing review and over sight.
980	980		G. The assets of the Trust shall be maintained, invested, and
981	981		expended solely for the purposes of the Trust and no property rights
982	982		therein shall exist in favor of the state or any participating
983	983		employer. Trust assets shall not be transferred or us ed by the
984	984		state for any purposes other tha n the purposes of the Trust or
985	985		funding the expenses of operating the Program.
986	986		H. The assets of the Trust shall be held separate and apart
987	987		from the assets of the state.
988	988		I. There shall be no liability for the state , the Program, the
989	989		State Treasurer, or any employer for investment loss es incurred by
990	990		any covered employee as a result of participatin g in the Program.
991	991		J. The Trust and each investment fund shall not be subject to
992	992		income tax of this state.

1045	1045		another state, a joint program, or a consortiu m with one or more
1046	1046		other states, then the Trust may be established by adopting the
1047	1047		trust established under the program of the other state or states or
1048	1048		as a master trust or similar arrangement with the othe r state or
1049	1049		states; provided, that the trust, master trust, or similar
1050	1050		arrangement satisfies the requirements of this section.
1051	1051		SECTION 8. NEW LAW A new section of law to be codified
1052	1052		in the Oklahoma Statutes as Section 3606 of Title 62, unless there
1053	1053		is created a duplication in numbering, reads as follows:
1054	1054		The Oklahoma Prosperity Act P rogram shall be established so that
1055	1055		enrollees may begin making contributions within twenty -four (24)
1056	1056		months of the effective date of this act; p rovided, that the State
1057	1057		Treasurer may extend the period withi n which the Program is
1058	1058		implemented by twelve (12) m onths. The State Treasurer may
1059	1059		establish a pilot program for certain participating employers, may
1060	1060		provide for a staggered rollout of the Progra m so that participating
1061	1061		employers may offer the Program to co vered employees in stages based
1062	1062		on employee headcount or other criteria, or both.
1063	1063		SECTION 9. AMENDATORY 75 O.S. 2021, Section 250.4, is
1064	1064		amended to read as follows:
1065	1065		Section 250.4. A. 1. Except as is otherwise specifically
1066	1066		provided in this subsection, each agency is required to comply with
1067	1067		Article I of the Administrative Procedures Act.

1120	1120		the provisions of Article I of the Administrative Procedures Act
1121	1121		except for subsections A, B, C, and E of Section 303 of this title
1122	1122		and Section 306 of this title. To the extent of any conflict or
1123	1123		inconsistency with Article I of the Administrative Procedures Act,
1124	1124		pursuant to Section 35 of Article IX of the Oklahoma Constitution,
1125	1125		it is expressly declared that Article I of the Administrative
1126	1126		Procedures Act is an amendment to and alteration of Sections 18
1127	1127		through 34 of Article IX of the Oklahoma Constitution.
1128	1128		3. The Oklahoma Military Department of the State of Oklahoma
1129	1129		shall be exempt from the provisions of Article I of th e
1130	1130		Administrative Procedures Act to the extent it exercises its
1131	1131		responsibility for military affairs. Military publications, as
1132	1132		defined in Section 801 of Title 44 of the Oklahoma Statutes, shall
1133	1133		be exempt from the provision s of Article I and Article II of t he
1134	1134		Administrative Procedures Act, except as provided in Sec tion 251 of
1135	1135		this title.
1136	1136		4. The Oklahoma Ordnance Works Authority, the Nor theast
1137	1137		Oklahoma Public Facilities Authority, the Oklahoma Office of
1138	1138		Homeland Security, and the Board of Trustees of the Okl ahoma College
1139	1139		Savings Plan shall be exempt from Article I o f the Administrative
1140	1140		Procedures Act.
1141	1141		5. The Transportation Commission and the Department of
1142	1142		Transportation shall be exempt from Article I of the Administrative

1202	1202		a. prescribing standards of higher education,
1203	1203		b. prescribing functions and courses of study in each
1204	1204		institution to conform to the standards,
1205	1205		c. granting of degrees and other forms of academic
1206	1206		recognition for completion of the prescribed cours es,
1207	1207		d. allocation of state-appropriated funds, and
1208	1208		e. fees within the limits prescribed by the Le gislature.
1209	1209		7. Institutional governing boards within The O klahoma State
1210	1210		System of Higher Education shall be exempt from Article I of the
1211	1211		Administrative Procedu res Act.
1212	1212		8. a. The Commissioner of Public Safety shall be exempt from
1213	1213		Sections 303.1, 304, 307. 1, 308, and 308.1 of this
1214	1214		title insofar as it is necessary t o promulgate rules
1215	1215		pursuant to the Oklahoma Motor Carrier Safety and
1216	1216		Hazardous Materials Transportatio n Act, to maintain a
1217	1217		current incorporation of federal motor carrier s afety

1272	1272		driver license regulatio ns, for which the Commissioner
1273	1273		has no discretion when the state is ma ndated to
1274	1274		promulgate rules identical to federal rules and
1275	1275		regulations.
1276	1276		b. Such rules may be adopted by the Commissioner and
1277	1277		shall be deemed promulgated twenty (20) days after
1278	1278		notice of adoption is published in "The Oklahoma
1279	1279		Register". Such publication nee d not set forth the
1280	1280		full text of the rule but may incorporate the federal
1281	1281		rules and regulations by reference.
1282	1282		c. Such copies of promulgated rules shall be fil ed with
1283	1283		the Secretary as requ ired by Section 251 of this
1284	1284		title.
1285	1285		d. For any rules for which the Com missioner has
1286	1286		discretion to allow variances, tolerances, or
1287	1287		modifications from the federal rules and regulations,
1288	1288		the Commissioner shall fully comply with Art icle I of
1289	1289		the Administrative P rocedures Act.
1290	1290		9. The Council on Judicial Complaints shall be exemp t from
1291	1291		Section 306 of Article I of the Administrative Procedures Act, with
1292	1292		respect to review of the validity or applicability of a rule by an

1346	1346		appellate court. A party aggrieved by the validity or applicability
1347	1347		of a rule made by the Council on Judicial Complaints may petition
1348	1348		the Court on the Judiciary to r eview the rules and issue opinions
1349	1349		based upon them.
1350	1350		10. The Department of Corrections, State Board of Corrections,
1351	1351		county sheriffs, and managers of city jails shall be exempt from
1352	1352		Article I of the Administrative Procedures A ct with respect to:
1353	1353		a. prescribing internal management procedures for the
1354	1354		management of the state p risons, county jails, and
1355	1355		city jails and for the management, supervision, and
1356	1356		control of all incarcerated prisoners, and
1357	1357		b. prescribing internal management p rocedures for the
1358	1358		management of the probation and parole unit of the
1359	1359		Department of Corrections and for the supervision of
1360	1360		probationers and parolees.
1361	1361		11. The State Board of Education shall be exempt from Article I
1362	1362		of the Administrative Procedures Act with respect to prescribing
1363	1363		subject matter standards as provided for in Section 11-103.6a of
1364	1364		Title 70 of the Oklahoma Statutes.
1365	1365		B. As specified, the following agencies or classes of agency
1366	1366		activities are not required to comply with the provisions of Article
1367	1367		II of the Administrative Procedures Act:
