156156 BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:
157157 SECTION 1. NEW LAW A new section of law not to be
158158 codified in the Oklahoma Statutes reads as follows:
159159 This act shall be known and may be cited as the "Oklahoma
160160 Prosperity Act".
161161 SECTION 2. NEW LAW A new section of law to be codified
162162 in the Oklahoma Statutes as Section 3600 of Title 62, unless there
163163 is created a duplication in numb ering, reads as follows:
164164 A. Implementation of this act shall be subject to the receipt
165165 of appropriations sufficient to establi sh the Oklahoma Prosperity
166166 Act Program, as defin ed in this section.
167167 B. As used in this act:
168168 1. "Administrative fund" shall mean the Oklahoma Prosperity Act
169169 administrative fund established under this act;
170170 2. "Contribution rate" means the percentage of th e wages of a
171171 covered employee that is withheld f rom his or her wages and paid to
172172 the individual retirement account or individual re tirement annuity
173173 established for the covered employee under the Program;
174174 3. "Covered employee" means any individual who is e ighteen (18)
175175 years of age or older, who is emplo yed by a participating employ er
176176 and who has wages that are allocable to the state. For purposes of

228228 the investment, withdrawal, transfer, rollover, or other
229229 distribution of an individual retirement account or individual
230230 retirement annuity, the term covered employee also includes the
231231 beneficiary of a deceas ed covered employee;
232232 4. "Employer" means a person or entity engaged in a business,
233233 profession, trade, or other enterprise in the state, whether for
234234 profit or not-for-profit, that employs one or more indiv iduals in
235235 the state; provided, that a federal or st ate entity, agency, or
236236 instrumentality or any political subdivision thereof, shall not be
237237 an employer;
238238 5. "Enrollee" means any covered employee enrolled in the
239239 Oklahoma Prosperity Act Program;
240240 6. "Internal Revenue Code" means the federal Internal Revenue
241241 Code of 1986, as amended;
242242 7. "Investment adviser" means either:
243243 a. an investment advise r registered under the U.S.
244244 Investment Advisers Act of 1940, or
245245 b. a bank or other institution ex empt from registration
246246 under the U.S. Investment Advisers Act of 1940;
247247 8. "Investment fund" means each investment portfolio
248248 established within the tru st for investment purposes;
249249 9. "IRA" means either an individual retirement account or
250250 individual retirement annuity establi shed under Section 408 or 408A
251251 of Title 26 of the I nternal Revenue Code;

303303 10. "Participating employer" means an employer electing to
304304 participate in the Oklahoma Prosperity Act Program that has not been
305305 a participating or contributing employer in a retireme nt plan, an
306306 automatic enrollment payroll deduction IRA, or a qualified
307307 retirement plan in compliance with federal law for its employees
308308 including plans qualified under Section 401(a), 401(k), 403(a),
309309 403(b), 408(k), 408(p), 457(b), or 457(f) of Title 26 of the
310310 Internal Revenue Code or any deferred compensa tion plan offered by
311311 any employer at any time during the preceding two (2) calendar
312312 years;
313313 11. "Program" means the Oklahoma Prosperity Act Program
314314 established under this act;
315315 12. "State" means the State of Oklahoma;
316316 13. "State Treasurer" means the Oklahoma State Treasurer;
317317 14. "Trust" means the IRA retirement trust or annuity contract
318318 established under Section 7 of this act;
319319 15. "Trustee" means the trustee of the trust including an
320320 insurance company is suing an annuity contract selected under Section
321321 4 of this act; and
322322 16. "Wages" means compensation within the meaning of Section
323323 219(f)(1) of Title 26 of the Internal Revenue Code that is received
324324 by a covered employee from a participating employer.

377377 in the Oklahoma Statutes as Section 3601 of Title 62, unless there
378378 is created a duplication in numb ering, reads as follows:
379379 The State Treasurer shall have the following powers and du ties
380380 in implementing the prov isions of this act:
381381 1. To design, establish, and oper ate the Oklahoma Prosperity
382382 Act Program in accordance with the requirements established in this
383383 act;
384384 2. To collect fees to defray the costs of a dministering the
385385 Program;
386386 3. To enter into contracts nec essary or desirable fo r the
387387 establishment and administ ration of the Program;
388388 4. To hire, retain, and termin ate third-party service providers
389389 for the Program including, but not limited to, consultant s,
390390 investment managers or ad visors, trustees, custodians, insurance
391391 companies, record keepers, administrators, actuaries, counsel,
392392 auditors, and other professionals; provided, that each service
393393 provider shall be authorized to do business in this state. Fo r
394394 purposes of selecting a th ird-party service provider, t he Office of
395395 the State Treasurer shall be exempt from the Oklahoma Central
396396 Purchasing Act; provided, that a competitive process shall be
397397 developed and utilized to select service providers;
398398 5. To determine the type or types of IRAs to be offered;

450450 6. To employ a program adminis trator and any other individuals
451451 necessary to administer the Progr am and the administr ative fund;
452452 7. To develop and implement an outreach plan and disseminate
453453 information regarding the Program and retirem ent and financial
454454 education in general, to employee s, employers, and other
455455 constituents in the state;
456456 8. To adopt rules and procedures f or the establishment and
457457 operation of the Program and to take such other actions as necessary
458458 to operate the Program in accordance with the provisions of this
459459 act. Any guidelines or procedures affectin g the Program may be
460460 implemented after reasonable noti ce to the public and a public
461461 comment period, in a manner similar to the requirements of the
462462 Administrative Procedures Act. However, the A dministrative
463463 Procedures Act shall not apply for purposes of th is section; and
464464 9. If applicable, to establish and maintain the Program by
465465 contracting with another state, partnering with one or more states
466466 to create a joint auto -IRA program, allowing state s to participate
467467 in the Program, or forming a consortium with o ne or more other
468468 states in which certain aspects of th e Program of each state are
469469 combined for administrative convenience and efficiency.
470470 SECTION 4. NEW LAW A new section of law to be codified
471471 in the Oklahoma Statutes as Section 3602 of Title 62, unless there
472472 is created a duplication in numb ering, reads as follows:

524524 A. The trustee and each investment adviser shall be a fiduciary
525525 with respect to the tru st and IRAs established and m aintained under
526526 the Oklahoma Prosperity Act Program.
527527 B. Each participating employer shall be required to provide
528528 covered employees with the in formation as required by the Program.
529529 No employer acting pursuant to this act shall be considered a
530530 fiduciary with respect to the trust or an IRA or have fiduciary
531531 responsibilities under the act.
532532 C. Each fiduciary shall discharge its duties with respect to
533533 the Program solely in the best interests of covered employees and
534534 with the care, skill, prudence, and diligenc e under the prevailing
535535 circumstances that a prudent pe rson acting in a similar capacity and
536536 familiar with those matters would use in the conduc t of an
537537 enterprise of like character and aims.
538538 SECTION 5. NEW LAW A new section of law to be codified
539539 in the Oklahoma Statutes as Section 3603 of Title 62, unless there
540540 is created a duplication in numb ering, reads as follows:
541541 The Oklahoma Prosperity Act Program shall b e designed,
542542 established, and operated in accordance with the followi ng
543543 provisions:
544544 1. Each participating employer may offer to each covered
545545 employee an opportuni ty to contribute to an IRA established under
546546 the Program for the benefit of the covered employ ee through

598598 withholding from his or her wages. No employer shall be permitted
599599 to contribute to the Program;
600600 2. Unless the covered employee elects not to particip ate in the
601601 Program, he or she may be automatically enrol led in the Program and
602602 contributions shall be withheld fro m the wages of the covered
603603 employee;
604604 3. The minimum contribution rate of each enrollee shall be
605605 three percent (3%); the minimum contributio n rate shall be the
606606 default contribution rate;
607607 4. The IRAs shall qualify for favorable federal income tax
608608 treatment under Sections 408 and 408A of Title 26, as app ropriate,
609609 of the Internal Reve nue Code;
610610 5. Each participating employer shall deposit withheld
611611 contributions of the enrollee under the Program with the trustee in
612612 such manner as is determi ned by the State Tre asurer; provided, that
613613 the employer shall delive r the amounts withheld to the trustee
614614 within thirty (30) business days after the date the a mounts
615615 otherwise would have been paid to the enrollee;
616616 6. Additional rules and procedures may be adopted in
617617 conjunction with established Internal Revenue Service (I RS)
618618 regulations for withdrawals, distributions, transfers , and rollovers
619619 of IRAs and for the designation of IRA beneficiaries;
620620 7. Information regarding the Program shall be made available to
621621 the public on a website maintained for the Program;

673673 8. Audited financial reports shall be submitted to the Governor
674674 and Legislature within two (2) years after the Program is
675675 established and annually thereafter at the end of each fiscal year;
676676 9. Each participating employer shall be provided inform ation
677677 regarding the Program and disclosures including:
678678 a. a description of the benefits and risk s associated
679679 with investments offered in t he Program,
680680 b. instructions about how to obtain addit ional
681681 information about the Program,
682682 c. a description of the fede ral and state income tax
683683 consequences of an IRA, which may consist of or
684684 include the disclosure statement required to be
685685 distributed under the Internal Revenue Code and the
686686 Treasury Regulations thereunder,
687687 d. a statement that covered em ployees seeking fina ncial
688688 advice should contact their own financial advisors,
689689 that participating employers shall not provi de
690690 financial advice, and that participating employers are
691691 not liable for decisions covered employees m ake under
692692 the act,
693693 e. a statement that the Program i s not an employer-
694694 sponsored retirement plan,

746746 f. a statement that neither the Program nor the IRA of
747747 the enrollee established under the Progra m is
748748 guaranteed by the state,
749749 g. a statement that neit her a participating employer nor
750750 the state will monitor or h as an obligation to monitor
751751 the eligibility of the covered employee under the
752752 Internal Revenue Code to make contributions to an IRA
753753 or to monitor whether the contribution of the enrollee
754754 to the IRA established for the enrollee under the
755755 Program exceeds the maximum permissible IRA
756756 contribution; it shall be the responsibility of the
757757 covered employee, and
758758 h. a statement that neither the state nor the
759759 participating employer will have any liability with
760760 respect to any failure of the covered e mployee to be
761761 eligible to make IRA contributions or any contribution
762762 in excess of the maximum IRA contribution;
763763 10. Any information, forms, or instructions to be furnished to
764764 covered employees that provide the c overed employee with the
765765 procedures for:
766766 a. making contributions to the IRA of the covered
767767 employee established under the Program including a
768768 description of the minimum contribution rate and the

821821 the contribution rate under the Program,
822822 b. making an investment election with respect to the IRA
823823 of the covered employee established under the Program
824824 including a description of the default investment
825825 fund, and
826826 c. making transfers, rollovers, withdrawals, and other
827827 distributions from the IRA of the covered employee;
828828 11. Each participating employer shall deliver or facilitate the
829829 delivery of the information about the Program t o each covered
830830 employee at the time and in the manner as established by Program
831831 guidelines; and
832832 12. The Program shall be designed and operated in a manner that
833833 will cause it not to be an employee benefit plan within the meaning
834834 of Section 3(3) of the Empl oyee Retirement Income Security Act of
835835 1974.
836836 SECTION 6. NEW LAW A new section of law to be codified
837837 in the Oklahoma Statutes as Se ction 3604 of Title 62, unless there
838838 is created a duplication in numbering, reads as follows:
839839 There is hereby created in the Office of the State Treasurer a
840840 fund to be designated as the "Oklahoma Prosperity Act Administrative
841841 Fund". The fund shall be a co ntinuing fund, not subject to fiscal
842842 year limitations, and shall consist of monies appropriated for the
843843 administration of the Oklahoma Prosperity Act Prog ram, all

895895 administrative fees collected, and any other monies designated to
896896 the fund by law. All monie s accruing to the credit of t he fund are
897897 hereby appropriated and may be budgeted and expended by the State
898898 Treasurer for expenses related to the administr ation and support of
899899 the Program. Expenditures from the fund shall be made upon warrants
900900 issued by the State Treasurer against cla ims filed as prescribed by
901901 law with the Director of the Office of Management and Enterprise
902902 Services for approval and payment .
903903 SECTION 7. NEW LAW A new section of law to be codified
904904 in the Oklahoma Statu tes as Section 3605 of Title 62, unless there
905905 is created a duplication in numbering, reads as follows:
906906 A. There is hereby created as an instrumentality of the state a
907907 trust to be known as the "Oklahoma Prosperity Act Trust".
908908 B. The State Treasurer may ap point qualified financial
909909 institutions to act as tr ustee or custodian of the IRA accounts.
910910 C. The assets of IRAs established for covered employees shall
911911 be allocated to the Trust and combined for investment purpos es.
912912 Trust assets shall be managed and adm inistered for the purposes of
913913 providing services to enrollees and defraying reasonable
914914 administrative expenses of the Oklahoma Prosperity Act Program.
915915 D. There shall be established within the Trust one or more
916916 investment funds. The first One Thousand Dol lars ($1,000.00) in
917917 contributions made by, or on be half of, an enrollee may be deposited
918918 into a default capital preservation investment fund and the enrollee

970970 may be provided an account revocation period during whic h, if the
971971 enrollee chooses to end particip ation in the Program, the enr ollee
972972 may withdraw the deposited amounts from the default inves tment
973973 without penalty.
974974 E. Enrollees may allocate assets of their IRAs among investment
975975 funds and a default investment fun d may be designated for the IRAs
976976 of enrollees who do not select an inve stment fund.
977977 F. The State Treasurer may retain investment advi sers to select
978978 and manage the investments of investment funds on a discretionary
979979 basis, subject to ongoing review and over sight.
980980 G. The assets of the Trust shall be maintained, invested, and
981981 expended solely for the purposes of the Trust and no property rights
982982 therein shall exist in favor of the state or any participating
983983 employer. Trust assets shall not be transferred or us ed by the
984984 state for any purposes other tha n the purposes of the Trust or
985985 funding the expenses of operating the Program.
986986 H. The assets of the Trust shall be held separate and apart
987987 from the assets of the state.
988988 I. There shall be no liability for the state , the Program, the
989989 State Treasurer, or any employer for investment loss es incurred by
990990 any covered employee as a result of participatin g in the Program.
991991 J. The Trust and each investment fund shall not be subject to
992992 income tax of this state.

10441044 K. If the Program is established by using the IRA program of
10451045 another state, a joint program, or a consortiu m with one or more
10461046 other states, then the Trust may be established by adopting the
10471047 trust established under the program of the other state or states or
10481048 as a master trust or similar arrangement with the othe r state or
10491049 states; provided, that the trust, master trust, or similar
10501050 arrangement satisfies the requirements of this section.
10511051 SECTION 8. NEW LAW A new section of law to be codified
10521052 in the Oklahoma Statutes as Section 3606 of Title 62, unless there
10531053 is created a duplication in numbering, reads as follows:
10541054 The Oklahoma Prosperity Act P rogram shall be established so that
10551055 enrollees may begin making contributions within twenty -four (24)
10561056 months of the effective date of this act; p rovided, that the State
10571057 Treasurer may extend the period withi n which the Program is
10581058 implemented by twelve (12) m onths. The State Treasurer may
10591059 establish a pilot program for certain participating employers, may
10601060 provide for a staggered rollout of the Progra m so that participating
10611061 employers may offer the Program to co vered employees in stages based
10621062 on employee headcount or other criteria, or both.
10631063 SECTION 9. AMENDATORY 75 O.S. 2021, Section 250.4, is
10641064 amended to read as follows:
10651065 Section 250.4. A. 1. Except as is otherwise specifically

11321132 defined in Section 801 of Title 44 of the Oklahoma Statutes, shall
11331133 be exempt from the provision s of Article I and Article II of t he
11341134 Administrative Procedures Act, except as provided in Sec tion 251 of
11351135 this title.
11361136 4. The Oklahoma Ordnance Works Authority, the Nor theast
11371137 Oklahoma Public Facilities Authority, the Oklahoma Office of

12101210 System of Higher Education shall be exempt from Article I of the

12121212 8. a. The Commissioner of Public Safety shall be exempt from
12131213 Sections 303.1, 304, 307. 1, 308, and 308.1 of this
12141214 title insofar as it is necessary t o promulgate rules
12151215 pursuant to the Oklahoma Motor Carrier Safety and
12161216 Hazardous Materials Transportatio n Act, to maintain a

12761276 b. Such rules may be adopted by the Commissioner and
12771277 shall be deemed promulgated twenty (20) days after
12781278 notice of adoption is published in "The Oklahoma
12791279 Register". Such publication nee d not set forth the
12801280 full text of the rule but may incorporate the federal
12811281 rules and regulations by reference.
12821282 c. Such copies of promulgated rules shall be fil ed with
12831283 the Secretary as requ ired by Section 251 of this
12841284 title.
12851285 d. For any rules for which the Com missioner has
12861286 discretion to allow variances, tolerances, or
12871287 modifications from the federal rules and regulations,
12881288 the Commissioner shall fully comply with Art icle I of
12891289 the Administrative P rocedures Act.
12901290 9. The Council on Judicial Complaints shall be exemp t from
12911291 Section 306 of Article I of the Administrative Procedures Act, with
12921292 respect to review of the validity or applicability of a rule by an

13501350 10. The Department of Corrections, State Board of Corrections,
13511351 county sheriffs, and managers of city jails shall be exempt from
13521352 Article I of the Administrative Procedures A ct with respect to:
13531353 a. prescribing internal management procedures for the
13541354 management of the state p risons, county jails, and
13551355 city jails and for the management, supervision, and
13561356 control of all incarcerated prisoners, and
13571357 b. prescribing internal management p rocedures for the
13581358 management of the probation and parole unit of the
13591359 Department of Corrections and for the supervision of
13601360 probationers and parolees.
13611361 11. The State Board of Education shall be exempt from Article I
13621362 of the Administrative Procedures Act with respect to prescribing
13631363 subject matter standards as provided for in Section 11-103.6a of
13641364 Title 70 of the Oklahoma Statutes.
13651365 B. As specified, the following agencies or classes of agency
13661366 activities are not required to comply with the provisions of Article
