50 | 51 | | SECTION 1. AMENDATORY 74 O.S. 2021, Section 5060.26, is |

52 | 53 | | Section 5060.26. A. A private, not-for-profit corporation may |
---|
53 | 54 | | be organized pursuant to the provisions of Title 18 of the Oklahoma |
---|
54 | 55 | | Statutes and the provisions of this act to develop the Industrial |
---|
55 | 56 | | Extension System in Oklahoma, with a special empha sis on minority |
---|
56 | 57 | | business enterprises. Such corporation, upon certification by |
---|
57 | 58 | | Oklahoma Futures, shall be known as and may exercise all of the |
---|
58 | 59 | | powers of OAME. |
---|
59 | 60 | | B. In addition to the provisions and requirements of Title 18 |
---|
60 | 61 | | of the Oklahoma Statutes, the cert ificate of incorporation and the |
---|
90 | 90 | | 1. Designate the name of the corporation as the Oklahoma |
---|
91 | 91 | | Alliance for Manufacturing Excellence, Inc.; |
---|
92 | 92 | | 2. Provide that the ex clusive purposes of OAME are public |
---|
93 | 93 | | purposes to assist small and medium -sized manufacturing fi rms, with |
---|
94 | 94 | | a special emphasis on minority business enterprises, to gain the |
---|
95 | 95 | | ability, through education, technology transfer, and otherwise, to |
---|
96 | 96 | | compete successfully at progressively higher levels of value -added |
---|
97 | 97 | | in the national and international economy; |
---|
98 | 98 | | 3. Provide for the following three classes of membership in |
---|
99 | 99 | | OAME which shall have representation on the Board of Directors of |
---|

101 | 101 | | a. one class composed of small an d medium-sized |
---|
102 | 102 | | manufacturing firms located in Oklahoma, and the |
---|
103 | 103 | | certificate of incorporation s hall provide for the |
---|
104 | 104 | | qualifications for membership in such class, |
---|
105 | 105 | | b. one class composed of large corporations, and the |
---|
106 | 106 | | certificate of incorporation shall provide for the |
---|
107 | 107 | | qualifications for membership in such class, and |
---|
108 | 108 | | c. one class composed of state entities, including, but |
---|
109 | 109 | | not limited to, the Oklahoma Center for the |
---|
110 | 110 | | Advancement of Science and Technology, the Oklahoma |
---|
111 | 111 | | Department of Commerce, the Oklahoma Department of |
---|
141 | 140 | | 4. Provide for classes of associate membership which shall not |

142 | 141 | | have representation on the Board of Directors of OAME, except as |
---|
143 | 142 | | provided in paragraph 5 of this subse ction; |

146 | 145 | | elected at the first annual meeting of OAME by members of the class |

149 | 148 | | first annual meeting of OAME by members of the class composed of |

150 | 149 | | large corporations. The Board of Directors also shall include the |

151 | 150 | | President following state governmental representatives as ex officio |

152 | 151 | | members: the Executive Director of the Oklahoma Center for the |
---|
153 | 152 | | Advancement of Science and Technology, the Executive Director of a |
---|
154 | 153 | | designee from the Oklahoma Department of Commerce, the Director of |
---|
155 | 154 | | and a designee from the Oklahoma Department of Career and Technology |
---|
156 | 155 | | Education and the Chancellor of Higher Education as ex offici o |
---|
157 | 156 | | members (CareerTech). The bylaws of OAME may provide for designees |
---|
158 | 157 | | who may serve in the place of any of the directors and the terms |
---|
159 | 158 | | under which any such design ation will be made. The Board of |
---|
160 | 159 | | Directors shall have the power to elect, from time to time, persons |
---|
161 | 160 | | to serve as directors who are associate members or are not |
---|
162 | 161 | | affiliated with any entity or firm which qualifies for membership in |
---|
192 | 190 | | 6. Have the authority to set membership dues in an amount to be |
---|
193 | 191 | | determined by the Board of Directors. No participating state entity |

194 | 192 | | shall pay membership dues; |

195 | 193 | | 7. Provide for all powers necessary or appropriate to carry out |

196 | 194 | | and effectuate its corporate purposes, including, but not limited |

---|
200 | 198 | | b. to make and execute contracts wit h any individual, |
---|
201 | 199 | | corporation, association or any other entity and all |

---|
203 | 201 | | performance of its duties and the exercise of its |
---|
204 | 202 | | powers and functions under this act, |
---|
205 | 203 | | c. to receive funds from any source to carry out the |
---|
206 | 204 | | purposes of this act, including, but not limited to, |
---|
207 | 205 | | gifts or grants from any department, agency or |
---|
208 | 206 | | instrumentality of the United States or of the state |
---|
209 | 207 | | for any purpose consistent with the provisions of this |
---|

---|
211 | 209 | | d. to acquire or sell, convey, lease, exchange, transfer |
---|
212 | 210 | | or otherwise dispose of its property or any interest |
---|

---|
243 | 240 | | f. to enter into contracts to provide assistance to small |

244 | 241 | | and medium-sized manufacturing companies, including, |
---|
245 | 242 | | but not limited to, the following categories: |

248 | 245 | | (3) market planning, |

---|
250 | 247 | | (5) inter-firm collaboration, |

251 | 248 | | g. to assist other organizations providing general |
---|
252 | 249 | | business assistance to small and medium -sized |
---|
253 | 250 | | manufacturing enterprises, |
---|
254 | 251 | | h. to establish manufact uring quality and standards |
---|
255 | 252 | | certification programs, setting minimum standards and |
---|
256 | 253 | | issuing certification to companies meeting such |
---|
257 | 254 | | standards, |
---|
258 | 255 | | i. to develop and distribute information about |
---|
259 | 256 | | manufacturing modernization and assistance that is |
---|
260 | 257 | | available to support efforts to improve the abilities |
---|
261 | 258 | | of small and medium-sized firms to produce and market |
---|
262 | 259 | | higher value-added products, |
---|
293 | 289 | | k. to establish and operate, directly or under contract, |
---|
294 | 290 | | an information system designed to access resources |
---|
295 | 291 | | that will assist the firms to become more productive , |
---|
296 | 292 | | l. establish a training program for individuals working |
---|
297 | 293 | | on behalf of small and medium -sized manufacturing |
---|
298 | 294 | | firms, and |
---|
299 | 295 | | m. to establish special educational and informational |
---|
300 | 296 | | programs for its members. |
---|
301 | 297 | | SECTION 2. This act shall become effecti ve July 1, 2025. |
---|
302 | 298 | | SECTION 3. It being immediately necessary for the preservati on |
---|
303 | 299 | | of the public peace, health or safety, an emergency is hereby |
---|
304 | 300 | | declared to exist, by reason whereof this act shall take effect and |
---|
