4950 BE IT ENACTED BY THE PEOPLE OF THE STATE OF OKLAHOMA:
5051 SECTION 1. AMENDATORY 74 O.S. 2021, Section 5060.26, is
5152 amended to read as f ollows:
5253 Section 5060.26. A. A private, not-for-profit corporation may
5354 be organized pursuant to the provisions of Title 18 of the Oklahoma
5455 Statutes and the provisions of this act to develop the Industrial
5556 Extension System in Oklahoma, with a special empha sis on minority
5657 business enterprises. Such corporation, upon certification by
5758 Oklahoma Futures, shall be known as and may exercise all of the
5859 powers of OAME.
5960 B. In addition to the provisions and requirements of Title 18
6061 of the Oklahoma Statutes, the cert ificate of incorporation and the
61-bylaws of OAME must be certified by Oklahoma Futures and the
62-certificate of incorporation shall:

88+bylaws of OAME must be certified by Oklahoma Futures and the
89+certificate of incorporation shall:
9090 1. Designate the name of the corporation as the Oklahoma
9191 Alliance for Manufacturing Excellence, Inc.;
9292 2. Provide that the ex clusive purposes of OAME are public
9393 purposes to assist small and medium -sized manufacturing fi rms, with
9494 a special emphasis on minority business enterprises, to gain the
9595 ability, through education, technology transfer, and otherwise, to
9696 compete successfully at progressively higher levels of value -added
9797 in the national and international economy;
9898 3. Provide for the following three classes of membership in
9999 OAME which shall have representation on the Board of Directors of
100100 OAME:
101101 a. one class composed of small an d medium-sized
102102 manufacturing firms located in Oklahoma, and the
103103 certificate of incorporation s hall provide for the
104104 qualifications for membership in such class,
105105 b. one class composed of large corporations, and the
106106 certificate of incorporation shall provide for the
107107 qualifications for membership in such class, and
108108 c. one class composed of state entities, including, but
109109 not limited to, the Oklahoma Center for the
110110 Advancement of Science and Technology, the Oklahoma
111111 Department of Commerce, the Oklahoma Department of
112-Career and Technology Education, and the Oklahoma

141140 4. Provide for classes of associate membership which shall not
142141 have representation on the Board of Directors of OAME, except as
143142 provided in paragraph 5 of this subse ction;
144143 5. Provide that the Board of Directors of OAME shall consist of
145144 five nine representatives of members who shall be individuals
146145 elected at the first annual meeting of OAME by members of the class
147146 composed of small and medium -sized manufacturing firms , and four
148147 representatives of members who shall be individuals elected at the
149148 first annual meeting of OAME by members of the class composed of
150149 large corporations. The Board of Directors also shall include the
151150 President following state governmental representatives as ex officio
152151 members: the Executive Director of the Oklahoma Center for the
153152 Advancement of Science and Technology, the Executive Director of a
154153 designee from the Oklahoma Department of Commerce, the Director of
155154 and a designee from the Oklahoma Department of Career and Technology
156155 Education and the Chancellor of Higher Education as ex offici o
157156 members (CareerTech). The bylaws of OAME may provide for designees
158157 who may serve in the place of any of the directors and the terms
159158 under which any such design ation will be made. The Board of
160159 Directors shall have the power to elect, from time to time, persons
161160 to serve as directors who are associate members or are not
162161 affiliated with any entity or firm which qualifies for membership in
163-OAME, provided that no more than three (3) of one such persons
164-person shall serve on the Board of Directors at any time;

192190 6. Have the authority to set membership dues in an amount to be
193191 determined by the Board of Directors. No participating state entity
194192 shall pay membership dues;
195193 7. Provide for all powers necessary or appropriate to carry out
196194 and effectuate its corporate purposes, including, but not limited
197195 to, the following:
198196 a. to maintain an office at such place or places as it
199197 may designate,
200198 b. to make and execute contracts wit h any individual,
201199 corporation, association or any other entity and all
202200 other instruments neces sary or convenient for the
203201 performance of its duties and the exercise of its
204202 powers and functions under this act,
205203 c. to receive funds from any source to carry out the
206204 purposes of this act, including, but not limited to,
207205 gifts or grants from any department, agency or
208206 instrumentality of the United States or of the state
209207 for any purpose consistent with the provisions of this
210208 act,
211209 d. to acquire or sell, convey, lease, exchange, transfer
212210 or otherwise dispose of its property or any interest
213211 therein,

244241 and medium-sized manufacturing companies, including,
245242 but not limited to, the following categories:
246243 (1) technology,
247244 (2) human resources development,
248245 (3) market planning,
249246 (4) finance, and
250247 (5) inter-firm collaboration,
251248 g. to assist other organizations providing general
252249 business assistance to small and medium -sized
253250 manufacturing enterprises,
254251 h. to establish manufact uring quality and standards
255252 certification programs, setting minimum standards and
256253 issuing certification to companies meeting such
257254 standards,
258255 i. to develop and distribute information about
259256 manufacturing modernization and assistance that is
260257 available to support efforts to improve the abilities
261258 of small and medium-sized firms to produce and market
262259 higher value-added products,
263-j. to establish a system to evaluate the effectiveness
264-and efficiency of services provided to small and
265-medium-sized manufacturing firms,

293289 k. to establish and operate, directly or under contract,
294290 an information system designed to access resources
295291 that will assist the firms to become more productive ,
296292 l. establish a training program for individuals working
297293 on behalf of small and medium -sized manufacturing
298294 firms, and
299295 m. to establish special educational and informational
300296 programs for its members.
301297 SECTION 2. This act shall become effecti ve July 1, 2025.
302298 SECTION 3. It being immediately necessary for the preservati on
303299 of the public peace, health or safety, an emergency is hereby
304300 declared to exist, by reason whereof this act shall take effect and
305301 be in full force from and aft er its passage and approval.
