123123 BE IT ENACTED BY THE PEOPLE OF THE STATE O F OKLAHOMA:
124124 SECTION 1. NEW LAW A new section of law to be codified
125125 in the Oklahoma Statutes as Section 2101 of Title 18, unless there
126126 is created a duplication in numbering, reads as follows:
127127 This act shall be known and may be cited as the “Uniform
128128 Unincorporated Nonprofit Association Act ”.
129129 SECTION 2. NEW LAW A new section of law to be codified
130130 in the Oklahoma Statutes as Section 2102 of Title 18, unless there
131131 is created a duplication in numbering, reads as fol lows:
132132 As used in this act:
133133 1. “Established practices ” means the practices used by an
134134 unincorporated nonprofit association without material change duri ng
135-the most recent five (5) years of its existence, or if it has
136-existed for less than five (5) years, during its entire existence ;

164163 2. “Governing principles ” means the agreements, whether oral,
165164 in a record, or implied from established practices, or in any
166165 combination thereof, that govern the purpose or operation of an
167166 unincorporated nonprofit association and the rights and obligations
168167 of its members and managers. The term includes any amendment or
169168 restatement of the agreements constituting the governing p rinciples;
170169 3. “Manager” means a person that is responsible, alone or in
171170 concert with others, for the management of an unincorporated
172171 nonprofit association ;
173172 4. “Member” means a person that, under the governing
174173 principles, may participate in the select ion of persons authorized
175174 to manage the affairs of the unincorporated nonprofit association or
176175 in the development of the policies and activities of the
177176 association;
178177 5. “Person” means an individual, estate, business or nonprofit
179178 entity, government or governmen tal subdivision, agency,
180179 instrumentality, or other legal entity. The term includes a
181180 protected series;
182181 6. “Protected series” means a series, protected series,
183182 protected cell, segregated account, or similar part of an entity ’s
184183 structure, however the p art is denominated, established under law
185184 that limits, or limits if conditions specified under law are
186-satisfied, the liability of the part to a creditor of the entity or
187-another part of the structure ;

215213 7. “Property” means all property, whether real, personal, or
216214 mixed or tangible or intangible, or any right or interest therein ;
217215 8. “Record”, used as a noun, means information that is
218216 inscribed on a tangible medium or that is stored in an electronic or
219217 other medium and is retrievable in perceivable form ;
220218 9. “Sign” means, with present intent to authenticate or adopt a
221219 record:
222220 a. to execute or adopt a tangible symbo l, or
223221 b. to attach to or logically associate with the record an
224222 electronic symbol, sound, or process ;
225223 10. “State” means a state of the United States, the District of
226224 Columbia, Puerto Rico, the United States Virgin Islands, or any
227225 territory or insular possession subject to the jurisdiction of the
228226 United States;
229227 11. “Transfer” includes:
230228 a. an assignment,
231229 b. a conveyance,
232230 c. a sale,
233231 d. a lease,
234232 e. an encumbrance, including a mortgage or security
235233 interest,
236234 f. a gift, and
237-g. a transfer by operation of law ; and

261+g. a transfer by operation of law ; and
265262 12. “Unincorporated nonprofit association ” means an
266263 unincorporated organization consisting of two or more members joined
267264 under an agreement that is o ral, in a record, or implied from
268265 conduct, for one or more common, nonprofit purposes. The term does
269266 not include:
270267 a. a trust,
271268 b. a marriage, domestic partnership, common law domestic
272269 relationship, civil union, or other domestic living
273270 arrangement,
274271 c. an organization formed under any other statute that
275272 governs the organization and operation of
276273 unincorporated associations,
277274 d. a joint tenancy, tenancy in common, or tenancy by the
278275 entirety even if the co-owners share use of the
279276 property for a nonprofit purpose , or
280277 e. a relationship under an agreement in a record that
281278 expressly provides that the relationship between the
282279 parties does not create an unincorporated nonprofit
283280 association.
284281 SECTION 3. NEW LAW A new section of law to be codif ied
285282 in the Oklahoma Statutes as Section 2103 of Title 18, unless there

314310 A. A statute governing a specific type of unincorporated
315311 nonprofit association prevails over an inconsistent provision in
316312 this act, to the extent of the inconsistency.
317313 B. This act supplements the law of this state that applies to
318314 nonprofit associations operating in this state. If a conflict
319315 exists, that law applies.
320316 C. Unless displaced by particular provisions of this act, the
321317 principles of law and equity supplement this act.
322318 SECTION 4. NEW LAW A new section of law to be codified
323319 in the Oklahoma Statutes as Section 2104 of Title 18, unless there
324320 is created a duplication in numbering, reads as follows:
325321 A. Except as otherwise provided in subsection B of this
326322 section, the law of this state governs the operation in this state
327323 of an unincorporated nonprofit association formed or operating in
328324 this state.
329325 B. Unless the governing principles specify a different
330326 jurisdiction, the law of the jurisdiction in which an unincorporated
331327 nonprofit association has its main place of activities governs the
332328 internal affairs of the association.
333329 SECTION 5. NEW LAW A new section of law to be codified
334330 in the Oklahoma Statutes as Section 2105 of Title 18, unless there
335331 is created a duplication in numbering, reads as follows:
336332 A. An unincorporated nonprofit association is an entity
337333 distinct from its members and managers.

365360 B. An unincorporated nonprofit associat ion has perpetual
366361 duration unless the governing principles specify otherwise.
367362 C. An unincorporated nonprofit association has the same powers
368363 as an individual to do all things necessary or convenient to carry
369364 on its purposes.
370365 D. An unincorporated nonprofit as sociation may engage in
371366 profit-making activities but profits from any activities shall be
372367 used or set aside for the association ’s nonprofit purposes.
373368 SECTION 6. NEW LAW A new section of law to be codified
374369 in the Oklahoma Statute s as Section 2106 of Title 18, unless there
375370 is created a duplication in numbering, reads as follows:
376371 A. An unincorporated nonprofit association may acquire, hold,
377372 or transfer in its name an interest in property.
378373 B. An unincorporated nonprofit association may be a beneficiary
379374 of a trust or contract, a legatee, or a devisee.
380375 SECTION 7. NEW LAW A new section of law to be codified
381376 in the Oklahoma Statutes as Section 2107 of Title 18, unless there
382377 is created a duplication in numbering, reads as follows:
383378 A. As used in this section, “statement of authority ” means a
384379 statement authorizing a perso n to transfer an interest in real
385380 property held in the name of an unincorporated nonprofit
386381 association.
387382 B. An interest in real property held in the na me of an
388383 unincorporated nonprofit association may be transferred by a person

416410 authorized to do so in a statement of authority filed by the
417411 association in the office in the county in which a transfer of the
418412 property would be filed.
419413 C. A statement of authority shall state:
420414 1. The name of the unincorporated nonprofit association;
421415 2. The address in this state, including the street address, if
422416 any, of the association or, if the association does not have an
423417 address in this state, its out -of-state address;
424418 3. That the association is an unincorporated nonprofit
425419 association; and
426420 4. The name, title, or position of a person authorized to
427421 transfer an interest in real property held in the name of the
428422 association.
429423 D. A statement of authority shall be executed in the same
430424 manner as an affidavit by a person other than the person authorized
431425 in the statement to transfer the interest.
432426 E. A filing officer may collect a fee for filing a statement of
433427 authority in the amount authorized for filing a transfer of real
434428 property.
435429 F. A record amending, revoking, or canceling a statement of
436430 authority or stating that the statement is unauthorized or erroneous
437431 shall meet the requirements for executing and filing an original
438432 statement.

466459 G. Unless canceled earlier, a file d statement of authority and
467460 its most recent amendment expire five (5) years after the date of
468461 the most recent filing.
469462 H. If the record title to real property is in the name of an
470463 unincorporated nonprofit association and the statement of authority
471464 is filed in the office of the county in which a transfer of the
472465 property would be filed, the authority of the person named under
473466 paragraph 4 of subsection C of this section is conclusive in favor
474467 of a person that gives value without notice that the person lacks
475468 authority.
476469 SECTION 8. NEW LAW A new section of law to be codified
477470 in the Oklahoma Statutes as Sec tion 2108 of Title 18, unless there
478471 is created a duplication in numbering, reads as follows:
479472 A. A debt, obligation, or other liability of an unincorpo rated
480473 nonprofit association is solely the debt, obligation, or other
481474 liability of the association. A member or manager is not personally
482475 liable, directly or indirectly, by way of contribution or otherwise
483476 for a debt, obligation, or other liability of the association solely
484477 by reason of being or acting as a member or manager. Th e provisions
485478 of this subsection shall apply regardless of the dissolution of the
486479 association.
487480 B. A person’s status as a member or manager does not prevent or
488481 restrict law other tha n this act from imposing liability on the
489482 person or the association because of the person ’s conduct.

517509 C. The failure of an unincorporated nonprofit association to
518510 observe formalities relating to the exercise of its powers or
519511 management of its activitie s and affairs shall not be a ground for
520512 imposing liability on a member or manager of the association for a
521513 debt, obligation, or other liability of the association.
522514 SECTION 9. NEW LAW A new section of law to be codified
523515 in the Oklahoma Statutes as Section 2109 of Title 18, unless there
524516 is created a duplication in numbering, reads as follows:
525517 A. An unincorporated nonprofit association may sue or be sued
526518 in its own name.
527519 B. A member or manager may assert a claim the member or manager
528520 has against the unincorporated nonprofit association. An
529521 association may assert a claim it has against a mem ber or manager.
530522 SECTION 10. NEW LAW A new section of law to be codified
531523 in the Oklahoma Statutes as Section 2110 of Title 18, unless there
532524 is created a duplication in numbering, reads as follows:
533525 A judgment or order against an unincorporated nonprofit
534526 association is not by itself a judgment or order against a member or
535527 manager.
536528 SECTION 11. NEW LAW A new s ection of law to be codified

574565 An action or proceeding against an unincorporated nonprofit
575566 association does not abate merely because of a change in its members
576567 or managers.
577568 SECTION 13. NEW LAW A new section of law to be codified
578569 in the Oklahoma Statutes as Section 2113 of Title 18, unless there
579570 is created a duplication in numbering, reads as follows:
580571 Unless otherwise provided by law other than this act, venue of
581572 an action against an unincorporated nonprofit association brought in
582573 this state is determined under the stat utes applicable to an action
583574 brought in this state against a nonprofit corporation.
584575 SECTION 14. NEW LAW A new section of law to be codified
585576 in the Oklahoma Statutes as Section 2114 of Title 18, unless there

587578 A member is not an agent of the association solely because of
588579 being a member.

619609 A. Except as provided in the governing principles, an
620610 unincorporated nonprofit association shall have the approval of its
621611 members to:
622612 1. Admit, suspend, dismiss, or expel a member;
623613 2. Select or dismiss a manager;
624614 3. Adopt, amend, or repeal the governing principles;
625615 4. Sell, lease, exchange, or otherwise dispose of all, or
626616 substantially all, of the association’s property, with or without
627617 the association’s goodwill, outside the ordinary course of it s
628618 activities;
629619 5. Dissolve under paragraph 2 of subsection A of Section 27 of
630620 this act or merge under Section 31 of this act;
631621 6. Undertake any other a ct outside the ordinary course of the
632622 association’s activities; or
633623 7. Determine the policy and purposes of the association.
634624 B. An unincorporated nonprofit association shall have the
635625 approval of the members to do any other act or exercise a right that
636626 the governing principles require to be approved by members.
637627 SECTION 16. NEW LAW A new section of law to be codified

668657 1. Approval of a matter by the members requires the affirmative
669658 vote of at least a majority of the votes cast at a meeting of

671660 2. Each member is entitled to one vote on each matte r that is

673662 B. The governing principles may provide for the:
674663 1. Calling, location, and timing of member meetings;
675664 2. Notice and quorum requirements for member meetings;
676665 3. Conduct of member meetings;
677666 4. Taking of action by the members by consent without a meeting
678667 or casting ballots; and
679668 5. Participation by members in a member meeting by telephone or
680669 other means of electronic communication.
681670 C. If the governing principles do not provide for a matter
682671 described in subsection B of this section, customary usages and
683672 principles of parliamentary law and procedure apply.
684673 SECTION 17. NEW LAW A new section of law to be codified
685674 in the Oklahoma Statutes as Section 2117 of Title 18, unless there
686675 is created a duplication in numbering, reads as follows:
687676 A. A member does not have any fiduciary duty to an
688677 unincorporated nonprofit association or to another member solely
689678 because of being a member.
690679 B. A member shall discharge the duties to the unincorporated
691680 nonprofit association and the other members and exercise any rights

721709 SECTION 18. NEW LAW A new section of law to be codif ied
722710 in the Oklahoma Statutes as Section 2118 of Title 18, unless there

724712 A. A person becomes a member and may be suspended, dismissed,
725713 or expelled in accordance with the governing principles of th e
726714 unincorporated nonprofit association. If there are no applicable
727715 governing principles, a person may become a member or be suspended,
728716 dismissed, or expelled from an association only by a vote of its
729717 members. A person shall not be admitted as a member withou t the
730718 person’s consent.
731719 B. Unless the governing principles provide otherwise, the
732720 suspension, dismissal, or expulsion of a member does not relieve the
733721 member from any unpaid capital contribution s, dues, assessments,
734722 fees, or other obligation s incurred or commitment made by the member
735723 before the suspension, dismissal, or expulsion.
736724 SECTION 19. NEW LAW A new section of law to be codified
737725 in the Oklahoma Statutes as Section 2119 of Title 18, unless there
738726 is created a duplication in numb ering, reads as follows:
739727 A. A member may resign as a member in accordance with the
740728 governing principles. In the absence of applicable governing
741729 principles, a member may resign at any time.

10861067 association has authority under this a ct to reimburse, indemnify, or
10871068 advance expenses to the member or manager against the liability.
10881069 E. The rights of reimbursement, indemnification, and
10891070 advancement of expenses under this section apply to a former member
10901071 or manager for an activity undertaken on behalf of the
10911072 unincorporated nonprofit association while a member or manager.

12331211 recently provided to the agent by the association.
12341212 E. The Secretary of State may collect a fee for filing a
12351213 statement designating a registered agent, an amendment, a
12361214 cancellation, or a resignation in the amount charged for filing
12371215 similar documents.
12381216 F. A statement designating a regis tered agent shall take effect
12391217 upon filing with the Secretary of State and shall be effective for
12401218 five (5) years after the date of filing unless canceled or
12411219 terminated earlier.
12421220 G. A statement designating a registered agent may not be
12431221 rejected for filing becaus e the name of the unincorporated nonprofit
12441222 association signing the statement is not distinguishable on the
12451223 records of the Secretary of State from the name of another entity
12461224 appearing in such records. The filing of such a statement shall not
12471225 make the name of the association signing the statement unavailable
12481226 for use by another entity.

13921367 B. An unincorporated nonprofi t association may be a merging
13931368 entity or surviving entity in a merger with any entity that is
13941369 authorized by law to merge with an unincorporated nonprofit
13951370 association.
13961371 C. A merger involving an unincorporated nonprofit association
13971372 is subject to the following ru les:

15341506 D. When a merger becomes effective:
15351507 1. The surviving entity continues or comes into existence;
15361508 2. Each merging entity that is not the surviving entity ceases
15371509 to exist;
15381510 3. All property of each merging entity vests in the surviving
15391511 entity without transfer, reversion, or impairment;
15401512 4. All debts, obligations, or other liabilities of each merging
15411513 entity continue as debts, obligations, or other liabilities of the
15421514 surviving entity;
15431515 5. The name of the surviving entity may be substituted for the
15441516 name of any merging entity that is a party to any pending action or
15451517 proceeding;
15461518 6. Except as provided by law other than this ac t, all the
15471519 rights, privileges, immunities, powers, and purposes of each merging
15481520 entity vest in the surviving entity;
15491521 7. Except as provided in the plan of merger, the terms and
15501522 conditions of the plan of merger take effect;

15781549 8. The merger does not affect the pe rsonal liability, if any,
15791550 of a member or manager of a merging entity for a debt, obligation,
15801551 or other liability incurred before the merger is effective; and
15811552 9. A surviving entity that is not organized in this state is
15821553 subject to the jurisdiction of th e courts of this state to enforce
15831554 any debt, obligation, or other liability owed by a merging entity,
15841555 if before the merger the merging entity was subject to suit in this
15851556 state for the debt, obligation, or other liability.
15861557 E. Property by a merging entity for a charitable purpose under
15871558 the law of this state, whether in trust or otherwise, immediately
15881559 before a merger under this section becomes effective may not, as a
15891560 result of the merger, be diverted from the objects for which it was
15901561 donated, granted, or devis ed or otherwise transferred, except in
15911562 compliance with the law of this state concerning cy pres doctrine or
15921563 other law dealing with nondiversion of charitable assets.
15931564 F. Subject to the express terms of a will or other instrument
15941565 of donation, subscription, or c onveyance, a bequest, devise, gift,
15951566 grant, or promise contained in the will or other instrument made
15961567 before, simultaneously with, or after a transaction under this
15971568 section, to or for a charitable corporation or unincorporated entity
15981569 that has a charitable purpose and is not the surviving entity in the
15991570 merger, inures to the surviving entity if it is a charitabl e
16001571 corporation or unincorporated entity that has a charitable purpose.

16391609 SECTION 32. NEW LAW A new section of law to be codified
16401610 in the Oklahoma Statutes as Section 2132 of Title 18, unless there
16411611 is created a duplication in numbering, reads as foll ows:
16421612 In applying and construing this uniform act, consideration shall
16431613 be given to the need to promote uniform ity of the law with respect
16441614 to its subject matter among states that enact it.
16451615 SECTION 33. NEW LAW A new section of law to be cod ified
16461616 in the Oklahoma Statutes as Section 2133 of Title 18, unless there

16481618 This act modifies, limits, and supersedes the Electronic
