| 9 | 9 | | BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS: |

| 10 | 10 | | SECTION 1. Section 5(b), Chapter 243, Acts of the 53rd |
|---|
| 11 | 11 | | Legislature, Regular Session, 1953, is amended to read as follows: |
|---|
| 12 | 12 | | (b). The Board of Directors shall hold regular meetings, the |
|---|
| 13 | 13 | | date thereof to be established in the District's bylaws or by |
|---|
| 14 | 14 | | resolution. The President or any three members may call such |
|---|
| 15 | 15 | | special meetings as may be necessary in the administration of the |
|---|
| 16 | 16 | | District's business, provided that at least five days prior to the |
|---|
| 17 | 17 | | meeting date, the Secretary shall have mailed notice thereof to the |
|---|
| 18 | 18 | | address which each member shall file with the Secretary. Notices of |
|---|
| 19 | 19 | | special meetings may be waived in writing by any Director. The |
|---|
| 20 | 20 | | Board of Directors or Board committees may hold meetings by |
|---|
| 21 | 21 | | telephone conference call, by videoconference call, or through |
|---|
| 22 | 22 | | communications over the Internet, in accordance with procedures |
|---|
| 23 | 23 | | provided by Subchapter F, Chapter 551, Government Code, if |
|---|
| 24 | 24 | | determined to be necessary or convenient by the President or any |
|---|
| 25 | 25 | | three members. A closed meeting of the Board of Directors that is |
|---|
| 26 | 26 | | authorized under Chapter 551, Government Code, may include officers |
|---|
| 27 | 27 | | and employees of constituent cities of the District. Each Director |
|---|
| 28 | 28 | | shall receive a fee as provided by general law for each day devoted |
|---|
| 29 | 29 | | to District business. Each Director is also entitled to |
|---|
| 30 | 30 | | reimbursement for actual expenses incurred in carrying out District |
|---|
| 31 | 31 | | business, including attending a Board meeting. Payment to a |
|---|
| 32 | 32 | | Director for services performed and expenses incurred is subject to |
|---|
| 33 | 33 | | the approval of a majority of the Board. |
|---|
| 34 | 34 | | SECTION 2. This Act takes effect September 1, 2009. |
