5	5	relating to the board of directors of the Canadian River Municipal
6	6	Water Authority.
7	7	BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
8	8	SECTION 1. Subsection (b), Section 5, Chapter 243, Acts of
9	9	the 53rd Legislature, Regular Session, 1953, is amended to read as
10	10	follows:
11	11	(b). The Board of Directors shall hold regular meetings, the
12	12	date thereof to be established in the District's bylaws or by
13	13	resolution. The President or any three members may call such
14	14	special meetings as may be necessary in the administration of the
15	15	District's business, provided that at least five days prior to the
16	16	meeting date, the Secretary shall have mailed notice thereof to the
17	17	address which each member shall file with the Secretary. Notices of
18	18	special meetings may be waived in writing by any Director. The
19	19	Board of Directors or Board committees may hold meetings by
20	20	telephone conference call, by videoconference call, or through
21	21	communications over the Internet, in accordance with procedures
22	22	provided by Subchapter F, Chapter 551, Government Code, if
23	23	determined to be necessary or convenient by the President or any
24	24	three members. A closed meeting of the Board of Directors that is
25	25	authorized under Chapter 551, Government Code, may include officers
26	26	and employees of constituent cities of the District. Each Director
27	27	shall receive a fee as provided by general law for each day devoted
28	28	to District business. Each Director is also entitled to
29	29	reimbursement for actual expenses incurred in carrying out District
30	30	business, including attending a Board meeting. Payment to a
31	31	Director for services performed and expenses incurred is subject to
32	32	the approval of a majority of the Board.
33	33	SECTION 2. This Act takes effect September 1, 2009.
