88 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
99 SECTION 1. Subtitle C, Title 4, Special District Local Laws
1010 Code, is amended by adding Chapter 3877 to read as follows:
1111 CHAPTER 3877. WALLER TOWN CENTER MANAGEMENT DISTRICT
1212 SUBCHAPTER A. GENERAL PROVISIONS
1313 Sec. 3877.001. DEFINITIONS. In this chapter:
1414 (1) "Board" means the district's board of directors.
1515 (2) "Director" means a board member.
1616 (3) "District" means the Waller Town Center Management
1717 District.
1818 Sec. 3877.002. NATURE OF DISTRICT. The Waller Town Center
1919 Management District is a special district created under Section 59,
2020 Article XVI, Texas Constitution.
2121 Sec. 3877.003. PURPOSE; DECLARATION OF INTENT. (a) The
2222 creation of the district is essential to accomplish the purposes of
2323 Sections 52 and 52-a, Article III, and Section 59, Article XVI,
2424 Texas Constitution, and other public purposes stated in this
2525 chapter. By creating the district and in authorizing the City of
2626 Waller, Harris County, and other political subdivisions to contract
2727 with the district, the legislature has established a program to
2828 accomplish the public purposes set out in Section 52-a, Article
2929 III, Texas Constitution.
3030 (b) The creation of the district is necessary to promote,
3131 develop, encourage, and maintain employment, commerce,
3232 transportation, housing, tourism, recreation, the arts,
3333 entertainment, economic development, safety, and the public
3434 welfare in the district.
3535 (c) This chapter and the creation of the district may not be
3636 interpreted to relieve Harris County from providing the level of
3737 services provided, as of the effective date of the Act enacting this
3838 chapter, to the area in the district. The district is created to
3939 supplement and not to supplant the county services provided in the
4040 area in the district.
4141 Sec. 3877.004. FINDINGS OF BENEFIT AND PUBLIC PURPOSE.
4242 (a) The district is created to serve a public use and benefit.
4343 (b) All land and other property included in the district
4444 will benefit from the improvements and services to be provided by
4545 the district under powers conferred by Sections 52 and 52-a,
4646 Article III, and Section 59, Article XVI, Texas Constitution, and
4747 other powers granted under this chapter.
4848 (c) The creation of the district is in the public interest
4949 and is essential to:
5050 (1) further the public purposes of developing and
5151 diversifying the economy of the state;
5252 (2) eliminate unemployment and underemployment; and
5353 (3) develop or expand transportation and commerce.
5454 (d) The district will:
5555 (1) promote the health, safety, and general welfare of
5656 residents, employers, potential employees, employees, visitors,
5757 and consumers in the district, and of the public;
5858 (2) provide needed funding for the district to
5959 preserve, maintain, and enhance the economic health and vitality of
6060 the district territory as a community and business center;
6161 (3) promote the health, safety, welfare, and enjoyment
6262 of the public by providing pedestrian ways and by landscaping and
6363 developing certain areas in the district, which are necessary for
6464 the restoration, preservation, and enhancement of scenic beauty;
6565 and
6666 (4) provide for water, wastewater, drainage, road, and
6767 recreational facilities for the district.
6868 (e) Pedestrian ways along or across a street, whether at
6969 grade or above or below the surface, and street lighting, street
7070 landscaping, parking, and street art objects are parts of and
7171 necessary components of a street and are considered to be a street
7272 or road improvement.
7373 (f) The district will not act as the agent or
7474 instrumentality of any private interest even though the district
7575 will benefit many private interests as well as the public.
7676 Sec. 3877.005. INITIAL DISTRICT TERRITORY. (a) The
7777 district is initially composed of the territory described by
7878 Section 2 of the Act enacting this chapter.
7979 (b) The boundaries and field notes contained in Section 2 of
8080 the Act enacting this chapter form a closure. A mistake in the
8181 field notes or in copying the field notes in the legislative process
8282 does not affect the district's:
8383 (1) organization, existence, or validity;
8484 (2) right to issue any type of bond for the purposes
8585 for which the district is created or to pay the principal of and
8686 interest on the bond;
8787 (3) right to impose or collect an assessment or tax; or
8888 (4) legality or operation.
8989 Sec. 3877.006. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES.
9090 All or any part of the area of the district is eligible to be
9191 included in:
9292 (1) a tax increment reinvestment zone created under
9393 Chapter 311, Tax Code;
9494 (2) a tax abatement reinvestment zone created under
9595 Chapter 312, Tax Code; or
9696 (3) an enterprise zone created under Chapter 2303,
9797 Government Code.
9898 Sec. 3877.007. APPLICABILITY OF MUNICIPAL MANAGEMENT
9999 DISTRICTS LAW. Except as otherwise provided by this chapter,
100100 Chapter 375, Local Government Code, applies to the district.
101101 Sec. 3877.008. LIBERAL CONSTRUCTION OF CHAPTER. This
102102 chapter shall be liberally construed in conformity with the
103103 findings and purposes stated in this chapter.

105105 SUBCHAPTER B. BOARD OF DIRECTORS
106106 Sec. 3877.051. GOVERNING BODY; TERMS. (a) The district is
107107 governed by a board of five elected directors.
108108 (b) Except as provided by Section 3877.052, directors serve
109109 staggered four-year terms, with two or three directors elected in
110110 even-numbered years on the uniform election date in May prescribed
111111 by the Election Code.
112112 (c) Section 54.102, Water Code, applies to directors.
113113 Section 375.063, Local Government Code, does not apply to
114114 directors.
115115 Sec. 3877.052. TEMPORARY DIRECTORS. (a) The initial
116116 temporary board consists of:

123123 (b) The temporary directors shall hold an election to elect
124124 five permanent directors.
125125 (c) Temporary directors serve until the earlier of:
126126 (1) the date permanent directors are elected under
127127 Subsection (b); or
128128 (2) the fourth anniversary of the effective date of
129129 the Act enacting this chapter.
130130 (d) If permanent directors have not been elected under
131131 Subsection (b) and the terms of the temporary directors have
132132 expired, successor temporary directors shall be appointed or
133133 reappointed as provided by Subsection (e) to serve terms that
134134 expire on the earlier of:
135135 (1) the date permanent directors are elected under
136136 Subsection (b); or
137137 (2) the fourth anniversary of the date of the
138138 appointment or reappointment.
139139 (e) If Subsection (d) applies, the owner or owners of a
140140 majority of the assessed value of the real property in the district
141141 may submit a petition to the Texas Commission on Environmental
142142 Quality requesting that the commission appoint as successor
143143 temporary directors the five persons named in the petition. The
144144 commission shall appoint as successor temporary directors the five
145145 persons named in the petition.
146146 Sec. 3877.053. COMPENSATION. A director is entitled to
147147 receive fees of office and reimbursement for actual expenses as
148148 provided by Section 49.060, Water Code. Sections 375.069 and
149149 375.070, Local Government Code, do not apply to the board.

151151 SUBCHAPTER C. POWERS AND DUTIES
152152 Sec. 3877.101. DEVELOPMENT CORPORATION POWERS. The
153153 district may exercise the powers given to a development corporation
154154 under Chapter 505, Local Government Code, including the power to
155155 own, operate, acquire, construct, lease, improve, or maintain a
156156 project described by that chapter.
157157 Sec. 3877.102. NONPROFIT CORPORATION. (a) The board by
158158 resolution may authorize the creation of a nonprofit corporation to
159159 assist and act for the district in implementing a project or
160160 providing a service authorized by this chapter.
161161 (b) The nonprofit corporation:
162162 (1) has each power of and is considered for purposes of
163163 this chapter to be a local government corporation created under
164164 Chapter 431, Transportation Code; and
165165 (2) may implement any project and provide any service
166166 authorized by this chapter.
167167 (c) The board shall appoint the board of directors of the
168168 nonprofit corporation. The board of directors of the nonprofit
169169 corporation shall serve in the same manner as the board of directors
170170 of a local government corporation created under Chapter 431,
171171 Transportation Code, except that a board member is not required to
172172 reside in the district.
173173 Sec. 3877.103. AGREEMENTS; GRANTS. (a) The district may
174174 make an agreement with or accept a gift, grant, or loan from any
175175 person.
176176 (b) The implementation of a project is a governmental
177177 function or service for the purposes of Chapter 791, Government
178178 Code.
179179 Sec. 3877.104. AUTHORITY TO CONTRACT FOR LAW ENFORCEMENT.
180180 To protect the public interest, the district may contract with a
181181 qualified party, including Harris County or the City of Waller, for
182182 the provision of law enforcement services in the district for a fee.
183183 Sec. 3877.105. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The
184184 district may join and pay dues to a charitable or nonprofit
185185 organization that performs a service or provides an activity
186186 consistent with the furtherance of a district purpose.
187187 Sec. 3877.106. ECONOMIC DEVELOPMENT PROGRAMS. (a) The
188188 district may establish and provide for the administration of one or
189189 more programs to promote state or local economic development and to
190190 stimulate business and commercial activity in the district,
191191 including programs to:
192192 (1) make loans and grants of public money; and
193193 (2) provide district personnel and services.
194194 (b) The district has all of the powers of a municipality
195195 under Chapter 380, Local Government Code.
196196 Sec. 3877.107. STRATEGIC PARTNERSHIP AGREEMENT. The
197197 district may negotiate and enter into a written strategic
198198 partnership with the City of Waller under Section 43.0751, Local
199199 Government Code.
200200 Sec. 3877.108. LIMITED EMINENT DOMAIN. (a) Section
201201 375.094, Local Government Code, does not apply to the district.
202202 (b) The district may exercise the power of eminent domain in
203203 accordance with Section 49.222, Water Code.
204204 (c) The district may not exercise the power of eminent
205205 domain outside the district boundaries to acquire:
206206 (1) a site for a water treatment plant, water storage
207207 facility, wastewater treatment plant, or wastewater disposal
208208 plant;
209209 (2) a recreational facility as defined by Section
210210 49.462, Water Code; or
211211 (3) a site for a road project.
212212 Sec. 3877.109. ANNEXATION OR EXCLUSION OF LAND. (a) The
213213 district may annex land as provided by Subchapter J, Chapter 49,
214214 Water Code.
215215 (b) The district may exclude land as provided by Subchapter
216216 J, Chapter 49, Water Code. Section 375.044(b), Local Government
217217 Code, does not apply to the district.

219219 SUBCHAPTER D. PUBLIC PARKING FACILITIES
220220 Sec. 3877.151. PARKING FACILITIES AUTHORIZED; OPERATION BY
221221 PRIVATE ENTITY. (a) The district may acquire, lease as lessor or
222222 lessee, construct, develop, own, operate, and maintain parking
223223 facilities or a system of parking facilities, including:
224224 (1) lots, garages, parking terminals, or other
225225 structures or accommodations for parking motor vehicles off the
226226 streets; and
227227 (2) equipment, entrances, exits, fencing, and other
228228 accessories necessary for safety and convenience in parking
229229 vehicles.
230230 (b) A parking facility of the district may be leased to, or
231231 operated for the district by, an entity other than the district.
232232 (c) The district's parking facilities are a program
233233 authorized by the legislature under Section 52-a, Article III,
234234 Texas Constitution.
235235 (d) The district's parking facilities serve the public
236236 purposes of the district and are owned, used, and held for a public
237237 purpose even if leased or operated by a private entity for a term of
238238 years.
239239 Sec. 3877.152. RULES. The district may adopt rules
240240 covering its public parking system.
241241 Sec. 3877.153. FINANCING OF PARKING FACILITIES. (a) The
242242 district may use any of its resources, including revenue,
243243 assessments, taxes, or grant or contract proceeds, to pay the cost
244244 of acquiring or operating public parking facilities.
245245 (b) The district may:
246246 (1) set, charge, impose, and collect fees, charges, or
247247 tolls for the use of the public parking facilities; and
248248 (2) issue bonds or notes to finance the cost of these
249249 facilities.

251251 SUBCHAPTER E. GENERAL FINANCIAL PROVISIONS
252252 Sec. 3877.201. DISBURSEMENTS AND TRANSFERS OF MONEY. The
253253 board by resolution shall establish the number of directors'
254254 signatures and the procedure required for a disbursement or
255255 transfer of the district's money.
256256 Sec. 3877.202. MONEY USED FOR IMPROVEMENTS OR SERVICES.
257257 The district may acquire, construct, finance, operate, or maintain
258258 any improvement or service authorized under this chapter or Chapter
259259 375, Local Government Code, using any money available to the
260260 district.
261261 Sec. 3877.203. PETITION REQUIRED FOR FINANCING SERVICES AND
262262 IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a
263263 service or improvement project with assessments under this chapter
264264 unless a written petition requesting that service or improvement
265265 has been filed with the board.
266266 (b) A petition filed under Subsection (a) must be signed by
267267 the owners of a majority of the assessed value of real property in
268268 the district subject to assessment according to the most recent
269269 certified tax appraisal roll for Harris County.
270270 Sec. 3877.204. METHOD OF NOTICE FOR HEARING. The district
271271 may mail the notice required by Section 375.115(c), Local
272272 Government Code, by certified or first class United States mail.
273273 The board shall determine the method of notice.
274274 Sec. 3877.205. ASSESSMENTS; LIENS FOR ASSESSMENTS.
275275 (a) The board by resolution may impose and collect an assessment
276276 for any purpose authorized by this chapter in all or any part of the
277277 district.
278278 (b) An assessment, a reassessment, or an assessment
279279 resulting from an addition to or correction of the assessment roll
280280 by the district, penalties and interest on an assessment or
281281 reassessment, an expense of collection, and reasonable attorney's
282282 fees incurred by the district:
283283 (1) are a first and prior lien against the property
284284 assessed;
285285 (2) are superior to any other lien or claim other than
286286 a lien or claim for county, school district, or municipal ad valorem
287287 taxes; and
288288 (3) are the personal liability of and a charge against
289289 the owners of the property even if the owners are not named in the
290290 assessment proceedings.
291291 (c) The lien is effective from the date of the board's
292292 resolution imposing the assessment until the date the assessment is
293293 paid. The board may enforce the lien in the same manner that the
294294 board may enforce an ad valorem tax lien against real property.
295295 (d) The board may make a correction to or deletion from the
296296 assessment roll that does not increase the amount of assessment of
297297 any parcel of land without providing notice and holding a hearing in
298298 the manner required for additional assessments.
299299 Sec. 3877.206. UTILITY PROPERTY EXEMPT FROM IMPACT FEES AND
300300 ASSESSMENTS. The district may not impose an impact fee or
301301 assessment on the property, including the equipment,
302302 rights-of-way, facilities, or improvements, of:
303303 (1) an electric utility or a power generation company
304304 as defined by Section 31.002, Utilities Code;
305305 (2) a gas utility as defined by Section 101.003 or
306306 121.001, Utilities Code;
307307 (3) a telecommunications provider as defined by
308308 Section 51.002, Utilities Code; or
309309 (4) a person who provides to the public cable
310310 television or advanced telecommunications services.
311311 Sec. 3877.207. RESIDENTIAL PROPERTY. Section 375.161,
312312 Local Government Code, does not apply to a tax imposed by the
313313 district or a requirement for payment for a service provided by the
314314 district, including water and sewer services.
315315 Sec. 3877.208. OPERATION AND MAINTENANCE TAX. (a) If
316316 authorized at an election held in accordance with Section 3877.212,
317317 the district may impose an operation and maintenance tax on taxable
318318 property in the district in accordance with Section 49.107, Water
319319 Code, for any district purpose, including to:
320320 (1) maintain and operate the district;
321321 (2) construct or acquire improvements; or
322322 (3) provide a service.
323323 (b) The board shall determine the tax rate. The rate may not
324324 exceed the rate approved at the election.
325325 (c) Section 49.107(h), Water Code, does not apply to the
326326 district.
327327 Sec. 3877.209. CONTRACT TAXES. (a) In accordance with
328328 Section 49.108, Water Code, the district may impose a tax other than
329329 an operation and maintenance tax and use the revenue derived from
330330 the tax to make payments under a contract after the provisions of
331331 the contract have been approved by a majority of the district voters
332332 voting at an election held for that purpose.
333333 (b) A contract approved by the district voters may contain a
334334 provision stating that the contract may be modified or amended by
335335 the board without further voter approval.
336336 Sec. 3877.210. AUTHORITY TO BORROW MONEY AND TO ISSUE
337337 BONDS. (a) The district may borrow money on terms and conditions
338338 as determined by the board. Section 375.205, Local Government
339339 Code, does not apply to a loan, line of credit, or other borrowing
340340 from a bank or financial institution secured by revenue other than
341341 ad valorem taxes.
342342 (b) The district may issue bonds, notes, or other
343343 obligations payable wholly or partly from ad valorem taxes, sales
344344 and use taxes, assessments, impact fees, revenue, contract
345345 payments, grants, or other district money, or any combination of
346346 those sources of money, to pay for any authorized district purpose.
347347 (c) The limitation on the outstanding principal amount of
348348 bonds, notes, and other obligations provided by Section 49.4645,
349349 Water Code, does not apply to the district.
350350 Sec. 3877.211. TAXES FOR BONDS. At the time the district
351351 issues bonds payable wholly or partly from ad valorem taxes, the
352352 board shall provide for the annual imposition of a continuing
353353 direct ad valorem tax, without limit as to rate or amount, while all
354354 or part of the bonds are outstanding as required and in the manner
355355 provided by Sections 54.601 and 54.602, Water Code.
356356 Sec. 3877.212. ELECTIONS REGARDING TAXES AND BONDS.
357357 (a) The district may issue, without an election, bonds, notes, and
358358 other obligations secured by:
359359 (1) revenue other than ad valorem taxes; or
360360 (2) contract payments described by Section 3877.209.
361361 (b) The district must hold an election in the manner
362362 provided by Subchapter L, Chapter 375, Local Government Code, to
363363 obtain voter approval before the district may impose an ad valorem
364364 tax or sales and use tax or issue bonds payable from ad valorem
365365 taxes.
366366 (c) Section 375.243, Local Government Code, does not apply
367367 to the district.
368368 (d) All or any part of any facilities or improvements that
369369 may be acquired by a district by the issuance of district bonds may
370370 be included in one single proposition to be voted on at the election
371371 or the bonds may be submitted in several propositions.
372372 Sec. 3877.213. COMPETITIVE BIDDING. Subchapter I, Chapter
373373 49, Water Code, applies to the district. Sections 375.221 and
374374 375.223, Local Government Code, do not apply to the district.
375375 Sec. 3877.214. TAX AND ASSESSMENT ABATEMENTS. The district
376376 may grant in the manner authorized by Chapter 312, Tax Code, an
377377 abatement for a tax or assessment owed to the district.

379379 SUBCHAPTER F. TAXES FOR CERTAIN DEFINED AREAS AND DESIGNATED
380380 PROPERTY
381381 Sec. 3877.251. AUTHORITY TO ESTABLISH DEFINED AREAS OR
382382 DESIGNATED PROPERTY. The district may define areas or designate
383383 certain property of the district to pay for improvements,
384384 facilities, or services that primarily benefit that area or
385385 property and do not generally and directly benefit the district as a
386386 whole.
387387 Sec. 3877.252. PROCEDURE FOR ELECTION. (a) Before the
388388 district may impose an ad valorem tax or issue bonds payable from ad
389389 valorem taxes of the defined area or designated property, the board
390390 shall hold an election in the defined area or within the boundaries
391391 of the designated property only.
392392 (b) The election shall be conducted as provided by Section
393393 3877.212.
394394 (c) The board may submit the issues to the voters on the same
395395 ballot to be used in another election.
396396 Sec. 3877.253. DECLARING RESULT AND ISSUING ORDER. (a) If
397397 a majority of the voters voting at the election approve the
398398 proposition or propositions, the board shall declare the results
399399 and, by order, shall establish the defined area and describe it by
400400 metes and bounds or designate the specific property.
401401 (b) The board's order is not subject to judicial review
402402 except on the ground of fraud, palpable error, or arbitrary and
403403 confiscatory abuse of discretion.
404404 Sec. 3877.254. TAXES FOR IMPROVEMENTS AND FACILITIES IN
405405 DEFINED AREAS OR DESIGNATED PROPERTY. On voter approval and
406406 adoption of the order described in Section 3877.253, the district
407407 may apply separately, differently, equitably, and specifically its
408408 taxing power and lien authority to the defined area or designated
409409 property to provide money to construct, administer, maintain, and
410410 operate services, improvements, and facilities that primarily
411411 benefit the defined area or designated property.
412412 Sec. 3877.255. ISSUANCE OF BONDS AND LEVY OF TAXES FOR
413413 DEFINED AREA OR DESIGNATED PROPERTY. After the order under Section
414414 3877.253 is adopted, the district may issue bonds to provide for any
415415 land, improvements, facilities, plants, equipment, and appliances
416416 for the defined area or designated property.

418418 SUBCHAPTER G. SALES AND USE TAX
419419 Sec. 3877.301. MEANINGS OF WORDS AND PHRASES. Words and
420420 phrases used in this subchapter that are defined by Chapters 151 and
421421 321, Tax Code, have the meanings assigned by Chapters 151 and 321,
422422 Tax Code.
423423 Sec. 3877.302. APPLICABILITY OF CERTAIN TAX CODE
424424 PROVISIONS. (a) Except as otherwise provided by this subchapter,
425425 Subtitles A and B, Title 2, Tax Code, and Chapter 151, Tax Code,
426426 apply to taxes imposed under this subchapter and to the
427427 administration and enforcement of those taxes in the same manner
428428 that those laws apply to state taxes.
429429 (b) Chapter 321, Tax Code, relating to municipal sales and
430430 use taxes, applies to the application, collection, change, and
431431 administration of a sales and use tax imposed under this subchapter
432432 to the extent consistent with this chapter, as if references in
433433 Chapter 321, Tax Code, to a municipality referred to the district
434434 and references to a governing body referred to the board.
435435 (c) Sections 321.106, 321.401, 321.402, 321.403, 321.404,
436436 321.406, 321.409, 321.506, 321.507, and 321.508, Tax Code, do not
437437 apply to a tax imposed under this subchapter.
438438 Sec. 3877.303. AUTHORIZATION; ELECTION. (a) The district
439439 may adopt a sales and use tax to serve the purposes of the district
440440 after an election in which a majority of the voters of the district
441441 voting in the election authorize the adoption of the tax.
442442 (b) The board by order may call an election to authorize a
443443 sales and use tax. The election may be held with any other district
444444 election.
445445 (c) The district shall provide notice of the election and
446446 shall hold the election in the manner prescribed by Section
447447 3877.212.
448448 (d) The ballots shall be printed to provide for voting for
449449 or against the proposition: "Authorization of a sales and use tax
450450 in the Waller Town Center Management District at a rate not to
451451 exceed ___ percent."
452452 Sec. 3877.304. ABOLISHING SALES AND USE TAX. (a) Except
453453 as provided by Subsection (b), the board may abolish the sales and
454454 use tax without an election.
455455 (b) The board may not abolish the sales and use tax if the
456456 district has outstanding debt secured by the tax.
457457 Sec. 3877.305. SALES AND USE TAX RATE. (a) On adoption of
458458 the tax authorized by this subchapter, there is imposed a tax on the
459459 receipts from the sale at retail of taxable items within the
460460 district and an excise tax on the use, storage, or other consumption
461461 in the district of taxable items purchased, leased, or rented from a
462462 retailer in the district during the period that the tax is in
463463 effect.
464464 (b) The board shall determine the rate of the tax, which may
465465 be in one-eighth of one percent increments not to exceed the maximum
466466 rate authorized by the district voters at the election. The board
467467 may lower the tax rate to the extent it does not impair any
468468 outstanding debt or obligations payable from the tax.

11171117 (c) The Texas Commission on Environmental Quality has filed
11181118 its recommendations relating to this Act with the governor,

11211121 (d) The general law relating to consent by political
11221122 subdivisions to the creation of districts with conservation,
11231123 reclamation, and road powers and the inclusion of land in those
