99 AN ACT
1010 relating to the powers, duties, and financing of certain facilities
1111 finance corporations.
1212 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1313 SECTION 1. Section 2(a), Cultural Education Facilities
1414 Finance Corporation Act (Article 1528m, Vernon's Texas Civil
1515 Statutes), is amended to read as follows:
1616 (a) The legislature finds that:
1717 (1) the health, education, and general welfare of the
1818 people of this state require the development of new and expanded
1919 cultural and community facilities for the purpose of:
2020 (A) exhibition and promotion of and education
2121 about the performing, dramatic, visual, and literary arts; the
2222 culture and history of races, ethnic groups, and national heritage
2323 groups; and history, natural history, and science;
2424 (B) promotion of and education about health and
2525 physical fitness, public health and safety, conservation and
2626 preservation of the environment or natural resources, child care,
2727 adoption, children's services, substance abuse counseling, family
2828 counseling, and care of persons who are elderly or disabled;
2929 (C) administering the provision and granting of
3030 charitable services and grants in accomplishment of the purposes
3131 described by Paragraph (B) of this subdivision;
3232 (D) promotion of and education about activities
3333 devoted to general cultural improvement, including scouting
3434 programs and programs by which agencies seek to provide facilities
3535 for retreats in urban or rural settings;
3636 (E) support of agencies devoted to the
3737 eradication, elimination, or amelioration of one or more diseases
3838 or afflictions affecting health or improving the condition of
3939 individuals or groups within a community; and
4040 (F) provision of public health and safety and
4141 charitable services to communities in times of catastrophe or
4242 disaster;
4343 (2) the existence, development, and expansion of
4444 cultural facilities are essential to the continuing education,
4545 health, general welfare, and comfort of the citizens of this state;
4646 (3) the means and measures authorized and the
4747 assistance provided by this Act are in the public interest and serve
4848 a public purpose in promoting the health, education, and general
4949 welfare of the people of this state by securing and maintaining
5050 cultural facilities and the resulting advancement of culture and
5151 civilization;
5252 (4) qualified cultural organizations in this state
5353 have invested substantial funds in useful and beneficial cultural
5454 facilities and have experienced difficulty in undertaking
5555 additional projects because of the partial inadequacy of their own
5656 funds or of funds potentially available from local subscription
5757 sources and because of limitations of local financial institutions
5858 in providing necessary financing for these facilities;
5959 (5) qualified nonprofit corporations in this state
6060 have invested substantial funds in useful and beneficial cultural
6161 facilities and have experienced difficulty in undertaking
6262 additional projects because of the inadequacy of their own funds or
6363 of funds potentially available from local subscription sources and
6464 because of limitations of local financial institutions in providing
6565 necessary financing for these facilities; and
6666 (6) [(5)] the enactment of this Act will:
6767 (A) secure for present and future generations the
6868 benefits and nurturance derived from these cultural facilities; and
6969 (B) enhance the public health and welfare of
7070 communities receiving the benefit of the cultural facilities.
7171 SECTION 2. Section 3(5), Cultural Education Facilities
7272 Finance Corporation Act (Article 1528m, Vernon's Texas Civil
7373 Statutes), is amended to read as follows:
7474 (5) "Cultural facility" means any capital expenditure
7575 by a user. The term includes:
7676 (A) real property or an interest in real
7777 property, including buildings and improvements, or equipment,
7878 furnishings, or other personal property that:
7979 (i) is found by the board to be necessary or
8080 convenient to finance, refinance, acquire, construct, enlarge,
8181 remodel, renovate, improve, furnish, or equip for cultural
8282 education or community benefit;
8383 (ii) is made available for use by the
8484 general public, the user, or community groups; and
8585 (iii) is used for a purpose described by
8686 Section 2(a)(1) of this Act; [and]
8787 (B) a facility in which any of the following
8888 entities engage in any activity in which the entity is permitted to
8989 engage:
9090 (i) a nonprofit corporation exempt from the
9191 state franchise tax under Section 171.063, Tax Code;
9292 (ii) an organization described in Section
9393 11.18, Tax Code; or
9494 (iii) an organization described in Section
9595 501(c)(3), Internal Revenue Code of 1986; and
9696 (C) facilities incidental, subordinate, or
9797 related to or appropriate in connection with property described by
9898 Paragraph (A) or (B) of this subdivision, [located within the
9999 state,] regardless of the date of construction or acquisition.
100100 SECTION 3. Section 4, Cultural Education Facilities Finance
101101 Corporation Act (Article 1528m, Vernon's Texas Civil Statutes), is
102102 amended by amending Subsections (b) and (c) and adding Subsection
103103 (e) to read as follows:
104104 (b) The corporation shall be created and organized in the
105105 same manner as a health facilities development corporation under
106106 Chapter 221, Health and Safety Code, and has the same powers,
107107 authority, and rights:
108108 (1) with respect to cultural facilities and health
109109 facilities that a health facilities development corporation has
110110 with respect to health facilities under Chapter 221, Health and
111111 Safety Code; and
112112 (2) with respect to educational facilities, housing
113113 facilities, and other facilities incidental, subordinate, or
114114 related to those facilities that a nonprofit corporation created
115115 under Section 53.35(b), Education Code, or an authority created
116116 under Section 53.11, Education Code, has under Chapter 53,
117117 Education Code.
118118 (c) The powers of a corporation under Subsection (b) include
119119 the power to acquire, purchase, lease, mortgage, and convey
120120 property with respect to a facility; borrow money by issuing bonds,
121121 notes, and other obligations; lend money for its corporate
122122 purposes; invest and reinvest its funds; and secure its bonds,
123123 notes, and obligations by mortgaging, pledging, assigning, or
124124 otherwise encumbering its property or assets. Except as otherwise
125125 provided by this Act, any bonds, notes, or other obligations
126126 authorized under this subsection must be issued in accordance with
127127 Chapter 1201, Government Code.
128128 (e) Regardless of any other provision in Chapter 221, Health
129129 and Safety Code, or Chapter 53, Education Code, the corporation may
130130 exercise its powers on behalf of a user outside of this state if the
131131 user also conducts lawful activities in this state.
132132 SECTION 4. This Act takes effect immediately if it receives
133133 a vote of two-thirds of all the members elected to each house, as
134134 provided by Section 39, Article III, Texas Constitution. If this
135135 Act does not receive the vote necessary for immediate effect, this
136136 Act takes effect September 1, 2011.
