8	8	AN ACT
9	9	relating to the management of the Texas Mutual Insurance Company.
10	10	BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
11	11	SECTION 1. Section 2054.052(b), Insurance Code, is amended
12	12	to read as follows:
13	13	(b) An individual may not serve as a board member if the
14	14	individual, another individual related to the individual within the
15	15	second degree by consanguinity or affinity, or another individual
16	16	residing in the same household with the individual:
17	17	(1) is registered, certified, or licensed under this
18	18	code, or is required to be registered, certified, or licensed under
19	19	this code, as an insurer, an agent, an insurance adjuster, a
20	20	workers' compensation health care network, or a third-party
21	21	administrator and in that capacity transacts the business of
22	22	workers' compensation insurance;
23	23	(2) is employed by or acts as a consultant on matters
24	24	relating to workers' compensation insurance to a person, or has a
25	25	controlling financial interest in an organization, that is
26	26	registered, certified, or licensed under this code, or required to
27	27	be registered, certified, or licensed under this code, as an
28	28	insurer, an agent, an insurance adjuster, a workers' compensation
29	29	health care network, or a third-party administrator and in that
30	30	capacity transacts the business of workers' compensation
31	31	insurance;
32	32	(3) [owns, controls, has a financial interest in, or
33	33	participates in the management of an organization registered or
34	34	licensed under this code or required to be registered or licensed
35	35	under this code;
36	36	[(4)] receives a substantial tangible benefit from the
37	37	company or the department; or
38	38	(4) [(5)] is an officer, employee, or consultant of an
39	39	association in the field of workers' compensation insurance.
40	40	SECTION 2. Section 2054.059(b), Insurance Code, is amended
41	41	to read as follows:
42	42	(b) A special meeting may be called by any two board members
43	43	on five [two] days' notice.
44	44	SECTION 3. Section 2054.103(b), Insurance Code, is amended
45	45	to read as follows:
46	46	(b) The president must have proven successful experience,
47	47	as an executive at the general management level, in [the business
48	48	of] insurance, general business, or actuarial principles.
49	49	SECTION 4. Section 2054.052(d), Insurance Code, is
50	50	repealed.
51	51	SECTION 5. This Act takes effect immediately if it receives
52	52	a vote of two-thirds of all the members elected to each house, as
53	53	provided by Section 39, Article III, Texas Constitution. If this
54	54	Act does not receive the vote necessary for immediate effect, this
55	55	Act takes effect September 1, 2011.
