99 AN ACT
1010 relating to the authority of public institutions of higher
1111 education to make certain investments to support technology
1212 commercialization.
1313 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1414 SECTION 1. Section 153.006(a), Education Code, is amended
1515 to read as follows:
1616 (a) In order to carry out the purposes of this chapter and to
1717 support the activities of centers described in this chapter, to the
1818 extent authorized by its governing board, an institution of higher
1919 education may:
2020 (1) enter into agreements establishing royalties,
2121 fees, and other consideration for technology developed in whole or
2222 part by the institution [it];
2323 (2) accept equity interests in, convertible
2424 promissory debt instruments issued by, or a combination of equity
2525 interests in and convertible promissory debt instruments issued by
2626 organizations that license, manage, or otherwise administer rights
2727 to technology belonging to the institution [it] or under its
2828 control in exchange for such rights, in whole or in part;
2929 (3) accept equity interests in, convertible
3030 promissory debt instruments issued by, or a combination of equity
3131 interests in and convertible promissory debt instruments issued by
3232 organizations that license or otherwise have rights in the
3333 institution's [its] technology as consideration for its providing
3434 monetary, business, scientific, or engineering services or
3535 technical assistance;
3636 (4) use income from the commercialization of
3737 technology to fund the activities of the center;
3838 (5) solicit, accept, and administer gifts, grants, and
3939 donations;
4040 (6) enter into contracts for legal services with a
4141 competent lawyer or law firm to:
4242 (A) prepare, file, pursue, and maintain patent
4343 applications in the United States or foreign jurisdictions;
4444 (B) secure copyright protection for computer
4545 software;
4646 (C) prepare, file, and pursue trademark and
4747 service mark applications;
4848 (D) pursue litigation to prevent or stop
4949 infringement of any intellectual property rights of the
5050 institution; or
5151 (E) handle any other legal matter related to the
5252 operation and activities of the center; and
5353 (7) enter into such other business arrangements as may
5454 be appropriate for achieving the purposes of this chapter.
5555 SECTION 2. This Act takes effect immediately if it receives
5656 a vote of two-thirds of all the members elected to each house, as
5757 provided by Section 39, Article III, Texas Constitution. If this
5858 Act does not receive the vote necessary for immediate effect, this
5959 Act takes effect September 1, 2013.
