99 relating to the creation of the Central Laredo Municipal Management
1010 District; providing authority to impose a tax, levy an assessment,
1111 impose a fee, and issue bonds.
1212 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1313 SECTION 1. Subtitle C, Title 4, Special District Local Laws
1414 Code, is amended by adding Chapter 3862 to read as follows:
1515 CHAPTER 3862. CENTRAL LAREDO MUNICIPAL MANAGEMENT DISTRICT
1616 SUBCHAPTER A. GENERAL PROVISIONS
1717 Sec. 3862.001. DEFINITIONS. In this chapter:
1818 (1) "Board" means the district's board of directors.
1919 (2) "City" means the City of Laredo, Texas.
2020 (3) "Director" means a board member.
2121 (4) "District" means the Central Laredo Municipal
2222 Management District.
2323 Sec. 3862.002. CREATION AND NATURE OF DISTRICT. The
2424 district is a special district created under Section 59, Article
2525 XVI, Texas Constitution.
2626 Sec. 3862.003. PURPOSE; LEGISLATIVE FINDINGS. (a) The
2727 creation of the district is essential to accomplish the purposes of
2828 Sections 52 and 52-a, Article III, and Section 59, Article XVI,
2929 Texas Constitution, and other public purposes stated in this
3030 chapter. By creating the district and in authorizing the city and
3131 other political subdivisions to contract with the district, the
3232 legislature has established a program to accomplish the public
3333 purposes set out in Section 52-a, Article III, Texas Constitution.
3434 (b) The creation of the district is necessary to promote,
3535 develop, encourage, and maintain employment, commerce,
3636 transportation, housing, tourism, recreation, the arts,
3737 entertainment, economic development, safety, and the public
3838 welfare in the district.
3939 (c) The district is created to supplement and not to
4040 supplant city services provided in the district.
4141 Sec. 3862.004. FINDINGS OF BENEFIT AND PUBLIC PURPOSE.
4242 (a) The district is created to serve a public use and benefit.
4343 (b) All land and other property included in the district
4444 will benefit from the improvements and services to be provided by
4545 the district under powers conferred by Sections 52 and 52-a,
4646 Article III, and Section 59, Article XVI, Texas Constitution, and
4747 other powers granted under this chapter.
4848 (c) The creation of the district is in the public interest
4949 and is essential to further the public purposes of:
5050 (1) developing and diversifying the economy of the
5151 state;
5252 (2) eliminating unemployment and underemployment;
5353 (3) developing or expanding transportation and
5454 commerce; and
5555 (4) providing quality residential housing.
5656 (d) The district will:
5757 (1) promote the health, safety, and general welfare of
5858 residents, employers, potential employees, employees, visitors,
5959 and consumers in the district, and of the public;
6060 (2) provide needed funding for the district to
6161 preserve, maintain, and enhance the economic health and vitality of
6262 the district territory as a residential community and business
6363 center; and
6464 (3) promote the health, safety, welfare, and enjoyment
6565 of the public by providing pedestrian ways and by landscaping,
6666 removing graffiti, and developing certain areas in the district,
6767 which are necessary for the restoration, preservation, and
6868 enhancement of scenic beauty.
6969 (e) Pedestrian ways along or across a street, whether at
7070 grade or above or below the surface, and street lighting, street
7171 landscaping, vehicle parking, and street art objects are parts of
7272 and necessary components of a street and are considered to be an
7373 improvement project that includes a street or road improvement.
7474 (f) The district will not act as the agent or
7575 instrumentality of any private interest even though the district
7676 will benefit many private interests as well as the public.
7777 Sec. 3862.005. DISTRICT TERRITORY. (a) The district is
7878 initially composed of the territory described by Section 2 of the
7979 Act enacting this chapter.
8080 (b) The boundaries and field notes contained in Section 2 of
8181 the Act enacting this chapter form a closure. A mistake in the
8282 field notes or in copying the field notes in the legislative process
8383 does not affect the district's:
8484 (1) organization, existence, or validity;
8585 (2) right to issue any type of bond for the purposes
8686 for which the district is created or to pay the principal of and
8787 interest on the bond;
8888 (3) right to impose or collect an assessment or tax; or
8989 (4) legality or operation.
9090 Sec. 3862.006. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES.
9191 (a) All or any part of the area of the district is eligible to be
9292 included in:
9393 (1) a tax increment reinvestment zone created under
9494 Chapter 311, Tax Code;
9595 (2) a tax abatement reinvestment zone created under
9696 Chapter 312, Tax Code;
9797 (3) an enterprise zone created under Chapter 2303,
9898 Government Code; or
9999 (4) an industrial district created under Chapter 42,
100100 Local Government Code.
101101 (b) If the city creates a tax increment reinvestment zone
102102 described by Subsection (a), the city and the board of directors of
103103 the zone, by contract with the district, may grant money deposited
104104 in the tax increment fund to the district to be used by the district
105105 for the purposes permitted for money granted to a corporation under
106106 Section 380.002(b), Local Government Code, including the right to
107107 pledge the money as security for any bonds issued by the district
108108 for an improvement project. A project may not receive public funds
109109 under Section 380.002(b), Local Government Code, unless the project
110110 has been approved by the governing body of the city.
111111 (c) A tax increment reinvestment zone created by the city in
112112 the district is not subject to the limitations provided by Section
113113 311.006(b), Tax Code.
114114 Sec. 3862.007. APPLICABILITY OF MUNICIPAL MANAGEMENT
115115 DISTRICTS LAW. Except as otherwise provided by this chapter,
116116 Chapter 375, Local Government Code, applies to the district.
117117 Sec. 3862.008. LIBERAL CONSTRUCTION OF CHAPTER. This
118118 chapter shall be liberally construed in conformity with the
119119 findings and purposes stated in this chapter.
120120 SUBCHAPTER B. BOARD OF DIRECTORS
121121 Sec. 3862.051. GOVERNING BODY; TERMS. The district is
122122 governed by a board of nine directors who serve staggered terms of
123123 four years expiring June 1 of each odd-numbered year.
124124 Sec. 3862.052. QUALIFICATIONS OF DIRECTORS APPOINTED BY
125125 CITY. (a) To be qualified to serve as a director appointed by the
126126 governing body of the city, a person must be:
127127 (1) a resident of the district who is also a registered
128128 voter of the district;
129129 (2) an owner of property in the district;
130130 (3) an owner of stock or a partnership or membership
131131 interest, whether beneficial or otherwise, of a corporate
132132 partnership, limited liability company, or other entity owner of a
133133 direct or indirect interest in property in the district;
134134 (4) an owner of a beneficial interest in a trust, or a
135135 trustee in a trust, that directly or indirectly owns property in the
136136 district; or
137137 (5) an agent, employee, or tenant of a person
138138 described by Subdivision (2), (3), or (4).
139139 (b) Section 49.052, Water Code, does not apply to the
140140 district.
141141 Sec. 3862.053. APPOINTMENT OF DIRECTORS. The governing
142142 body of the city shall appoint directors from persons recommended
143143 by the board.
144144 Sec. 3862.054. VACANCY. If a vacancy occurs on the board,
145145 the remaining directors shall appoint a director for the remainder
146146 of the unexpired term.
147147 Sec. 3862.055. DIRECTOR'S OATH OR AFFIRMATION. (a) A
148148 director shall file the director's oath or affirmation of office
149149 with the district, and the district shall retain the oath or
150150 affirmation in the district records.
151151 (b) A director shall file a copy of the director's oath or
152152 affirmation with the secretary of the city.
153153 Sec. 3862.056. QUORUM. A vacant director position is not
154154 counted for purposes of establishing a quorum.
155155 Sec. 3862.057. OFFICERS. The board shall elect from among
156156 the directors a chair, a vice chair, and a secretary. The offices
157157 of chair and secretary may not be held by the same person.
158158 Sec. 3862.058. COMPENSATION; EXPENSES. (a) The district
159159 may compensate each director in an amount not to exceed $50 for each
160160 board meeting. The total amount of compensation for each director
161161 in one year may not exceed $2,000.
162162 (b) A director is entitled to reimbursement for necessary
163163 and reasonable expenses incurred in carrying out the duties and
164164 responsibilities of the board.
165165 Sec. 3862.059. LIABILITY INSURANCE. The district may
166166 obtain and pay for comprehensive general liability insurance
167167 coverage from a commercial insurance company or other source that
168168 protects and insures a director against personal liability and from
169169 all claims relating to:
170170 (1) actions taken by the director in the director's
171171 capacity as a member of the board;
172172 (2) actions and activities taken by the district; or
173173 (3) the actions of others acting on behalf of the
174174 district.
175175 Sec. 3862.060. NO EXECUTIVE COMMITTEE. The board may not
176176 create an executive committee to exercise the powers of the board.
177177 Sec. 3862.061. BOARD MEETINGS. The board shall hold
178178 meetings at a place accessible to the public.
179179 Sec. 3862.062. INITIAL DIRECTORS. (a) The initial board

191191 (b) The terms of the initial directors expire June 1, 2015.
192192 (c) Of the directors who replace an initial director, the
193193 terms of directors serving in positions 1, 2, 3, 4, and 5 expire
194194 June 1, 2017, and the terms of directors serving in positions 6, 7,
195195 8, and 9 expire June 1, 2019.
196196 (d) Section 3862.052 does not apply to this section.
197197 (e) This section expires September 1, 2019.
198198 SUBCHAPTER C. POWERS AND DUTIES
199199 Sec. 3862.101. GENERAL POWERS AND DUTIES. The district has
200200 the powers and duties necessary to accomplish the purposes for
201201 which the district is created.
202202 Sec. 3862.102. IMPROVEMENT PROJECTS AND SERVICES. (a) The
203203 district may provide, design, construct, acquire, improve,
204204 relocate, operate, maintain, or finance an improvement project or
205205 service using money available to the district, or contract with a
206206 governmental or private entity to provide, design, construct,
207207 acquire, improve, relocate, operate, maintain, or finance an
208208 improvement project or service authorized under this chapter or
209209 Chapter 375, Local Government Code.
210210 (b) An improvement project described by Subsection (a) may
211211 be located:
212212 (1) in the district; or
213213 (2) in an area outside but adjacent to the district if
214214 the project is for the purpose of extending a public infrastructure
215215 improvement beyond the district's boundaries to a logical terminus.
216216 Sec. 3862.103. DEVELOPMENT CORPORATION POWERS. The
217217 district, using money available to the district, may exercise the
218218 powers given to a development corporation under Chapter 505, Local
219219 Government Code, including the power to own, operate, acquire,
220220 construct, lease, improve, or maintain a project under that
221221 chapter.
222222 Sec. 3862.104. NONPROFIT CORPORATION. (a) The board by
223223 resolution may authorize the creation of a nonprofit corporation to
224224 assist and act for the district in implementing a project or
225225 providing a service authorized by this chapter.
226226 (b) The nonprofit corporation:
227227 (1) has each power of and is considered to be a local
228228 government corporation created under Subchapter D, Chapter 431,
229229 Transportation Code; and
230230 (2) may implement any project and provide any service
231231 authorized by this chapter.
232232 (c) The board shall appoint the board of directors of the
233233 nonprofit corporation. The board of directors of the nonprofit
234234 corporation shall serve in the same manner as the board of directors
235235 of a local government corporation created under Subchapter D,
236236 Chapter 431, Transportation Code, except that a board member is not
237237 required to reside in the district.
238238 Sec. 3862.105. AGREEMENTS; GRANTS. (a) As provided by
239239 Chapter 375, Local Government Code, the district may make an
240240 agreement with or accept a gift, grant, or loan from any person.
241241 (b) The implementation of a project is a governmental
242242 function or service for the purposes of Chapter 791, Government
243243 Code.
244244 Sec. 3862.106. LAW ENFORCEMENT SERVICES. To protect the
245245 public interest, the district may contract with a qualified party,
246246 including Webb County or the city, to provide law enforcement
247247 services in the district for a fee.
248248 Sec. 3862.107. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The
249249 district may join and pay dues to a charitable or nonprofit
250250 organization that performs a service or provides an activity
251251 consistent with the furtherance of a district purpose.
252252 Sec. 3862.108. ECONOMIC DEVELOPMENT. (a) The district may
253253 engage in activities that accomplish the economic development
254254 purposes of the district.
255255 (b) The district may establish and provide for the
256256 administration of one or more programs to promote state or local
257257 economic development and to stimulate business and commercial
258258 activity in the district, including programs to:
259259 (1) make loans and grants of public money; and
260260 (2) provide district personnel and services.
261261 (c) The district may create economic development programs
262262 and exercise the economic development powers that:
263263 (1) Chapter 380, Local Government Code, provides to a
264264 municipality; and
265265 (2) Subchapter A, Chapter 1509, Government Code,
266266 provides to a municipality.
267267 Sec. 3862.109. PARKING FACILITIES. (a) The district may
268268 acquire, lease as lessor or lessee, construct, develop, own,
269269 operate, and maintain parking facilities or a system of parking
270270 facilities, including lots, garages, parking terminals, or other
271271 structures or accommodations for parking motor vehicles off the
272272 streets and related appurtenances.
273273 (b) The district's parking facilities serve the public
274274 purposes of the district and are owned, used, and held for a public
275275 purpose even if leased or operated by a private entity for a term of
276276 years.
277277 (c) The district's parking facilities are necessary
278278 components of a street and are considered to be a street or road
279279 improvement.
280280 (d) The development and operation of the district's parking
281281 facilities may be considered an economic development program.
282282 Sec. 3862.110. NO EMINENT DOMAIN POWER. The district may
283283 not exercise the power of eminent domain.
284284 SUBCHAPTER D. GENERAL FINANCIAL PROVISIONS; ASSESSMENTS
285285 Sec. 3862.151. DISBURSEMENTS AND TRANSFERS OF MONEY. The
286286 board by resolution shall establish the number of signatures and
287287 the procedure required for a disbursement or transfer of the
288288 district's money.
289289 Sec. 3862.152. MONEY USED FOR IMPROVEMENTS OR SERVICES.
290290 The district may acquire, construct, finance, operate, or maintain
291291 an improvement project or service authorized under this chapter or
292292 Chapter 375, Local Government Code, using any money available to
293293 the district.
294294 Sec. 3862.153. PETITION REQUIRED FOR FINANCING SERVICES AND
295295 IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a
296296 service or improvement project with assessments under this chapter
297297 unless a written petition requesting that service or improvement
298298 has been filed with the board.
299299 (b) The petition must be signed by:
300300 (1) the owners of a majority of the assessed value of
301301 real property in the district subject to assessment according to
302302 the most recent certified tax appraisal roll for Webb County; or
303303 (2) at least 25 persons who own real property in the
304304 district subject to assessment, if more than 25 persons own real
305305 property in the district subject to assessment as determined by the
306306 most recent certified tax appraisal roll for Webb County.
307307 Sec. 3862.154. METHOD OF NOTICE FOR HEARING. The district
308308 may mail the notice required by Section 375.115(c), Local
309309 Government Code, by certified or first class United States mail.
310310 The board shall determine the method of notice.
311311 Sec. 3862.155. ASSESSMENTS; LIENS FOR ASSESSMENTS.
312312 (a) The board by resolution may impose and collect an assessment
313313 for any purpose authorized by this chapter in all or any part of the
314314 district.
315315 (b) An assessment, a reassessment, or an assessment
316316 resulting from an addition to or correction of the assessment roll
317317 by the district, penalties and interest on an assessment or
318318 reassessment, an expense of collection, and reasonable attorney's
319319 fees incurred by the district:
320320 (1) are a first and prior lien against the property
321321 assessed;
322322 (2) are superior to any other lien or claim other than
323323 a lien or claim for county, school district, or municipal ad valorem
324324 taxes; and
325325 (3) are the personal liability of and a charge against
326326 the owners of the property even if the owners are not named in the
327327 assessment proceedings.
328328 (c) The lien is effective from the date of the board's
329329 resolution imposing the assessment until the date the assessment is
330330 paid. The board may enforce the lien in the same manner that the
331331 board may enforce an ad valorem tax lien against real property.
332332 (d) The board may make a correction to or deletion from the
333333 assessment roll that does not increase the amount of assessment of
334334 any parcel of land without providing notice and holding a hearing in
335335 the manner required for additional assessments.
336336 Sec. 3862.156. LIMITATION ON AMOUNT OF CERTAIN ASSESSMENTS.
337337 An assessment based on the taxable value of real property may not
338338 exceed 20 cents per $100 of assessed valuation of taxable property
339339 in the district, according to the most recent certified tax
340340 appraisal roll for Webb County.
341341 Sec. 3862.157. TAX AND ASSESSMENT ABATEMENTS. The district
342342 may designate reinvestment zones and may grant abatements of a tax
343343 or assessment on property in the zones.
344344 SUBCHAPTER E. TAXES AND BONDS
345345 Sec. 3862.201. BONDS AND OTHER OBLIGATIONS. (a) The
346346 district may issue, by public or private sale, bonds, notes, or
347347 other obligations payable wholly or partly from ad valorem taxes or
348348 assessments in the manner provided by Subchapter A, Chapter 372, or
349349 Subchapter J, Chapter 375, Local Government Code.
350350 (b) In exercising the district's borrowing power, the
351351 district may issue a bond or other obligation in the form of a bond,
352352 note, certificate of participation or other instrument evidencing a
353353 proportionate interest in payments to be made by the district, or
354354 other type of obligation.
355355 (c) In addition to the sources of money described by
356356 Subchapter A, Chapter 372, and Subchapter J, Chapter 375, Local
357357 Government Code, district bonds may be secured and made payable
358358 wholly or partly by a pledge of any part of the money the district
359359 receives from improvement revenue or from any other source.
360360 Sec. 3862.202. BOND MATURITY. Bonds may mature not more
361361 than 40 years from their date of issue.
362362 Sec. 3862.203. TAXES FOR BONDS AND OTHER OBLIGATIONS. At
363363 the time bonds or other obligations payable wholly or partly from ad
364364 valorem taxes are issued:
365365 (1) the board shall impose a continuing direct annual
366366 ad valorem tax for each year that all or part of the bonds are
367367 outstanding; and
368368 (2) the district annually shall impose an ad valorem
369369 tax on all taxable property in the district in an amount sufficient
370370 to:
371371 (A) pay the interest on the bonds or other
372372 obligations as the interest becomes due; and
373373 (B) create a sinking fund for the payment of the
374374 principal of the bonds or other obligations when due or the
375375 redemption price at any earlier required redemption date.
376376 Sec. 3862.204. ELECTIONS REGARDING TAXES. The district
377377 must hold an election in the manner provided by Chapters 49 and 54,
378378 Water Code, to obtain voter approval before the district may impose
379379 an ad valorem tax.
380380 SUBCHAPTER F. DISSOLUTION
381381 Sec. 3862.251. DISSOLUTION BY CITY ORDINANCE. (a) The
382382 city by ordinance may dissolve the district.
383383 (b) The city may not dissolve the district until the
384384 district's outstanding debt or contractual obligations that are
385385 payable from ad valorem taxes have been repaid or discharged, or the
386386 city has affirmatively assumed the obligation to pay the
387387 outstanding debt from city revenue.
388388 Sec. 3862.252. COLLECTION OF ASSESSMENTS AND OTHER REVENUE.
389389 (a) If the dissolved district has bonds or other obligations
390390 outstanding secured by and payable from assessments or other
391391 revenue, other than ad valorem taxes, the city shall succeed to the
392392 rights and obligations of the district regarding enforcement and
393393 collection of the assessments or other revenue.
394394 (b) The city shall have and exercise all district powers to
395395 enforce and collect the assessments or other revenue to pay:
396396 (1) the bonds or other obligations when due and
397397 payable according to their terms; or
398398 (2) special revenue or assessment bonds or other
399399 obligations issued by the city to refund the outstanding bonds or
400400 obligations.
401401 Sec. 3862.253. CONCURRENCE ON ADDITIONAL POWERS. If the
402402 legislature grants the district a power that is in addition to the
403403 powers approved by the initial resolution of the governing body of
404404 the city consenting to the creation of the district, the district
405405 may not exercise that power unless the governing body of the city
406406 consents to that change by resolution.
407407 Sec. 3862.254. ASSUMPTION OF ASSETS AND LIABILITIES.
408408 (a) After the city dissolves the district, the city assumes,
409409 subject to the appropriation and availability of funds, the
410410 obligations of the district, including any bonds or other debt
411411 payable from assessments or other district revenue.
412412 (b) If the city dissolves the district, the board shall
413413 transfer ownership of all district property to the city.
414414 SECTION 2. The Central Laredo Municipal Management District
415415 initially includes all territory contained in the following area:
416416 The Central Laredo Municipal Management District is approximately
417417 918 acres (1.43 sq. mi.) and is situated in the central business
418418 district of Laredo with the beginning point being at north
419419 right-of-way (ROW) of Park St. and east ROW of San Dario Ave. and
420420 described by the following:
421421 Then east along north ROW of Park St. to east ROW of San Eduardo
422422 Ave.;
423423 Then south along east ROW of San Eduardo Ave. to south ROW of
424424 Washington St.;
425425 Then east along south ROW of Washington St to east ROW of San Jorge
426426 Ave.;
427427 Then north along east ROW of San Jorge Ave. to north ROW of
428428 Moctezuma St.;
429429 Then east along north ROW of Moctezuma St.; to southwest corner of
430430 0.797 ac. parcel (LOT 1,3,5,7 BLK 221 WD ZACATE CREEK PROJECT);
431431 Then north along west boundary of said 0.797 ac. parcel, and 0.797

696696 (c) The Texas Commission on Environmental Quality has filed
697697 its recommendations relating to this Act with the governor,
698698 lieutenant governor, and speaker of the house of representatives
699699 within the required time.
700700 (d) The general law relating to consent by political
701701 subdivisions to the creation of districts with conservation,
702702 reclamation, and road powers and the inclusion of land in those
703703 districts has been complied with.
704704 (e) All requirements of the constitution and laws of this
705705 state and the rules and procedures of the legislature with respect

708708 SECTION 4. This Act takes effect immediately if it receives
709709 a vote of two-thirds of all the members elected to each house, as
710710 provided by Section 39, Article III, Texas Constitution. If this
711711 Act does not receive the vote necessary for immediate effect, this
712712 Act takes effect September 1, 2013.
