55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the ability of professional associations to hire
88 certain health care professionals.
99 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1010 SECTION 1. Section 301.003(5), Business Organizations
1111 Code, is amended to read as follows:
1212 (5) "Professional individual[,]" [with respect to a
1313 professional entity,] means:
1414 (A) with respect to a professional corporation or
1515 professional limited liability company, an individual who is
1616 licensed to provide in this state or another jurisdiction the same
1717 professional service as is rendered by that professional entity; or
1818 (B) with respect to a professional association,
1919 an individual who is licensed to provide in this state or another
2020 jurisdiction the same professional service that:
2121 (i) the individuals who formed and own the
2222 professional association are licensed to provide; and
2323 (ii) the professional association was
2424 formed to provide.
2525 SECTION 2. Section 301.006, Business Organizations Code, is
2626 amended by amending Subsection (a) and adding Subsections (a-1)
2727 and (a-2) to read as follows:
2828 (a) Except as provided by Subsection (a-1), a [A]
2929 professional association or foreign professional association may
3030 provide a professional service in this state only through owners,
3131 managerial officials, employees, or agents, each of whom:
3232 (1) is a professional individual; and
3333 (2) is licensed in this state to provide the same
3434 professional service that:
3535 (A) the individuals who formed and own the
3636 professional association are licensed to provide; and
3737 (B) the professional association was formed
3838 to provide [provided by the entity].
3939 (a-1) A professional association or foreign professional
4040 association may employ any of the following practitioners to
4141 perform the professional service that the practitioner is licensed
4242 in this state to provide, even if that professional service is
4343 different from the professional service that the practitioners who
4444 formed and own the professional association are licensed to provide
4545 and that the professional association was formed to provide:
4646 (1) a doctor of medicine;
4747 (2) a doctor of osteopathy;
4848 (3) a doctor of podiatry;
4949 (4) a dentist;
5050 (5) a chiropractor;
5151 (6) an optometrist;
5252 (7) a therapeutic optometrist;
5353 (8) a veterinarian; and
5454 (9) a licensed mental health professional.
5555 (a-2) If a professional association or foreign professional
5656 association employs a practitioner listed under Subsection (a-1),
5757 the authority of each practitioner who is an owner, managerial
5858 official, employee, or agent of the professional association is
5959 limited to the practitioner's scope of practice, and a practitioner
6060 may not exercise control over another practitioner's clinical
6161 authority granted under the practitioner's respective license,
6262 either through an agreement, bylaw, directive, financial
6363 incentive, or other arrangement that would assert control over a
6464 treatment decision made by the practitioner.
6565 SECTION 3. Subtitle A, Title 3, Occupations Code, is
6666 amended by adding Chapter 117 to read as follows:
6767 CHAPTER 117. EMPLOYMENT OF HEALTH CARE PRACTITIONERS BY
6868 PROFESSIONAL ASSOCIATIONS
6969 Sec. 117.001. PATIENT CARE. A physician, podiatrist,
7070 dentist, chiropractor, optometrist, therapeutic optometrist, or
7171 licensed mental health professional, as that term is defined by
7272 Section 301.003, Business Organizations Code, employed by a
7373 professional association in accordance with Section 301.006(a-1),
7474 Business Organizations Code, shall retain independent clinical
7575 judgment in providing care to patients.
7676 SECTION 4. Subchapter H, Chapter 801, Occupations Code, is
7777 amended by adding Section 801.367 to read as follows:
7878 Sec. 801.367. INDEPENDENT CLINICAL JUDGMENT. A
7979 veterinarian employed by a professional association in accordance
8080 with Section 301.006(a-1), Business Organizations Code, shall
8181 retain independent clinical judgment in providing care to animals.
8282 SECTION 5. This Act takes effect September 1, 2015.
