55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to passive entities for purposes of the franchise tax.
88 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
99 SECTION 1. Section 171.0003(a), Tax Code, is amended to
1010 read as follows:
1111 (a) An entity is a passive entity only if:
1212 (1) the entity is a general or limited partnership or a
1313 trust, other than a business trust; and
1414 (2) during the period on which margin is based, the
1515 entity's federal gross income consists of at least 90 percent of the
1616 following income:
1717 (A) dividends, interest, foreign currency
1818 exchange gain, periodic and nonperiodic payments with respect to
1919 notional principal contracts, option premiums, cash settlement or
2020 termination payments with respect to a financial instrument, and
2121 income from a limited liability company;
2222 (B) distributive shares of partnership income to
2323 the extent that those distributive shares of income are greater
2424 than zero;
2525 (C) net capital gain [capital gains] from the
2626 sale of real property, gains from the sale of commodities traded on
2727 a commodities exchange, and gains from the sale of securities; and
2828 (D) royalties, bonuses, or delay rental income
2929 from mineral properties and income from other nonoperating mineral
3030 interests[; and
3131 [(3) the entity does not receive more than 10 percent
3232 of its federal gross income from conducting an active trade or
3333 business].
3434 SECTION 2. Sections 171.0003(a-1) and 171.0004, Tax Code,
3535 are repealed.
3636 SECTION 3. This Act applies only to a report originally due
3737 on or after the effective date of this Act.
3838 SECTION 4. This Act takes effect January 1, 2016.
