55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the powers of a public facility corporation.
88 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
99 SECTION 1. Section 303.003(4), Local Government Code, is
1010 amended to read as follows:
1111 (4) "Credit agreement" means a loan agreement,
1212 revolving credit agreement, agreement establishing a line of
1313 credit, letter of credit, reimbursement agreement, insurance
1414 contract, commitment to purchase bonds or sponsor obligations,
1515 purchase or sale agreement, interest rate or commodities price swap
1616 agreement, cap or collar agreement, protection or management
1717 agreement, or commitment or other contract or agreement authorized
1818 and approved by the board of directors of a corporation in
1919 anticipation of, related to, or in connection with the
2020 authorization, issuance, incurrence, sale, security, exchange,
2121 payment, purchase, remarketing, or redemption of bonds or interest
2222 on bonds.
2323 SECTION 2. Section 303.021(a), Local Government Code, is
2424 amended to read as follows:
2525 (a) A sponsor may create one or more nonmember, nonstock,
2626 nonprofit public facility corporations to:
2727 (1) issue bonds under this chapter, including bonds to
2828 purchase sponsor obligations;
2929 (2) finance public facilities on behalf of its
3030 sponsor; or
3131 (3) loan the proceeds of the obligations to other
3232 entities to accomplish the purposes of the sponsor.
3333 SECTION 3. Section 303.041, Local Government Code, is
3434 amended by amending Subsection (a) and adding Subsection (d) to
3535 read as follows:
3636 (a) Subject to Section 303.045, a corporation has the rights
3737 and powers necessary or convenient to accomplish the corporation's
3838 purposes, including the power to:
3939 (1) acquire title to a public facility in order to
4040 lease, convey, or dispose of the public facility to the
4141 corporation's sponsor or, on direction of the sponsor and in
4242 furtherance of the sponsor's purposes, to another entity;
4343 (2) accept or grant a mortgage or pledge of a public
4444 facility financed, refinanced, or provided by the corporation or by
4545 sponsor obligations purchased by the corporation and, as security
4646 for the payment of any connected bonds or credit agreements that the
4747 corporation issues or incurs:
4848 (A) assign the mortgage or pledge and the revenue
4949 and receipts from the mortgage or pledge or [and] from the
5050 corporation or sponsor obligations; or
5151 (B) grant other security;
5252 (3) sell, convey, mortgage, pledge, lease, exchange,
5353 transfer, and otherwise dispose of all or any part of the
5454 corporation's property and other assets, including sponsor
5555 obligations;
5656 (4) make a contract, including a credit agreement,
5757 incur a liability, and borrow money at interest;
5858 (5) lend money for its corporate purposes, invest its
5959 money, and take and hold security for the payment of money loaned or
6060 invested;
6161 (6) sue and be sued in its corporate name;
6262 (7) appoint agents of the corporation and determine
6363 their duties; [and]
6464 (8) have a corporate seal and use the seal by having it
6565 or a facsimile of it impressed on, affixed to, or reproduced on an
6666 instrument required or authorized to be executed by the
6767 corporation's proper officers; and
6868 (9) exercise any powers that a nonprofit corporation
6969 may exercise, to the extent necessary or convenient to accomplish
7070 the purpose of the corporation.
7171 (d) The authority granted under Subsection (a)(3) includes
7272 the authority to grant a leasehold or other possessory interest in a
7373 public facility owned by the corporation.
7474 SECTION 4. This Act takes effect immediately if it receives
7575 a vote of two-thirds of all the members elected to each house, as
7676 provided by Section 39, Article III, Texas Constitution. If this
7777 Act does not receive the vote necessary for immediate effect, this
7878 Act takes effect September 1, 2015.
