12 | 10 | | Code, is amended by adding Chapter 3940 to read as follows: |

13 | 11 | | CHAPTER 3940. VALLEY RANCH MEDICAL CENTER MANAGEMENT DISTRICT |
---|
14 | 12 | | SUBCHAPTER A. GENERAL PROVISIONS |
---|
15 | 13 | | Sec. 3940.001. DEFINITIONS. In this chapter: |
---|
16 | 14 | | (1) "Board" means the district's board of directors. |
---|
17 | 15 | | (2) "County" means Montgomery County. |
---|
18 | 16 | | (3) "Director" means a board member. |
---|
19 | 17 | | (4) "District" means the Valley Ranch Medical Center |
---|
20 | 18 | | Management District. |
---|
21 | 19 | | Sec. 3940.002. NATURE OF DISTRICT. The Valley Ranch |
---|
22 | 20 | | Medical Center Management District is a special district created |
---|
23 | 21 | | under Section 59, Article XVI, Texas Constitution. |
---|
24 | 22 | | Sec. 3940.003. PURPOSE; DECLARATION OF INTENT. (a) The |
---|
25 | 23 | | creation of the district is essential to accomplish the purposes of |
---|
26 | 24 | | Sections 52 and 52-a, Article III, and Section 59, Article XVI, |
---|
27 | 25 | | Texas Constitution, and other public purposes stated in this |
---|
28 | 26 | | chapter. By creating the district and in authorizing the county and |
---|
29 | 27 | | other political subdivisions to contract with the district, the |
---|
30 | 28 | | legislature has established a program to accomplish the public |
---|
31 | 29 | | purposes set out in Section 52-a, Article III, Texas Constitution. |
---|
32 | 30 | | (b) The creation of the district is necessary to promote, |
---|
33 | 31 | | develop, encourage, and maintain employment, commerce, |
---|
34 | 32 | | transportation, housing, tourism, recreation, the arts, |
---|
35 | 33 | | entertainment, economic development, safety, and the public |
---|
36 | 34 | | welfare in the district. |
---|
37 | 35 | | (c) This chapter and the creation of the district may not be |
---|
38 | 36 | | interpreted to relieve the county from providing the level of |
---|
39 | 37 | | services provided as of the effective date of the Act enacting this |
---|
40 | 38 | | chapter to the area in the district. The district is created to |
---|
41 | 39 | | supplement and not to supplant county services provided in the |
---|
42 | 40 | | district. |
---|
43 | 41 | | Sec. 3940.004. FINDINGS OF BENEFIT AND PUBLIC PURPOSE. |
---|
44 | 42 | | (a) The district is created to serve a public use and benefit. |
---|
45 | 43 | | (b) All land and other property included in the district |
---|
46 | 44 | | will benefit from the improvements and services to be provided by |
---|
47 | 45 | | the district under powers conferred by Sections 52 and 52-a, |
---|
48 | 46 | | Article III, and Section 59, Article XVI, Texas Constitution, and |
---|
49 | 47 | | other powers granted under this chapter. |
---|
50 | 48 | | (c) The creation of the district is in the public interest |
---|
51 | 49 | | and is essential to further the public purposes of: |
---|
52 | 50 | | (1) developing and diversifying the economy of the |
---|
53 | 51 | | state; |
---|
54 | 52 | | (2) eliminating unemployment and underemployment; and |
---|
55 | 53 | | (3) developing or expanding transportation and |
---|
56 | 54 | | commerce. |
---|
57 | 55 | | (d) The district will: |
---|
58 | 56 | | (1) promote the health, safety, and general welfare of |
---|
59 | 57 | | residents, employers, potential employees, employees, visitors, |
---|
60 | 58 | | and consumers in the district, and of the public; |
---|
61 | 59 | | (2) provide needed funding for the district to |
---|
62 | 60 | | preserve, maintain, and enhance the economic health and vitality of |
---|
63 | 61 | | the district territory as a community and business center; |
---|
64 | 62 | | (3) promote the health, safety, welfare, and enjoyment |
---|
65 | 63 | | of the public by providing pedestrian ways and by landscaping and |
---|
66 | 64 | | developing certain areas in the district, which are necessary for |
---|
67 | 65 | | the restoration, preservation, and enhancement of scenic beauty; |
---|
68 | 66 | | and |
---|
69 | 67 | | (4) provide for water, wastewater, drainage, road, and |
---|
70 | 68 | | recreational facilities for the district. |
---|
71 | 69 | | (e) Pedestrian ways along or across a street, whether at |
---|
72 | 70 | | grade or above or below the surface, and street lighting, street |
---|
73 | 71 | | landscaping, parking, and street art objects are parts of and |
---|
74 | 72 | | necessary components of a street and are considered to be a street |
---|
75 | 73 | | or road improvement. |
---|
76 | 74 | | (f) The district will not act as the agent or |
---|
77 | 75 | | instrumentality of any private interest even though the district |
---|
78 | 76 | | will benefit many private interests as well as the public. |
---|
79 | 77 | | Sec. 3940.005. INITIAL DISTRICT TERRITORY. (a) The |
---|
80 | 78 | | district is initially composed of the territory described by |
---|
81 | 79 | | Section 2 of the Act enacting this chapter. |
---|
82 | 80 | | (b) The boundaries and field notes contained in Section 2 of |
---|
83 | 81 | | the Act enacting this chapter form a closure. A mistake in the |
---|
84 | 82 | | field notes or in copying the field notes in the legislative process |
---|
85 | 83 | | does not affect the district's: |
---|
86 | 84 | | (1) organization, existence, or validity; |
---|
87 | 85 | | (2) right to issue any type of bonds for the purposes |
---|
88 | 86 | | for which the district is created or to pay the principal of and |
---|
89 | 87 | | interest on the bonds; |
---|
90 | 88 | | (3) right to impose or collect an assessment or tax; or |
---|
91 | 89 | | (4) legality or operation. |
---|
92 | 90 | | Sec. 3940.006. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES. |
---|
93 | 91 | | All or any part of the area of the district is eligible to be |
---|
94 | 92 | | included in: |
---|
95 | 93 | | (1) a tax increment reinvestment zone created under |
---|
96 | 94 | | Chapter 311, Tax Code; |
---|
97 | 95 | | (2) a tax abatement reinvestment zone created under |
---|
98 | 96 | | Chapter 312, Tax Code; |
---|
99 | 97 | | (3) an enterprise zone created under Chapter 2303, |
---|
100 | 98 | | Government Code; or |
---|
101 | 99 | | (4) an industrial district created under Chapter 42, |
---|
102 | 100 | | Local Government Code. |
---|
103 | 101 | | Sec. 3940.007. APPLICABILITY OF MUNICIPAL MANAGEMENT |
---|
104 | 102 | | DISTRICTS LAW. Except as otherwise provided by this chapter, |
---|
105 | 103 | | Chapter 375, Local Government Code, applies to the district. |
---|
106 | 104 | | Sec. 3940.008. CONSTRUCTION OF CHAPTER. This chapter shall |
---|
107 | 105 | | be liberally construed in conformity with the findings and purposes |
---|
108 | 106 | | stated in this chapter. |
---|
109 | 107 | | SUBCHAPTER B. BOARD OF DIRECTORS |
---|
110 | 108 | | Sec. 3940.051. GOVERNING BODY; TERMS. (a) The district is |
---|
111 | 109 | | governed by a board of five voting directors who serve staggered |
---|
112 | 110 | | terms of four years, with two or three directors' terms expiring |
---|
113 | 111 | | June 1 of each odd-numbered year. |
---|
114 | 112 | | (b) The board by resolution may change the number of voting |
---|
115 | 113 | | directors on the board if the board determines that the change is in |
---|
116 | 114 | | the best interest of the district. The board may not consist of |
---|
117 | 115 | | fewer than five or more than nine voting directors. |
---|
118 | 116 | | Sec. 3940.052. APPOINTMENT OF VOTING DIRECTORS. The Texas |
---|
119 | 117 | | Commission on Environmental Quality shall appoint voting directors |
---|
120 | 118 | | from persons recommended by the board. |
---|
121 | 119 | | Sec. 3940.053. NONVOTING DIRECTORS. The board may appoint |
---|
122 | 120 | | nonvoting directors to serve at the pleasure of the voting |
---|
123 | 121 | | directors. |
---|
124 | 122 | | Sec. 3940.054. QUORUM. For purposes of determining the |
---|
125 | 123 | | requirements for a quorum of the board, the following are not |
---|
126 | 124 | | counted: |
---|
127 | 125 | | (1) a board position vacant for any reason, including |
---|
128 | 126 | | death, resignation, or disqualification; |
---|
129 | 127 | | (2) a director who is abstaining from participation in |
---|
130 | 128 | | a vote because of a conflict of interest; or |
---|
131 | 129 | | (3) a nonvoting director. |
---|
132 | 130 | | Sec. 3940.055. COMPENSATION. A director is entitled to |
---|
133 | 131 | | receive fees of office and reimbursement for actual expenses as |
---|
134 | 132 | | provided by Section 49.060, Water Code. Sections 375.069 and |
---|
135 | 133 | | 375.070, Local Government Code, do not apply to the board. |
---|
136 | 134 | | Sec. 3940.056. INITIAL VOTING DIRECTORS. (a) On or after |
---|
137 | 135 | | the effective date of the Act enacting this chapter, the owner or |
---|
138 | 136 | | owners of a majority of the assessed value of the real property in |
---|
139 | 137 | | the district according to the most recent certified tax appraisal |
---|
140 | 138 | | roll for the county may submit a petition to the Texas Commission on |
---|
141 | 139 | | Environmental Quality requesting that the commission appoint as |
---|
142 | 140 | | initial voting directors the five persons named in the petition. |
---|
143 | 141 | | The commission shall appoint the five persons named in the petition |
---|
144 | 142 | | as initial directors by position. |
---|
145 | 143 | | (b) Of the initial directors, the terms of directors |
---|
146 | 144 | | appointed for positions one through three expire June 1, 2017, and |
---|
147 | 145 | | the terms of directors appointed for positions four and five expire |
---|
148 | 146 | | June 1, 2019. |
---|
149 | 147 | | (c) Section 3940.052 does not apply to this section. |
---|
150 | 148 | | (d) This section expires September 1, 2019. |
---|
151 | 149 | | SUBCHAPTER C. POWERS AND DUTIES |
---|
152 | 150 | | Sec. 3940.101. GENERAL POWERS AND DUTIES. The district has |
---|
153 | 151 | | the powers and duties necessary to accomplish the purposes for |
---|
154 | 152 | | which the district is created. |
---|
155 | 153 | | Sec. 3940.102. IMPROVEMENT PROJECTS AND SERVICES. The |
---|
156 | 154 | | district may provide, design, construct, acquire, improve, |
---|
157 | 155 | | relocate, operate, maintain, or finance an improvement project or |
---|
158 | 156 | | service using any money available to the district, or contract with |
---|
159 | 157 | | a governmental or private entity to provide, design, construct, |
---|
160 | 158 | | acquire, improve, relocate, operate, maintain, or finance an |
---|
161 | 159 | | improvement project or service authorized under this chapter or |
---|
162 | 160 | | Chapter 375, Local Government Code. |
---|
163 | 161 | | Sec. 3940.103. DEVELOPMENT CORPORATION POWERS. The |
---|
164 | 162 | | district, using money available to the district, may exercise the |
---|
165 | 163 | | powers given to a development corporation under Chapter 505, Local |
---|
166 | 164 | | Government Code, including the power to own, operate, acquire, |
---|
167 | 165 | | construct, lease, improve, or maintain a project under that |
---|
168 | 166 | | chapter. |
---|
169 | 167 | | Sec. 3940.104. NONPROFIT CORPORATION. (a) The board by |
---|
170 | 168 | | resolution may authorize the creation of a nonprofit corporation to |
---|
171 | 169 | | assist and act for the district in implementing a project or |
---|
172 | 170 | | providing a service authorized by this chapter. |
---|
173 | 171 | | (b) The nonprofit corporation: |
---|
174 | 172 | | (1) has each power of and is considered to be a local |
---|
175 | 173 | | government corporation created under Subchapter D, Chapter 431, |
---|
176 | 174 | | Transportation Code; and |
---|
177 | 175 | | (2) may implement any project and provide any service |
---|
178 | 176 | | authorized by this chapter. |
---|
179 | 177 | | (c) The board shall appoint the board of directors of the |
---|
180 | 178 | | nonprofit corporation. The board of directors of the nonprofit |
---|
181 | 179 | | corporation shall serve in the same manner as the board of directors |
---|
182 | 180 | | of a local government corporation created under Subchapter D, |
---|
183 | 181 | | Chapter 431, Transportation Code, except that a board member is not |
---|
184 | 182 | | required to reside in the district. |
---|
185 | 183 | | Sec. 3940.105. AGREEMENTS; GRANTS. (a) As provided by |
---|
186 | 184 | | Chapter 375, Local Government Code, the district may make an |
---|
187 | 185 | | agreement with or accept a gift, grant, or loan from any person. |
---|
188 | 186 | | (b) The implementation of a project is a governmental |
---|
189 | 187 | | function or service for the purposes of Chapter 791, Government |
---|
190 | 188 | | Code. |
---|
191 | 189 | | Sec. 3940.106. LAW ENFORCEMENT SERVICES. To protect the |
---|
192 | 190 | | public interest, the district may contract with a qualified party, |
---|
193 | 191 | | including the county, to provide law enforcement services in the |
---|
194 | 192 | | district for a fee. |
---|
195 | 193 | | Sec. 3940.107. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The |
---|
196 | 194 | | district may join and pay dues to a charitable or nonprofit |
---|
197 | 195 | | organization that performs a service or provides an activity |
---|
198 | 196 | | consistent with the furtherance of a district purpose. |
---|
199 | 197 | | Sec. 3940.108. ECONOMIC DEVELOPMENT PROGRAMS. (a) The |
---|
200 | 198 | | district may engage in activities that accomplish the economic |
---|
201 | 199 | | development purposes of the district. |
---|
202 | 200 | | (b) The district may establish and provide for the |
---|
203 | 201 | | administration of one or more programs to promote state or local |
---|
204 | 202 | | economic development and to stimulate business and commercial |
---|
205 | 203 | | activity in the district, including programs to: |
---|
206 | 204 | | (1) make loans and grants of public money; and |
---|
207 | 205 | | (2) provide district personnel and services. |
---|
208 | 206 | | (c) The district may create economic development programs |
---|
209 | 207 | | and exercise the economic development powers provided to |
---|
210 | 208 | | municipalities by: |
---|
211 | 209 | | (1) Chapter 380, Local Government Code; and |
---|
212 | 210 | | (2) Subchapter A, Chapter 1509, Government Code. |
---|
213 | 211 | | Sec. 3940.109. PARKING FACILITIES. (a) The district may |
---|
214 | 212 | | acquire, lease as lessor or lessee, construct, develop, own, |
---|
215 | 213 | | operate, and maintain parking facilities or a system of parking |
---|
216 | 214 | | facilities, including lots, garages, parking terminals, or other |
---|
217 | 215 | | structures or accommodations for parking motor vehicles off the |
---|
218 | 216 | | streets and related appurtenances. |
---|
219 | 217 | | (b) The district's parking facilities serve the public |
---|
220 | 218 | | purposes of the district and are owned, used, and held for a public |
---|
221 | 219 | | purpose even if leased or operated by a private entity for a term of |
---|
222 | 220 | | years. |
---|
223 | 221 | | (c) The district's parking facilities are parts of and |
---|
224 | 222 | | necessary components of a street and are considered to be a street |
---|
225 | 223 | | or road improvement. |
---|
226 | 224 | | (d) The development and operation of the district's parking |
---|
227 | 225 | | facilities may be considered an economic development program. |
---|
228 | 226 | | Sec. 3940.110. ANNEXATION OF LAND. The district may annex |
---|
229 | 227 | | land as provided by Subchapter J, Chapter 49, Water Code. |
---|
230 | 228 | | Sec. 3940.111. NO EMINENT DOMAIN POWER. The district may |
---|
231 | 229 | | not exercise the power of eminent domain. |
---|
232 | 230 | | SUBCHAPTER D. GENERAL FINANCIAL PROVISIONS; ASSESSMENTS |
---|
233 | 231 | | Sec. 3940.151. DISBURSEMENTS AND TRANSFERS OF MONEY. The |
---|
234 | 232 | | board by resolution shall establish the number of directors' |
---|
235 | 233 | | signatures and the procedure required for a disbursement or |
---|
236 | 234 | | transfer of district money. |
---|
237 | 235 | | Sec. 3940.152. MONEY USED FOR IMPROVEMENTS OR SERVICES. |
---|
238 | 236 | | The district may acquire, construct, finance, operate, or maintain |
---|
239 | 237 | | any improvement or service authorized under this chapter or Chapter |
---|
240 | 238 | | 375, Local Government Code, using any money available to the |
---|
241 | 239 | | district. |
---|
242 | 240 | | Sec. 3940.153. PETITION REQUIRED FOR FINANCING SERVICES AND |
---|
243 | 241 | | IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a |
---|
244 | 242 | | service or improvement project with assessments under this chapter |
---|
245 | 243 | | unless a written petition requesting that service or improvement |
---|
246 | 244 | | has been filed with the board. |
---|
247 | 245 | | (b) A petition filed under Subsection (a) must be signed by |
---|
248 | 246 | | the owners of a majority of the assessed value of real property in |
---|
249 | 247 | | the district subject to assessment according to the most recent |
---|
250 | 248 | | certified tax appraisal roll for the county. |
---|
251 | 249 | | Sec. 3940.154. ASSESSMENTS; LIENS FOR ASSESSMENTS. |
---|
252 | 250 | | (a) The board by resolution may impose and collect an assessment |
---|
253 | 251 | | for any purpose authorized by this chapter in all or any part of the |
---|
254 | 252 | | district. |
---|
255 | 253 | | (b) An assessment, a reassessment, or an assessment |
---|
256 | 254 | | resulting from an addition to or correction of the assessment roll |
---|
257 | 255 | | by the district, penalties and interest on an assessment or |
---|
258 | 256 | | reassessment, an expense of collection, and reasonable attorney's |
---|
259 | 257 | | fees incurred by the district: |
---|
260 | 258 | | (1) are a first and prior lien against the property |
---|
261 | 259 | | assessed; |
---|
262 | 260 | | (2) are superior to any other lien or claim other than |
---|
263 | 261 | | a lien or claim for county, school district, or municipal ad valorem |
---|
264 | 262 | | taxes; and |
---|
265 | 263 | | (3) are the personal liability of and a charge against |
---|
266 | 264 | | the owners of the property even if the owners are not named in the |
---|
267 | 265 | | assessment proceedings. |
---|
268 | 266 | | (c) The lien is effective from the date of the board's |
---|
269 | 267 | | resolution imposing the assessment until the date the assessment is |
---|
270 | 268 | | paid. The board may enforce the lien in the same manner that the |
---|
271 | 269 | | board may enforce an ad valorem tax lien against real property. |
---|
272 | 270 | | (d) The board may make a correction to or deletion from the |
---|
273 | 271 | | assessment roll that does not increase the amount of assessment of |
---|
274 | 272 | | any parcel of land without providing notice and holding a hearing in |
---|
275 | 273 | | the manner required for additional assessments. |
---|
276 | 274 | | Sec. 3940.155. TAX AND ASSESSMENT ABATEMENTS. The district |
---|
277 | 275 | | may designate reinvestment zones and may grant abatements of |
---|
278 | 276 | | district taxes or assessments on property in the zones. |
---|
279 | 277 | | SUBCHAPTER E. TAXES AND BONDS |
---|
280 | 278 | | Sec. 3940.201. ELECTIONS REGARDING TAXES AND BONDS. |
---|
281 | 279 | | (a) The district may issue, without an election, bonds, notes, and |
---|
282 | 280 | | other obligations secured by: |
---|
283 | 281 | | (1) revenue other than ad valorem taxes; or |
---|
284 | 282 | | (2) contract payments described by Section 3940.203. |
---|
285 | 283 | | (b) The district must hold an election in the manner |
---|
286 | 284 | | provided by Subchapter L, Chapter 375, Local Government Code, to |
---|
287 | 285 | | obtain voter approval before the district may impose an ad valorem |
---|
288 | 286 | | tax or issue bonds payable from ad valorem taxes. |
---|
289 | 287 | | (c) Section 375.243, Local Government Code, does not apply |
---|
290 | 288 | | to the district. |
---|
291 | 289 | | (d) All or any part of any facilities or improvements that |
---|
292 | 290 | | may be acquired by a district by the issuance of its bonds may be |
---|
293 | 291 | | submitted as a single proposition or as several propositions to be |
---|
294 | 292 | | voted on at the election. |
---|
295 | 293 | | Sec. 3940.202. OPERATION AND MAINTENANCE TAX. (a) If |
---|
296 | 294 | | authorized by a majority of the district voters voting at an |
---|
297 | 295 | | election held in accordance with Section 3940.201, the district may |
---|
298 | 296 | | impose an operation and maintenance tax on taxable property in the |
---|
299 | 297 | | district in accordance with Section 49.107, Water Code, for any |
---|
300 | 298 | | district purpose, including to: |
---|
301 | 299 | | (1) maintain and operate the district; |
---|
302 | 300 | | (2) construct or acquire improvements; or |
---|
303 | 301 | | (3) provide a service. |
---|
304 | 302 | | (b) The board shall determine the tax rate. The rate may not |
---|
305 | 303 | | exceed the rate approved at the election. |
---|
306 | 304 | | (c) Section 49.107(h), Water Code, does not apply to the |
---|
307 | 305 | | district. |
---|
308 | 306 | | Sec. 3940.203. CONTRACT TAXES. (a) In accordance with |
---|
309 | 307 | | Section 49.108, Water Code, the district may impose a tax other than |
---|
310 | 308 | | an operation and maintenance tax and use the revenue derived from |
---|
311 | 309 | | the tax to make payments under a contract after the provisions of |
---|
312 | 310 | | the contract have been approved by a majority of the district voters |
---|
313 | 311 | | voting at an election held for that purpose. |
---|
314 | 312 | | (b) A contract approved by the district voters may contain a |
---|
315 | 313 | | provision stating that the contract may be modified or amended by |
---|
316 | 314 | | the board without further voter approval. |
---|
317 | 315 | | Sec. 3940.204. AUTHORITY TO BORROW MONEY AND TO ISSUE BONDS |
---|
318 | 316 | | AND OTHER OBLIGATIONS. (a) The district may borrow money on terms |
---|
319 | 317 | | determined by the board. Section 375.205, Local Government Code, |
---|
320 | 318 | | does not apply to a loan, line of credit, or other borrowing from a |
---|
321 | 319 | | bank or financial institution secured by revenue other than ad |
---|
322 | 320 | | valorem taxes. |
---|
323 | 321 | | (b) The district may issue bonds, notes, or other |
---|
324 | 322 | | obligations payable wholly or partly from ad valorem taxes, |
---|
325 | 323 | | assessments, impact fees, revenue, contract payments, grants, or |
---|
326 | 324 | | other district money, or any combination of those sources of money, |
---|
327 | 325 | | to pay for any authorized district purpose. |
---|
328 | 326 | | (c) The limitation on the outstanding principal amount of |
---|
329 | 327 | | bonds, notes, and other obligations provided by Section 49.4645, |
---|
330 | 328 | | Water Code, does not apply to the district. |
---|
331 | 329 | | Sec. 3940.205. TAXES FOR BONDS. At the time the district |
---|
332 | 330 | | issues bonds payable wholly or partly from ad valorem taxes, the |
---|
333 | 331 | | board shall provide for the annual imposition of a continuing |
---|
334 | 332 | | direct annual ad valorem tax, without limit as to rate or amount, |
---|
335 | 333 | | for each year that all or part of the bonds are outstanding as |
---|
336 | 334 | | required and in the manner provided by Sections 54.601 and 54.602, |
---|
337 | 335 | | Water Code. |
---|
338 | 336 | | SUBCHAPTER F. DISSOLUTION AND MUNICIPAL ANNEXATION |
---|
339 | 337 | | Sec. 3940.251. MUNICIPAL ANNEXATION; DISSOLUTION. |
---|
