108 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
119 SECTION 1. Subtitle C, Title 4, Special District Local Laws
1210 Code, is amended by adding Chapter 3941 to read as follows:
1311 CHAPTER 3941. VALLEY RANCH TOWN CENTER MANAGEMENT DISTRICT
1412 SUBCHAPTER A. GENERAL PROVISIONS
1513 Sec. 3941.001. DEFINITIONS. In this chapter:
1614 (1) "Board" means the district's board of directors.
1715 (2) "County" means Montgomery County.
1816 (3) "Director" means a board member.
1917 (4) "District" means the Valley Ranch Town Center
2018 Management District.
2119 Sec. 3941.002. NATURE OF DISTRICT. The Valley Ranch Town
2220 Center Management District is a special district created under
2321 Section 59, Article XVI, Texas Constitution.
2422 Sec. 3941.003. PURPOSE; DECLARATION OF INTENT. (a) The
2523 creation of the district is essential to accomplish the purposes of
2624 Sections 52 and 52-a, Article III, and Section 59, Article XVI,
2725 Texas Constitution, and other public purposes stated in this
2826 chapter. By creating the district and in authorizing the county and
2927 other political subdivisions to contract with the district, the
3028 legislature has established a program to accomplish the public
3129 purposes set out in Section 52-a, Article III, Texas Constitution.
3230 (b) The creation of the district is necessary to promote,
3331 develop, encourage, and maintain employment, commerce,
3432 transportation, housing, tourism, recreation, the arts,
3533 entertainment, economic development, safety, and the public
3634 welfare in the district.
3735 (c) This chapter and the creation of the district may not be
3836 interpreted to relieve the county from providing the level of
3937 services provided as of the effective date of the Act enacting this
4038 chapter to the area in the district. The district is created to
4139 supplement and not to supplant county services provided in the
4240 district.
4341 Sec. 3941.004. FINDINGS OF BENEFIT AND PUBLIC PURPOSE.
4442 (a) The district is created to serve a public use and benefit.
4543 (b) All land and other property included in the district
4644 will benefit from the improvements and services to be provided by
4745 the district under powers conferred by Sections 52 and 52-a,
4846 Article III, and Section 59, Article XVI, Texas Constitution, and
4947 other powers granted under this chapter.
5048 (c) The creation of the district is in the public interest
5149 and is essential to further the public purposes of:
5250 (1) developing and diversifying the economy of the
5351 state;
5452 (2) eliminating unemployment and underemployment; and
5553 (3) developing or expanding transportation and
5654 commerce.
5755 (d) The district will:
5856 (1) promote the health, safety, and general welfare of
5957 residents, employers, potential employees, employees, visitors,
6058 and consumers in the district, and of the public;
6159 (2) provide needed funding for the district to
6260 preserve, maintain, and enhance the economic health and vitality of
6361 the district territory as a community and business center;
6462 (3) promote the health, safety, welfare, and enjoyment
6563 of the public by providing pedestrian ways and by landscaping and
6664 developing certain areas in the district, which are necessary for
6765 the restoration, preservation, and enhancement of scenic beauty;
6866 and
6967 (4) provide for water, wastewater, drainage, road, and
7068 recreational facilities for the district.
7169 (e) Pedestrian ways along or across a street, whether at
7270 grade or above or below the surface, and street lighting, street
7371 landscaping, parking, and street art objects are parts of and
7472 necessary components of a street and are considered to be a street
7573 or road improvement.
7674 (f) The district will not act as the agent or
7775 instrumentality of any private interest even though the district
7876 will benefit many private interests as well as the public.
7977 Sec. 3941.005. INITIAL DISTRICT TERRITORY. (a) The
8078 district is initially composed of the territory described by
8179 Section 2 of the Act enacting this chapter.
8280 (b) The boundaries and field notes contained in Section 2 of
8381 the Act enacting this chapter form a closure. A mistake in the
8482 field notes or in copying the field notes in the legislative process
8583 does not affect the district's:
8684 (1) organization, existence, or validity;
8785 (2) right to issue any type of bonds for the purposes
8886 for which the district is created or to pay the principal of and
8987 interest on the bonds;
9088 (3) right to impose or collect an assessment or tax; or
9189 (4) legality or operation.
9290 Sec. 3941.006. ELIGIBILITY FOR INCLUSION IN SPECIAL ZONES.
9391 All or any part of the area of the district is eligible to be
9492 included in:
9593 (1) a tax increment reinvestment zone created under
9694 Chapter 311, Tax Code;
9795 (2) a tax abatement reinvestment zone created under
9896 Chapter 312, Tax Code;
9997 (3) an enterprise zone created under Chapter 2303,
10098 Government Code; or
10199 (4) an industrial district created under Chapter 42,
102100 Local Government Code.
103101 Sec. 3941.007. APPLICABILITY OF MUNICIPAL MANAGEMENT
104102 DISTRICTS LAW. Except as otherwise provided by this chapter,
105103 Chapter 375, Local Government Code, applies to the district.
106104 Sec. 3941.008. CONSTRUCTION OF CHAPTER. This chapter shall
107105 be liberally construed in conformity with the findings and purposes
108106 stated in this chapter.
109107 SUBCHAPTER B. BOARD OF DIRECTORS
110108 Sec. 3941.051. GOVERNING BODY; TERMS. (a) The district is
111109 governed by a board of five voting directors who serve staggered
112110 terms of four years, with two or three directors' terms expiring
113111 June 1 of each odd-numbered year.
114112 (b) The board by resolution may change the number of voting
115113 directors on the board if the board determines that the change is in
116114 the best interest of the district. The board may not consist of
117115 fewer than five or more than nine voting directors.
118116 Sec. 3941.052. APPOINTMENT OF VOTING DIRECTORS. The Texas
119117 Commission on Environmental Quality shall appoint voting directors
120118 from persons recommended by the board.
121119 Sec. 3941.053. NONVOTING DIRECTORS. The board may appoint
122120 nonvoting directors to serve at the pleasure of the voting
123121 directors.
124122 Sec. 3941.054. QUORUM. For purposes of determining the
125123 requirements for a quorum of the board, the following are not
126124 counted:
127125 (1) a board position vacant for any reason, including
128126 death, resignation, or disqualification;
129127 (2) a director who is abstaining from participation in
130128 a vote because of a conflict of interest; or
131129 (3) a nonvoting director.
132130 Sec. 3941.055. COMPENSATION. A director is entitled to
133131 receive fees of office and reimbursement for actual expenses as
134132 provided by Section 49.060, Water Code. Sections 375.069 and
135133 375.070, Local Government Code, do not apply to the board.
136134 Sec. 3941.056. INITIAL VOTING DIRECTORS. (a) The initial
137135 board consists of the following voting directors:

150148 (b) Of the initial directors, the terms of directors
151149 appointed for positions one through three expire June 1, 2017, and
152150 the terms of directors appointed for positions four and five expire

154152 (c) Section 3941.052 does not apply to this section.
155153 SUBCHAPTER C. POWERS AND DUTIES
156154 Sec. 3941.101. GENERAL POWERS AND DUTIES. The district has
157155 the powers and duties necessary to accomplish the purposes for
158156 which the district is created.
159157 Sec. 3941.102. IMPROVEMENT PROJECTS AND SERVICES. The
160158 district may provide, design, construct, acquire, improve,
161159 relocate, operate, maintain, or finance an improvement project or
162160 service using any money available to the district, or contract with
163161 a governmental or private entity to provide, design, construct,
164162 acquire, improve, relocate, operate, maintain, or finance an
165163 improvement project or service authorized under this chapter or
166164 Chapter 375, Local Government Code.
167165 Sec. 3941.103. DEVELOPMENT CORPORATION POWERS. The
168166 district, using money available to the district, may exercise the
169167 powers given to a development corporation under Chapter 505, Local
170168 Government Code, including the power to own, operate, acquire,
171169 construct, lease, improve, or maintain a project under that
172170 chapter.
173171 Sec. 3941.104. NONPROFIT CORPORATION. (a) The board by
174172 resolution may authorize the creation of a nonprofit corporation to
175173 assist and act for the district in implementing a project or
176174 providing a service authorized by this chapter.
177175 (b) The nonprofit corporation:
178176 (1) has each power of and is considered to be a local
179177 government corporation created under Subchapter D, Chapter 431,
180178 Transportation Code; and
181179 (2) may implement any project and provide any service
182180 authorized by this chapter.
183181 (c) The board shall appoint the board of directors of the
184182 nonprofit corporation. The board of directors of the nonprofit
185183 corporation shall serve in the same manner as the board of directors
186184 of a local government corporation created under Subchapter D,
187185 Chapter 431, Transportation Code, except that a board member is not
188186 required to reside in the district.
189187 Sec. 3941.105. AGREEMENTS; GRANTS. (a) As provided by
190188 Chapter 375, Local Government Code, the district may make an
191189 agreement with or accept a gift, grant, or loan from any person.
192190 (b) The implementation of a project is a governmental
193191 function or service for the purposes of Chapter 791, Government
194192 Code.
195193 Sec. 3941.106. LAW ENFORCEMENT SERVICES. To protect the
196194 public interest, the district may contract with a qualified party,
197195 including the county, to provide law enforcement services in the
198196 district for a fee.
199197 Sec. 3941.107. MEMBERSHIP IN CHARITABLE ORGANIZATIONS. The
200198 district may join and pay dues to a charitable or nonprofit
201199 organization that performs a service or provides an activity
202200 consistent with the furtherance of a district purpose.
203201 Sec. 3941.108. ECONOMIC DEVELOPMENT PROGRAMS. (a) The
204202 district may engage in activities that accomplish the economic
205203 development purposes of the district.
206204 (b) The district may establish and provide for the
207205 administration of one or more programs to promote state or local
208206 economic development and to stimulate business and commercial
209207 activity in the district, including programs to:
210208 (1) make loans and grants of public money; and
211209 (2) provide district personnel and services.
212210 (c) The district may create economic development programs
213211 and exercise the economic development powers provided to
214212 municipalities by:
215213 (1) Chapter 380, Local Government Code; and
216214 (2) Subchapter A, Chapter 1509, Government Code.
217215 Sec. 3941.109. PARKING FACILITIES. (a) The district may
218216 acquire, lease as lessor or lessee, construct, develop, own,
219217 operate, and maintain parking facilities or a system of parking
220218 facilities, including lots, garages, parking terminals, or other
221219 structures or accommodations for parking motor vehicles off the
222220 streets and related appurtenances.
223221 (b) The district's parking facilities serve the public
224222 purposes of the district and are owned, used, and held for a public
225223 purpose even if leased or operated by a private entity for a term of
226224 years.
227225 (c) The district's parking facilities are parts of and
228226 necessary components of a street and are considered to be a street
229227 or road improvement.
230228 (d) The development and operation of the district's parking
231229 facilities may be considered an economic development program.
232230 Sec. 3941.110. ANNEXATION OF LAND. The district may annex
233231 land as provided by Subchapter J, Chapter 49, Water Code.
234232 Sec. 3941.111. NO EMINENT DOMAIN POWER. The district may
235233 not exercise the power of eminent domain.
236234 SUBCHAPTER D. GENERAL FINANCIAL PROVISIONS; ASSESSMENTS
237235 Sec. 3941.151. DISBURSEMENTS AND TRANSFERS OF MONEY. The
238236 board by resolution shall establish the number of directors'
239237 signatures and the procedure required for a disbursement or
240238 transfer of district money.
241239 Sec. 3941.152. MONEY USED FOR IMPROVEMENTS OR SERVICES.
242240 The district may acquire, construct, finance, operate, or maintain
243241 any improvement or service authorized under this chapter or Chapter
244242 375, Local Government Code, using any money available to the
245243 district.
246244 Sec. 3941.153. PETITION REQUIRED FOR FINANCING SERVICES AND
247245 IMPROVEMENTS WITH ASSESSMENTS. (a) The board may not finance a
248246 service or improvement project with assessments under this chapter
249247 unless a written petition requesting that service or improvement
250248 has been filed with the board.
251249 (b) A petition filed under Subsection (a) must be signed by
252250 the owners of a majority of the assessed value of real property in
253251 the district subject to assessment according to the most recent
254252 certified tax appraisal roll for the county.
255253 Sec. 3941.154. ASSESSMENTS; LIENS FOR ASSESSMENTS.
256254 (a) The board by resolution may impose and collect an assessment
257255 for any purpose authorized by this chapter in all or any part of the
258256 district.
259257 (b) An assessment, a reassessment, or an assessment
260258 resulting from an addition to or correction of the assessment roll
261259 by the district, penalties and interest on an assessment or
262260 reassessment, an expense of collection, and reasonable attorney's
263261 fees incurred by the district:
264262 (1) are a first and prior lien against the property
265263 assessed;
266264 (2) are superior to any other lien or claim other than
267265 a lien or claim for county, school district, or municipal ad valorem
268266 taxes; and
269267 (3) are the personal liability of and a charge against
270268 the owners of the property even if the owners are not named in the
271269 assessment proceedings.
272270 (c) The lien is effective from the date of the board's
273271 resolution imposing the assessment until the date the assessment is
274272 paid. The board may enforce the lien in the same manner that the
275273 board may enforce an ad valorem tax lien against real property.
276274 (d) The board may make a correction to or deletion from the
277275 assessment roll that does not increase the amount of assessment of
278276 any parcel of land without providing notice and holding a hearing in
279277 the manner required for additional assessments.
280278 Sec. 3941.155. TAX AND ASSESSMENT ABATEMENTS. The district
281279 may designate reinvestment zones and may grant abatements of
282280 district taxes or assessments on property in the zones.
283281 SUBCHAPTER E. TAXES AND BONDS
284282 Sec. 3941.201. ELECTIONS REGARDING TAXES AND BONDS.
285283 (a) The district may issue, without an election, bonds, notes, and
286284 other obligations secured by:
287285 (1) revenue other than ad valorem taxes; or
288286 (2) contract payments described by Section 3941.203.
289287 (b) The district must hold an election in the manner
290288 provided by Subchapter L, Chapter 375, Local Government Code, to
291289 obtain voter approval before the district may impose an ad valorem
292290 tax or issue bonds payable from ad valorem taxes.
293291 (c) Section 375.243, Local Government Code, does not apply
294292 to the district.
295293 (d) All or any part of any facilities or improvements that
296294 may be acquired by a district by the issuance of its bonds may be
297295 submitted as a single proposition or as several propositions to be
298296 voted on at the election.
299297 Sec. 3941.202. OPERATION AND MAINTENANCE TAX. (a) If
300298 authorized by a majority of the district voters voting at an
301299 election held in accordance with Section 3941.201, the district may
302300 impose an operation and maintenance tax on taxable property in the
303301 district in accordance with Section 49.107, Water Code, for any
304302 district purpose, including to:
305303 (1) maintain and operate the district;
306304 (2) construct or acquire improvements; or
307305 (3) provide a service.
308306 (b) The board shall determine the tax rate. The rate may not
309307 exceed the rate approved at the election.
310308 (c) Section 49.107(h), Water Code, does not apply to the
311309 district.
312310 Sec. 3941.203. CONTRACT TAXES. (a) In accordance with
313311 Section 49.108, Water Code, the district may impose a tax other than
314312 an operation and maintenance tax and use the revenue derived from
315313 the tax to make payments under a contract after the provisions of
316314 the contract have been approved by a majority of the district voters
317315 voting at an election held for that purpose.
318316 (b) A contract approved by the district voters may contain a
319317 provision stating that the contract may be modified or amended by
320318 the board without further voter approval.
321319 Sec. 3941.204. AUTHORITY TO BORROW MONEY AND TO ISSUE BONDS
322320 AND OTHER OBLIGATIONS. (a) The district may borrow money on terms
323321 determined by the board. Section 375.205, Local Government Code,
324322 does not apply to a loan, line of credit, or other borrowing from a
325323 bank or financial institution secured by revenue other than ad
326324 valorem taxes.
327325 (b) The district may issue bonds, notes, or other
328326 obligations payable wholly or partly from ad valorem taxes,
329327 assessments, impact fees, revenue, contract payments, grants, or
330328 other district money, or any combination of those sources of money,
331329 to pay for any authorized district purpose.
332330 (c) The limitation on the outstanding principal amount of
333331 bonds, notes, and other obligations provided by Section 49.4645,
334332 Water Code, does not apply to the district.
335333 Sec. 3941.205. TAXES FOR BONDS. At the time the district
336334 issues bonds payable wholly or partly from ad valorem taxes, the
337335 board shall provide for the annual imposition of a continuing
338336 direct annual ad valorem tax, without limit as to rate or amount,
339337 for each year that all or part of the bonds are outstanding as
340338 required and in the manner provided by Sections 54.601 and 54.602,
341339 Water Code.
342340 SUBCHAPTER F. DISSOLUTION AND MUNICIPAL ANNEXATION
343341 Sec. 3941.251. MUNICIPAL ANNEXATION; DISSOLUTION.
344342 (a) The district is a "water or sewer district" under Section
345343 43.071, Local Government Code.
346344 (b) Section 43.075, Local Government Code, applies to the
347345 district.
348346 (c) Section 375.264, Local Government Code, does not apply
349347 to the dissolution of the district by a municipality.
350348 SECTION 2. The Valley Ranch Town Center Management District
351349 initially includes all territory contained in the following area:
352350 Being a 210.64 acres tract of land out of the William Massey
353351 Survey, Abstract Number 387, and the William Smith Survey (WM. S.
354352 Beaty), Abstract Number 540, Montgomery County, Texas; and being
355353 out of and a portion of that certain called 548.300 acre tract of
356354 land conveyed to Sig-Valley Ranch, LTD., by Warranty Deed executed
357355 December 23, 2003, as recorded in File No. 2003-157058 in the
358356 Official Public Records of Real Property, Montgomery County, Texas;
359357 also being all of that certain called 57.24 acre tract of land
360358 conveyed to Sig-Valley Ranch, LTD., by Warranty deed executed June
361359 30, 2005, as recorded in File No. 2005-070741 in the Official
362360 Public Records of Real Property, Montgomery County Texas; also
363361 being all of that certain called 0.7389 acres tract of land conveyed
364362 to Valley Ranch Town Center, LTD., as recorded in File Number
365363 2008-043809 in the Official Public Records of Real Property,
366364 Montgomery County, Texas; and being all of that certain called
367365 71.727 acres tract of land conveyed to Valley Ranch Town Center,
368366 LTD., as recorded in File Number 2007-047721 in the Official Public
369367 Records of Real Property, Montgomery County, Texas; and being all
370368 of that certain called 3.5714 acres tract of land conveyed to A-S 96
371369 HWY 59 North-Grand Parkway, L.P. as recorded in File Number
372370 2007-087020 in the Official Public Records of Real Property,
373371 Montgomery County, Texas; said 210.64 acres tract of land being
374372 more particularly described by metes and bounds as follows, with
375373 all bearings being referenced to Texas Coordinate System, Central
376374 Zone, North American Datum of 1983 (NAD 83), CORS96, EPOCH 2002.00;
377375 BEGINNING at a found 4-inch aluminum disc stamped "TxDOT" for
378376 the Northeast corner of said 3.5714 acres tract, the Southeast
379377 corner of that certain called 1.37 acres tract of land conveyed to E &
380378 K Investments as recorded in File Number 99076562 in the Official
381379 Public Records of Real Property, Montgomery County, Texas; also
382380 being in the Northwest right-of-way of U.S. 59 (320-feet
383381 right-of-way) as recorded in Volume 516, Pg. 341 in the Montgomery
384382 County Deed Records;
385383 THENCE South 12° 02' 45" West, with the Northwest right-of-way
386384 of said U.S. 59, 493.05 feet to a found 4-inch aluminum disc stamped
387385 "TxDOT" for the Southeast corner of said 3.5714 acres tract and the
388386 Northeast corner of that certain called 2.155 acres tract of land

564562 (b) The governor, one of the required recipients, has
565563 submitted the notice and Act to the Texas Commission on

567565 (c) The Texas Commission on Environmental Quality has filed
568566 its recommendations relating to this Act with the governor,
569567 lieutenant governor, and speaker of the house of representatives

571569 (d) The general law relating to consent by political
572570 subdivisions to the creation of districts with conservation,
573571 reclamation, and road powers and the inclusion of land in those
574572 districts has been complied with.
575573 (e) All requirements of the constitution and laws of this

579577 SECTION 4. This Act takes effect immediately if it receives
580578 a vote of two-thirds of all the members elected to each house, as
581579 provided by Section 39, Article III, Texas Constitution. If this
582580 Act does not receive the vote necessary for immediate effect, this
583581 Act takes effect September 1, 2015.
