104 AN ACT
115 relating to the regulation of insurance holding company systems,
126 including internationally active insurance groups; authorizing a
137 fee.
148 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
159 SECTION 1. Section 823.002, Insurance Code, is amended by
1610 adding Subdivisions (4-b) and (6-a) to read as follows:
1711 (4-b) "Group-wide supervisor" means the regulatory
1812 official authorized to engage in conducting and coordinating
1913 group-wide supervision activities who is determined or
2014 acknowledged by the commissioner under Section 823.0147 to have
2115 sufficient significant contacts with the internationally active
2216 insurance group.
2317 (6-a) "Internationally active insurance group" means
2418 an insurance holding company system that:
2519 (A) includes an insurer registered under
2620 Subchapter B; and
2721 (B) meets the following criteria:
2822 (i) has premiums written in at least three
2923 countries;
3024 (ii) has a percentage of gross premiums
3125 written outside the United States of at least 10 percent of the
3226 insurance holding company system's total gross written premiums;
3327 and
3428 (iii) based on a three-year rolling
3529 average, has total assets of at least $50 billion or total gross
3630 written premiums of at least $10 billion.
3731 SECTION 2. Sections 823.011(a), (d), and (d-1), Insurance
3832 Code, are amended to read as follows:
3933 (a) This section applies only to information, including
4034 documents and copies of documents, that is:
4135 (1) reported or otherwise provided under Subchapter B
4236 or C or Section 823.201(d) or (e) or Section 823.0147;
4337 (2) disclosed to the commissioner under Section
4438 823.010; or
4539 (3) obtained by or disclosed to the commissioner or
4640 another person in the course of an examination or investigation
4741 under Subchapter H or Chapter 401.
4842 (d) Except as provided by Subsection (e), if the recipient
4943 of documents or other information described by Subsection (a)
5044 agrees in writing to maintain the confidential and privileged
5145 status of the documents or other information, and verifies in
5246 writing the legal authority to maintain the confidential and
5347 privileged status of the documents or information, the commissioner
5448 or another person may disclose the information to any of the
5549 following entities functioning in an official capacity:
5650 (1) a commissioner of insurance or an insurance
5751 department of another state;
5852 (2) an authorized law enforcement official;
5953 (3) a district attorney of this state;
6054 (4) the attorney general;
6155 (5) a grand jury;
6256 (6) members of a supervisory college described by
6357 Section 823.0145;
6458 (7) the National Association of Insurance
6559 Commissioners and its affiliates and subsidiaries; or
6660 (8) another state, federal, or international
6761 regulatory agency.
6862 (d-1) The commissioner may receive documents or
6963 information, including otherwise confidential and privileged
7064 documents or information, from the entities listed in Subsection
7165 (d)[,] and shall maintain as confidential or privileged any
7266 document or information received by the commissioner with notice or
7367 an understanding that the document or information is confidential
7468 or privileged under the laws of the jurisdiction of the entity that
7569 provides the document or information.
7670 SECTION 3. Subchapter A, Chapter 823, Insurance Code, is
7771 amended by adding Section 823.0147 to read as follows:
7872 Sec. 823.0147. GROUP-WIDE SUPERVISION OF INTERNATIONALLY
7973 ACTIVE INSURANCE GROUPS. (a) The commissioner is authorized to act
8074 as the group-wide supervisor for any internationally active
8175 insurance group under the provisions of this section.
8276 (b) The commissioner may otherwise acknowledge another
8377 regulatory official as the group-wide supervisor where the
8478 internationally active insurance group:
8579 (1) does not have substantial insurance operations in
8680 the United States;
8781 (2) has substantial insurance operations in the United
8882 States, but not in this state; or
8983 (3) has substantial insurance operations in the United
9084 States and this state, but the commissioner has determined under
9185 the factors in Subsections (e) and (k) that the other regulatory
9286 official is the appropriate group-wide supervisor.
9387 (c) An insurance holding company system that does not
9488 otherwise qualify as an internationally active insurance group may
9589 request that the commissioner make a determination or
9690 acknowledgment as to a group-wide supervisor under this section.
9791 (d) In cooperation with other state, federal, and
9892 international regulatory agencies, the commissioner will identify
9993 a single group-wide supervisor for an internationally active
10094 insurance group. The commissioner may determine that the
10195 commissioner is the appropriate group-wide supervisor for an
10296 internationally active insurance group that conducts substantial
10397 insurance operations concentrated in this state. The commissioner
10498 may acknowledge that a regulatory official from another
10599 jurisdiction is the appropriate group-wide supervisor for the
106100 internationally active insurance group.
107101 (e) The commissioner shall consider the following factors
108102 when making a determination or acknowledgment under Subsection (d):
109103 (1) the place of domicile of the insurers within the
110104 internationally active insurance group that hold the largest share
111105 of the group's written premiums, assets, or liabilities;
112106 (2) the place of domicile of the top-tiered insurers
113107 in the insurance holding company system of the internationally
114108 active insurance group;
115109 (3) the location of the executive offices or largest
116110 operational offices of the internationally active insurance group;
117111 (4) whether another regulatory official is acting or
118112 is seeking to act as the group-wide supervisor under a regulatory
119113 system that the commissioner determines to be:
120114 (A) substantially similar to the system of
121115 regulation provided under the laws of this state; or
122116 (B) otherwise sufficient in terms of providing
123117 for group-wide supervision, enterprise risk analysis, and
124118 cooperation with other regulatory officials; and
125119 (5) whether another regulatory official acting or
126120 seeking to act as the group-wide supervisor provides the
127121 commissioner with reasonably reciprocal recognition and
128122 cooperation.
129123 (f) A commissioner identified under this section as the
130124 group-wide supervisor may determine that it is appropriate to
131125 acknowledge another supervisor to serve as the group-wide
132126 supervisor. The acknowledgment of the group-wide supervisor shall
133127 be made after consideration of the factors listed in Subsection
134128 (e), and shall be made in cooperation with and subject to the
135129 acknowledgment of other regulatory officials involved with
136130 supervision of members of the internationally active insurance
137131 group, and in consultation with the internationally active
138132 insurance group.
139133 (g) Notwithstanding any other provision of law, when
140134 another regulatory official is acting as the group-wide supervisor
141135 of an internationally active insurance group, the commissioner
142136 shall acknowledge that regulatory official as the group-wide
143137 supervisor.
144138 (h) The commissioner shall make a determination or
145139 acknowledgment as to the appropriate group-wide supervisor for an
146140 internationally active insurance group under Subsection (d) or (f)
147141 in the event of a material change in the internationally active
148142 insurance group that results in:
149143 (1) the internationally active insurance group's
150144 insurers domiciled in this state holding the largest share of the
151145 group's premiums, assets, or liabilities; or
152146 (2) this state being the place of domicile of the
153147 top-tiered insurers in the insurance holding company system of the
154148 internationally active insurance group.
155149 (i) Under Subchapter H, the commissioner is authorized to
156150 collect from any insurer registered under Subchapter B all
157151 information necessary to determine whether the commissioner may act
158152 as the group-wide supervisor of an internationally active insurance
159153 group or if the commissioner may acknowledge another regulatory
160154 official to act as the group-wide supervisor. Prior to issuing a
161155 determination that an internationally active insurance group is
162156 subject to group-wide supervision by the commissioner, the
163157 commissioner shall notify the insurer registered under Subchapter B
164158 and the ultimate controlling person within the internationally
165159 active insurance group. The internationally active insurance group
166160 shall have not less than 30 days to provide the commissioner with
167161 additional information pertinent to the pending determination. The
168162 commissioner may publish on the department's website the identity
169163 of internationally active insurance groups that the commissioner
170164 has determined are subject to group-wide supervision by the
171165 commissioner.
172166 (j) If the commissioner is the group-wide supervisor for an
173167 internationally active insurance group, the commissioner is
174168 authorized to engage in any of the following group-wide supervision
175169 activities:
176170 (1) assess the enterprise risks within the
177171 internationally active insurance group to ensure that:
178172 (A) the material financial condition and
179173 liquidity risks to the members of the internationally active
180174 insurance group that are engaged in the business of insurance are
181175 identified by management; and
182176 (B) reasonable and effective mitigation measures
183177 are in place;
184178 (2) request, from any member of an internationally
185179 active insurance group subject to the commissioner's supervision,
186180 information necessary and appropriate to assess enterprise risk,
187181 including information about the members of the internationally
188182 active insurance group regarding:
189183 (A) governance, risk assessment, and management;
190184 (B) capital adequacy; and
191185 (C) material intercompany transactions;
192186 (3) coordinate and, through the authority of the
193187 regulatory officials of the jurisdictions where members of the
194188 internationally active insurance group are domiciled, compel
195189 development and implementation of reasonable measures designed to
196190 ensure that the internationally active insurance group is able to
197191 timely recognize and mitigate enterprise risks to members of the
198192 internationally active insurance group that are engaged in the
199193 business of insurance;
200194 (4) communicate with other state, federal, and
201195 international regulatory agencies for members within the
202196 internationally active insurance group and share relevant
203197 information, subject to the confidentiality provisions of Section
204198 823.011, through supervisory colleges in Section 823.0145 or
205199 otherwise;
206200 (5) enter into agreements with or obtain documentation
207201 from any insurer registered under Subchapter B, any member of the
208202 internationally active insurance group, and any other state,
209203 federal, and international regulatory agencies for members of the
210204 internationally active insurance group, providing the basis for or
211205 otherwise clarifying the commissioner's role as group-wide
212206 supervisor, including provisions for resolving disputes with other
213207 regulatory officials, provided that such agreements or
214208 documentation may not serve as evidence in any proceeding to show
215209 that any insurer or person within an insurance holding company
216210 system not domiciled or incorporated in this state is doing
217211 business in this state or is otherwise subject to jurisdiction in
218212 this state; and
219213 (6) other group-wide supervision activities,
220214 consistent with the authorities and purposes enumerated above, as
221215 considered necessary by the commissioner.
222216 (k) If the commissioner acknowledges that another
223217 regulatory official from a jurisdiction that is not accredited by
224218 the National Association of Insurance Commissioners is the
225219 group-wide supervisor, the commissioner is authorized to
226220 reasonably cooperate, through supervisory colleges or otherwise,
227221 with group-wide supervision undertaken by the group-wide
228222 supervisor, provided that:
229223 (1) the commissioner's cooperation is in compliance
230224 with the laws of this state; and
231225 (2) the regulatory official acknowledged as the
232226 group-wide supervisor also recognizes and cooperates with the
233227 commissioner's activities as a group-wide supervisor for other
234228 internationally active insurance groups where applicable.
235229 (l) Where recognition and cooperation are not reasonably
236230 reciprocal under Subsection (k)(2), the commissioner is authorized
237231 to refuse recognition and cooperation.
238232 (m) The commissioner is authorized to enter into agreements
239233 with or obtain documentation from any insurer registered under
240234 Subchapter B, any affiliate of the insurer, and other state,
241235 federal, and international regulatory agencies for members of the
242236 internationally active insurance group that provides the basis for
243237 or otherwise clarifies a regulatory official's role as group-wide
244238 supervisor.
245239 (n) The commissioner may adopt rules necessary for the
246240 administration of this section.
247241 (o) A registered insurer subject to this section shall be
248242 liable for and shall pay the reasonable expenses of the
249243 commissioner's participation in the administration of this
250244 section, including the engagement of attorneys, actuaries, and any
251245 other professionals and all reasonable travel expenses.
252246 SECTION 4. Section 823.054(b), Insurance Code, is amended
253247 to read as follows:
254248 (b) If the amount of a single transaction or the total
255249 amount of all transactions involving sales, purchases, exchanges,
256250 loans or other extensions of credit, or investments is more than
257251 [the lesser of] one-half of one percent of an insurer's admitted
258252 assets [or five percent of an insurer's surplus,] as of December 31
259253 of the year preceding the date of the transaction or transactions,
260254 the transaction or transactions, respectively, are considered to be
261255 material for purposes of this section.
262256 SECTION 5. (a) Section 823.011, Insurance Code, as amended
263257 by this Act, applies only to information, including documents and
264258 copies of documents, obtained by or reported, disclosed, or
265259 otherwise provided to the commissioner of insurance on or after the
266260 effective date of this Act. Information, including documents and
267261 copies of documents, obtained by or reported, disclosed, or
268262 otherwise provided to the commissioner of insurance before the
269263 effective date of this Act is governed by the law in effect on the
270264 date the transaction occurred, and the former law is continued in
271265 effect for that purpose.
272266 (b) Section 823.054, Insurance Code, as amended by this Act,
273267 applies only to a transaction that occurs on or after the effective
274268 date of this Act. A transaction that occurs before the effective
275269 date of this Act is governed by the law in effect on the date the
276270 transaction occurred, and the former law is continued in effect for
277271 that purpose.
278272 SECTION 6. This Act takes effect immediately if it receives
279273 a vote of two-thirds of all the members elected to each house, as
280274 provided by Section 39, Article III, Texas Constitution. If this
281275 Act does not receive the vote necessary for immediate effect, this
282276 Act takes effect September 1, 2017.
