55 A BILL TO BE ENTITLED
66 AN ACT
77 relating to the authority of chiropractors to form certain business
88 entities with certain other professions.
99 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1010 SECTION 1. Section 22.056, Business Organizations Code, is
1111 amended to read as follows:
1212 Sec. 22.056. HEALTH ORGANIZATION CORPORATION. (a) Doctors
1313 of medicine and osteopathy licensed by the Texas [State Board of]
1414 Medical Board, [Examiners and] podiatrists licensed by the Texas
1515 State Board of Podiatric Medical Examiners, and chiropractors
1616 licensed by the Texas Board of Chiropractic Examiners may form a
1717 corporation that is jointly owned, managed, and controlled by those
1818 practitioners to perform a professional service that falls within
1919 the scope of practice of those practitioners and consists of:
2020 (1) carrying out research in the public interest in
2121 medical science, medical economics, public health, sociology, or a
2222 related field;
2323 (2) supporting medical education in medical schools
2424 through grants or scholarships;
2525 (3) developing the capabilities of individuals or
2626 institutions studying, teaching, or practicing medicine, including
2727 podiatric medicine, or chiropractic;
2828 (4) delivering health care to the public; or
2929 (5) instructing the public regarding medical science,
3030 public health, hygiene, or a related matter.
3131 (b) When doctors of medicine, osteopathy, [and] podiatry,
3232 and chiropractic form a corporation that is jointly owned by those
3333 practitioners, the authority of each of the practitioners is
3434 limited by the scope of practice of the respective practitioners
3535 and none can exercise control over the other's clinical authority
3636 granted by their respective licenses, either through agreements,
3737 the certificate of formation or bylaws of the corporation,
3838 directives, financial incentives, or other arrangements that would
3939 assert control over treatment decisions made by the practitioner.
4040 The Texas [State Board of] Medical Board, [Examiners and] the Texas
4141 State Board of Podiatric Medical Examiners, and the Texas Board of
4242 Chiropractic Examiners continue to exercise regulatory authority
4343 over their respective licenses.
4444 SECTION 2. Section 152.055, Business Organizations Code, is
4545 amended to read as follows:
4646 Sec. 152.055. AUTHORITY OF CERTAIN PROFESSIONALS TO CREATE
4747 PARTNERSHIP. (a) Persons licensed as doctors of medicine and
4848 persons licensed as doctors of osteopathy by the Texas [State Board
4949 of] Medical Board, [Examiners and] persons licensed as podiatrists
5050 by the Texas State Board of Podiatric Medical Examiners, and
5151 persons licensed as chiropractors by the Texas Board of
5252 Chiropractic Examiners may create a partnership that is jointly
5353 owned by those practitioners to perform a professional service that
5454 falls within the scope of practice of those practitioners.
5555 (b) When doctors of medicine, osteopathy, [and] podiatry,
5656 and chiropractic create a partnership that is jointly owned by
5757 those practitioners, the authority of each of the practitioners is
5858 limited by the scope of practice of the respective practitioners
5959 and none can exercise control over the other's clinical authority
6060 granted by their respective licenses, either through agreements,
6161 bylaws, directives, financial incentives, or other arrangements
6262 that would assert control over treatment decisions made by the
6363 practitioner.
6464 (c) The Texas [State Board of] Medical Board, [Examiners
6565 and] the Texas State Board of Podiatric Medical Examiners, and the
6666 Texas Board of Chiropractic Examiners continue to exercise
6767 regulatory authority over their respective licenses.
6868 SECTION 3. Sections 301.012(a) and (f), Business
6969 Organizations Code, are amended to read as follows:
7070 (a) Persons licensed as doctors of medicine and persons
7171 licensed as doctors of osteopathy by the Texas [State Board of]
7272 Medical Board, [Examiners and] persons licensed as podiatrists by
7373 the Texas State Board of Podiatric Medical Examiners, and persons
7474 licensed as chiropractors by the Texas Board of Chiropractic
7575 Examiners may jointly form and own a professional association or a
7676 professional limited liability company to perform professional
7777 services that fall within the scope of practice of those
7878 practitioners.
7979 (f) When doctors of medicine, osteopathy, [and] podiatry,
8080 and chiropractic, or doctors of medicine, osteopathy, and optometry
8181 or therapeutic optometry, or mental health professionals form a
8282 professional entity as provided by Subsections (a), (b), and (c),
8383 the authority of each of the practitioners is limited by the scope
8484 of practice of the respective practitioners and none can exercise
8585 control over the other's clinical authority granted by their
8686 respective licenses, either through agreements, bylaws,
8787 directives, financial incentives, or other arrangements that would
8888 assert control over treatment decisions made by the practitioner.
8989 SECTION 4. This Act takes effect immediately if it receives
9090 a vote of two-thirds of all the members elected to each house, as
9191 provided by Section 39, Article III, Texas Constitution. If this
9292 Act does not receive the vote necessary for immediate effect, this
9393 Act takes effect September 1, 2017.
